Non-opposition to a notified concentration

(Case M.7982 — Abbott Laboratories/Alere)

On 25 January 2017, the Commission decided not to oppose the above notified concentration and to declare it compatible with the internal market. This decision is based on Article 6(1)(b) in conjunction with Article 6(2) of Council Regulation (EC) No 139/2004 (1). The full text of the decision is available only in English and will be made public after it is cleared of any business secrets it may contain. It will be available:

Prior notification of a concentration

On 16 June 2017, the Commission received notification of a proposed concentration pursuant to Article 4 of Council Regulation (EC) No 139/2004 (1) by which the undertakings Megatrends European Holdings S.à.r.l. (‘Megatrends’, Luxembourg) and Intu Properties Plc (‘Intu’, United Kingdom) acquire within the meaning of Article 3(1)(b) of the Merger Regulation joint control over Xanadú Retail and Leisure, S.L.U. (‘Target’, Spain) by way of purchase of shares.

The business activities of the undertakings concerned are:

—   for Megatrends: a wholly owned subsidiary of the European Cities Fund (‘ECF’), an investment vehicle launched by TH Real Estate (‘THRE’), a real estate management and investment business. ECF is a division of Teachers Insurance and Annuity Association of America (‘TIAA’),

—   for Intu: a real estate investment trust, largely focused on shopping centre ownership, management and development across the United Kingdom, and, to a more limited extent, in Spain,

—   for the Target: owner of the Xanadú shopping centre, located in the Madrid region (Spain).

On preliminary examination, the Commission finds that the notified transaction could fall within the scope of the Merger Regulation. However, the final decision on this point is reserved. Pursuant to the Commission Notice on a simplified procedure for treatment of certain concentrations under the Council Regulation (EC) No 139/2004 (2) it should be noted that this case is a candidate for treatment under the procedure set out in this Notice.

The Commission invites interested third parties to submit their possible observations on the proposed operation to the Commission.

The producers of the PGI ‘Carne de Morucha de Salamanca’ have spent years working on the inclusion of cross-breeds in their holdings. This is necessary in order to adapt to changing times and ensure the survival of the ‘Morucha’ breed. Without such action, the breed would be in danger of disappearing as, among local breeds in general, and this breed in particular, the production of pure-bred animals is largely confined to herds registered in the herd-books. Cross-breeding of females from local breeds with males from meat-producing breeds, such as Charolais and Limousin, is the more common practice.

Above all, the producers of the PGI ‘Carne de Morucha de Salamanca’ wish to preserve, and advocate, the quality of the product. This means retaining the specific characteristics of the traditional meat of Salamanca, in addition to retaining the link with the place of production and the traditional method of extensive grassland farming.

The parties involved believe that the correct action in this case is to request a new name. This is because the name of the product must not refer to the ‘Morucho’ breed if, in addition to animals of that breed, animals cross-bred with them are also included. Such a name could cause confusion for consumers. The new name to register as a PGI is ‘Carne de Salamanca’.

In order to be able to register the new designation, it is necessary to comply with Article 6(3) of Regulation (EU) No 1151/2012 and cancel the PGI ‘Carne de Morucha de Salamanca’. The reason for this is that the name ‘Carne de Salamanca’ is partially homonymous with the registered PGI and could mislead consumers.
