Non-opposition to a notified concentration

On 9 February 2017, the Commission decided not to oppose the above notified concentration and to declare it compatible with the internal market. This decision is based on Article 6(1)(b) of Council Regulation (EC) No 139/2004 (1). The full text of the decision is available only in English and will be made public after it is cleared of any business secrets it may contain. It will be available:

COUNCIL DECISION

of 17 February 2017

appointing two members of the Governing Board of the European Agency for Safety and Health at Work for the Czech Republic and Portugal

THE COUNCIL OF THE EUROPEAN UNION,

Having regard to the Treaty on the Functioning of the European Union,

Having regard to Council Regulation (EC) No 2062/94 of 18 July 1994 establishing a European Agency for Safety and Health at Work (1), and in particular Article 8 thereof,

Having regard to the list of candidates submitted to the Council by the Governments of the Member States and by the employees' and the employers' organisations,

Having regard to the lists of members and alternate members of the Advisory Committee on Safety and Health at Work,

Whereas:

By its Decisions of 17 October 2016 (2), 28 November 2016 (3) and 23 January 2017 (4), the Council appointed the members and alternate members of the Governing Board of the European Agency for Safety and Health at Work for the period from 8 November 2016 to 7 November 2019.

The employees' organisation ETUC has submitted one nomination for a post to be filled.

(3)

The employers' organisation BUSINESSEUROPE has submitted one nomination for a post to be filled,

HAS ADOPTED THIS DECISION:

THE COUNCIL OF THE EUROPEAN UNION,

Having regard to the Treaty on the Functioning of the European Union,

Having regard to Council Regulation (EEC) No 1365/75 of 26 May 1975 on the creation of a European Foundation for the Improvement of Living and Working Conditions (1), and in particular Article 6 thereof,

Having regard to the lists of nominations for appointment submitted to the Council by the Governments of the Member States and by the employees' and employers' organisations,

Whereas:

By its Decisions of 28 November 2016 (2) and 23 January 2017 (3), the Council appointed the members and alternate members of the Governing Board of the European Foundation for the Improvement of Living and Working Conditions for the period from 1 December 2016 to 30 November 2019.

Prior notification of a concentration

(Case M.8283 — General Electric Company/LM Wind Power Holding)

On 13 February 2017, the Commission received notification of a proposed concentration pursuant to Article 4 of Council Regulation (EC) No 139/2004 (1) by which General Electric Company (‘GE’, USA) will acquire sole control over LM Wind Power Holding A/S (‘LM’, Denmark) within the meaning of Article 3(1)(b) of the Merger Regulation, by means of purchase of shares. The same concentration was already notified to the Commission on 11 January 2017, but the notification was subsequently withdrawn on 2 February 2017.

The business activities of the undertakings concerned are:

GE is a global manufacturing, technology and services company that is made up of a number of business units, each with its own divisions. GE’s business GE Renewable Energy produces and supplies wind turbines for onshore and offshore use on a global basis. It also services wind turbines, primarily for its own installed fleet.

LM is a company active as regards the design, testing, manufacturing and supply of blades for wind turbines, both in the EEA and worldwide.

On preliminary examination, the Commission finds that the notified transaction could fall within the scope of the Merger Regulation. However, the final decision on this point is reserved.

4.

The Commission invites interested third parties to submit their possible observations on the proposed operation to the Commission.

Observations must reach the Commission not later than 10 days following the date of this publication. Prior notification of a concentration

(Case M.8358 — Macquarie/National Grid/Gas Distribution business of National Grid)

On 9 February 2017, the Commission received a notification of a proposed concentration pursuant to Article 4 of Council Regulation (EC) No 139/2004 (1) by which National Grid plc (‘National Grid’, United Kingdom) and Macquarie Infrastructure and Real Assets (Europe) Limited (United Kingdom), part of the Macquarie Group, acquire within the meaning of Article 3(1)(b) of the Merger Regulation joint control of the gas distribution business of National Grid comprised of four distribution networks (‘Target’, United Kingdom) by way of acquisition of shares.

The business activities of the undertakings concerned are:

Macquarie Group is a global provider of banking, financial, advisory, investment and funds management services. Macquarie Group controls companies which have the following activities in the gas sector in the United Kingdom: (i) Energetics, an independent gas transporter which is involved in the provision of gas connections; and (ii) Corona Energy, a company supplying gas and electricity primarily to commercial, industrial and public sector clients in the United Kingdom.

National Grid’s principal operations are the ownership and operation of regulated electricity and gas infrastructure in the United Kingdom.

Target comprises four out of the eight regulated gas distribution networks across parts of the UK that encompasses the East of England, North London, the North West of England and the West Midlands. The Target is currently solely controlled by National Grid.

On preliminary examination, the Commission finds that the notified transaction could fall within the scope of the Merger Regulation. However, the final decision on this point is reserved.
