THE COUNCIL OF THE EUROPEAN UNION,

Having regard to the Treaty on the Functioning of the European Union,

Having regard to Council Regulation (EEC) No 1365/75 of 26 May 1975 on the creation of a European Foundation for the improvement of living and working conditions (1), and in particular Article 6 thereof,

Having regard to the lists of nominations for appointment submitted to the Council by the Governments of the Member States and by the employees' and employers' organisations,

Whereas:

(1)

By its Decisions of 2 December 2013 (2), 8 July 2014 (3), 18 November 2014 (4) and 15 June 2015 (5), the Council appointed the members and alternate members of the Governing Board of the European Foundation for the Improvement of Living and Working Conditions for the period ending on 30 November 2016.

(2)

The members and alternate members of the Governing Board, representing the Governments of the Member States and employees' and employers' organisations, should be appointed for a period of three years.

(3)

It is for the Commission to appoint its own representatives on the Governing Board,

HAS ADOPTED THIS DECISION:

THE COUNCIL OF THE EUROPEAN UNION,

Having regard to the Treaty on the Functioning of the European Union,

Having regard to Council Regulation (EC) No 2062/94 of 18 July 1994 establishing a European Agency for Safety and Health at Work (1), and in particular Article 8 thereof,

Having regard to the lists of candidates submitted to the Council by the Governments of the Member States and by the employees' and the employers' organisations,

Having regard to the lists of members and alternate members of the Advisory Committee on Safety and Health at Work,

Whereas:

Prior notification of a concentration

(Case M.8240 — Dana/Brevini Fluid Power and Brevini Power Transmission)

Candidate case for simplified procedure

On 22 November 2016, the Commission received notification of a proposed concentration pursuant to Article 4 of Council Regulation (EC) No 139/2004 (1) by which Dana Incorporated (United States of America) acquires within the meaning of Article 3(1)(b) of the Merger Regulation control of parts of Brevini Fluid Power SpA and Brevini Power Transmission SpA (both of Italy, together referred to as the ‘Target’) by way of purchase of shares.

2.

The business activities of the undertakings concerned are:

—   for Dana: the supply of driveline, sealing and thermal-management products to manufacturers of light, medium/heavy and off-highway vehicles on a global basis,

—   for the Target: the supply of transmissions and hydraulic and electronic components for marine, mobile & infrastructure, heavy duty, industrial and stationary equipment, agriculture and renewable energy and waste management uses.

3.

On preliminary examination, the Commission finds that the notified transaction could fall within the scope of the Merger Regulation. However, the final decision on this point is reserved. Pursuant to the Commission Notice on a simplified procedure for treatment of certain concentrations under Council Regulation (EC) No 139/2004 (2) it should be noted that this case is a candidate for treatment under the procedure set out in this Notice.

The Commission invites interested third parties to submit their possible observations on the proposed operation to the Commission.

Observations must reach the Commission not later than 10 days following the date of this publication.
