on appointing the members of the European Consumer Consultative Group and their alternates

THE EUROPEAN COMMISSION,

Having regard to the Treaty on the Functioning of the European Union,

Having regard to Commission Decision 2009/705/EC of 14 September 2009 setting up European Consumer Consultative Group (1), and in particular Article 4 thereof,

Whereas:

The mandate of the current members of the European Consumer Consultative Group expires on 18 July 2016.

Therefore, it is necessary to appoint new members and alternates for a three year period, on the basis of the proposals put forward by the Member States and the European Consumer Organisations,

HAS ADOPTED THIS DECISION:

Prior notification of a concentration

Candidate case for simplified procedure

1.

On 16 August 2016, the Commission received notification of a proposed concentration pursuant to Article 4 of Council Regulation (EC) No 139/2004 (1) by which the undertakings Canada Pension Plan Investment Board (CPPIB, Canada), Ontario Teachers’ Pension Plan Board (OTPP, Canada) and Impulsora del Desarrollo y el Empleao en América Latina, S.A.B. de C.V. (IDEAL, Mexico) acquire within the meaning of Article 3(1)(b) of the Merger Regulation joint control of the undertaking Autopista Arco Norte, S.A. de C.V. (Arco Norte, Mexico), by way of subscription of shares. Currently, Arco Norte is solely controlled by IDEAL.

2.

The business activities of the undertakings concerned are:

—   for CPPIB: investment management organisation that invests the funds of the Canada Pension Plan, principally in public equities, private equities, real estate, infrastructure and fixed income investments,

—   for OTPP: investment management organisation that invests the pension plan assets on behalf of active and retired teachers in the Canadian province of Ontario,

—   for IDEAL: public company that manages a strategic asset portfolio across various infrastructure sectors which foster social development and economic growth through designing, developing, financing and managing different infrastructure projects in Mexico and in Panama, as well as holding the long term management, provision of services, maintenance and operation of the concessions and projects it has a stake in,

—   for Arco Norte: holder of a concession for the exploitation, operation and maintenance of a toll road in Mexico known as the ‘Libramiento Norte de la Ciudad de México’.

On preliminary examination, the Commission finds that the notified transaction could fall within the scope of the Merger Regulation. However, the final decision on this point is reserved. Pursuant to the Commission Notice on a simplified procedure for treatment of certain concentrations under Council Regulation (EC) No 139/2004 (2) it should be noted that this case is a candidate for treatment under the procedure set out in this Notice.

4.

The Commission invites interested third parties to submit their possible observations on the proposed operation to the Commission.

Observations must reach the Commission not later than 10 days following the date of this publication. Prior notification of a concentration

On 16 August 2016, the Commission received notification of a proposed concentration pursuant to Article 4 of Council Regulation (EC) No 139/2004 (1) by which the undertaking Bunge Deutschland GmbH (Germany), a subsidiary of Bunge Limited (‘Bunge’, United States) acquires within the meaning of Article 3(1)(b) of the Merger Regulation sole control over the whole of the undertaking Walter Rau Neusser Öl und Fett AG (‘WRAG’, Germany) by way of purchase of shares.

2.

The business activities of the undertakings concerned are:

—   for Bunge: food and agribusiness company active in the purchase, storage and processing of grains and oilseeds, production and sale of sugar and bioenergy, edible oils and fats, creation of milled wheat, corn and rice products for consumers and the production, blend and distribution of fertiliser products for agriculture. Bunge operates in approximately 40 countries worldwide.

—   for WRAG: processing and blending of vegetable oils and fats primarily for industrial food processors and production and marketing of edible oils.

3.

On preliminary examination, the Commission finds that the notified transaction could fall within the scope of the Merger Regulation. However, the final decision on this point is reserved.
