Communication from the Commission amending Annex I to the Guidelines on regional aid for 2014-2020

I.   INTRODUCTION

Point 5.6.2 of the Regional Aid Guidelines for 2014-2020 (1) (hereinafter referred to as ‘RAG’) provides for a mid-term review of the regional aid maps in June 2016. The amended regional aid maps will be in force from 1 January 2017 to 31 December 2020.

Amendment of the list of ‘a’ areas

To this end the Commission will establish whether any NUTS 2 region, which is in the current maps not an ‘a’ area, has a GDP per capita below 75 % of the EU-28 average on the basis of the GDP data (in PPS per capita) for 2012-2014 and will publish a communication on the results of this analysis. The Commission will establish at that moment whether these identified areas may become eligible for regional aid under Article 107(3)(a) of the Treaty and the level of the aid intensity corresponding to their GDP per capita. If these identified areas are designated either as pre-defined ‘c’ areas or as non-predefined ‘c’ areas in the current national regional aid map, the percentage of the specific population allocation for ‘c’ areas indicated in Annex 1 to the RAG, will be adjusted accordingly.

Amendment of the aid intensity of ‘a’ areas

The Commission will also identify those NUTS 2 regions which are ‘a’ areas in the national regional aid map, but for which their GDP per capita has dropped so that they would qualify from 1 January 2017 for a higher level of aid intensity.

Possibilities for mid-term review of ‘c’ areas

A Member State may, within the limit of its adjusted specific allocation for ‘c’ areas mentioned in paragraph 10, amend the list of non-predefined ‘c’ areas contained in its regional aid map for the period from 1 January 2017 to 31 December 2020. These amendments may not exceed 50 % of each Member State’s adjusted non-predefined ‘c’ coverage. In addition, the population of the newly included regions may not exceed the population of the regions losing their status as region eligible for regional aid.

Member States who want to amend their regional aid maps are invited to notify these amendments pursuant to Article 108(3) TFEU, in line with paragraph 185 of the RAG, before 1 September 2016 at the latest.

II.   ASSESSMENT

On 29 February 2016, Eurostat has published the GDP data for 2012-2014. In the below lists the change is demonstrated by comparing the first column (GDP average of the years 2008-2010) with the second column (GDP average of the years 2012-2014). On this basis the following modifications are made.

On 17 June 2016, the Commission received notification of a proposed concentration pursuant to Article 4 of Council Regulation (EC) No 139/2004 (1) by which Warburg Pincus LLC (‘Warburg Pincus’, United States) and Wendel SE (‘Wendel’, France) acquire, within the meaning of Article 3(4) of the Merger Regulation, joint control over a newly created joint venture, AlliedUniversal Security Services LLC (‘AUSS’, United States), by way of purchase of shares.

2.

The business activities of the undertakings concerned are:

—   for Warburg Pincus: global private equity firm.

—   for Wendel: French investment firm.

—   for AUSS: will comprise Universal Services of America, a portfolio company held by affiliates of Warburg Pincus, and AlliedBarton Security Services, a portfolio company held by affiliates of Wendel. The new JV will be active in the provision of security services and facilities management in North America.

On preliminary examination, the Commission finds that the notified transaction could fall within the scope of the Merger Regulation. However, the final decision on this point is reserved. Pursuant to the Commission Notice on a simplified procedure for treatment of certain concentrations under Council Regulation (EC) No 139/2004 (2) it should be noted that this case is a candidate for treatment under the procedure set out in this Notice.

4.

The Commission invites interested third parties to submit their possible observations on the proposed operation to the Commission.

Observations must reach the Commission not later than 10 days following the date of this publication. On 16 June 2016, the Commission received a notification of a proposed acquisition pursuant to Article 4 of Council Regulation (EC) No 139/2004 (1) by which the undertaking bancopopular-e SA (‘E-Com’, Spain), a joint venture controlled by Banco Popular Español SA (‘Banco Popular’, Spain) and certain private affiliated funds managed by Värde Partners Inc. (‘Värde’, United States), acquires, within the meaning of Article 3(1)(b) of the Merger Regulation, sole control over the payment cards' business (the ‘Assets’) of Banco Popular Portugal, SA (‘BPOP’, Portugal), a wholly-owned subsidiary of Banco Popular.

The business activities of the undertakings concerned are:

E-Com provides services related to the issuing of payment cards and, to a lesser extent, to insurance distribution within the Spanish market.

Banco Popular specializes in retail and commercial banking. It is also active in the issuing of payment cards in Portugal, and to a lesser extent, in the provision of insurance services and in the distribution of insurance services in Spain and Portugal.

Värde is a global investment firm, specializing in alternative investments and with expertise in partnering with global financial institutions. Its activities are focused primarily in the United States, Europe and Asia.

The Assets comprise the payment card issuing business of BPOP in Portugal.
