COMMISSION OPINION

of 26 November 2014

on the draft new Regulation of the European Central Bank on statistical reporting requirements by insurance corporations

(2014/C 427/01)

On 30 July 2014, the Commission received a request from the European Central Bank (ECB) for an opinion on a draft new Regulation on statistical reporting requirements by insurance corporations.

The Commission welcomes this request and recognises that the ECB has acted in accordance with its obligation to consult it on draft ECB regulations whenever links with the Commission’s statistical requirements exist (1), so as to guarantee the coherence necessary to produce statistics meeting the ECB’s and the Commission’s respective information requirements. Good cooperation between the ECB and the Commission benefits both institutions, users and respondents by allowing European statistics to be produced more efficiently. The Commission also welcomes the fact that the draft Regulation refers explicitly to its opinion.

The Commission welcomes the fact that the draft Regulation aligns the thresholds of the quarterly item-by-item reporting requirements with Article 35 of the Solvency II Directive.

However, the Commission encourages the ECB Governing Council, when reviewing this alignment by 2020 at the latest (as provided for in the draft Regulation), to bear in mind that it is critical for the Commission that this alignment be maintained, since the administrative costs linked to quarterly item-by-item reporting would be excessively burdensome for SME insurers. Were the alignment not to be maintained, the Commission would probably have to issue unfavourable opinions on future proposals for statistical reporting requirements by insurance corporations.

Furthermore, it must be underlined that the draft Regulation can have no impact on the rules on the use of confidential data collected for the purpose of producing European statistics (2). This means, in particular, that data originating in the European Statistical System that have been transmitted to the European System of Central Banks may be used for statistical purposes only.

In conclusion, the Commission generally supports the draft ECB Regulation insofar as it contributes to efficient cooperation between the European Statistical System and the European System of Central Banks and the promotion of high-quality, consistent statistics at European level. It is of the opinion, however, that the above-mentioned concerns should be addressed.

On 21 November 2014, the Commission decided not to oppose the above notified concentration and to declare it compatible with the internal market. In accordance with Article 2(3) of the Arrangement between the European Union and the Republic of Iceland, the Principality of Liechtenstein, the Kingdom of Norway and the Swiss Confederation on the participation by those States in the work of the committees which assist the European Commission in the exercise of its executive powers as regards the implementation, application and development of the Schengen acquis  (1), the list of committees attached to this Agreement is updated as listed below:

List of the existing committees which assist the European Commission in the exercise of its executive powers as regards the implementation, application and development of the Schengen acquis:

the committee established by Council Regulation (EC) No 1683/95 of 29 May 1995 laying down a uniform format for visas (2),

the committee established by Regulation (EC) No 1987/2006 of the European Parliament and of the Council of 20 December 2006 on the establishment, operation and use of the second generation Schengen Information System (SIS II) (3) and by Council Decision 2007/533/JHA of 12 June 2007 on the establishment, operation and use of the second generation Schengen Information System (SIS II) (4); this committee also assists the European Commission in the application of the following legal instruments:

Regulation (EC) No 767/2008 of the European Parliament and of the Council of 9 July 2008 concerning the Visa Information System (VIS) and the exchange of data between Member States on short-stay visas (VIS Regulation) (5),

Council Regulation (EC) No 1104/2008 of 24 October 2008 on migration from the Schengen Information System (SIS 1+) to the second generation Schengen Information System (SIS II) (6),

the committee established by Article 8 of Decision No 1105/2011/EU of the European Parliament and of the Council of 25 October 2011 on the list of travel documents which entitle the holder to cross the external borders and which may be endorsed with a visa and on setting up a mechanism for establishing this list (13),

the committee established by Council Regulation (EU) No 1053/2013 of 7 October 2013 establishing an evaluation and monitoring mechanism to verify the application of the Schengen acquis and repealing the Decision of the Executive Committee of 16 September 1998 setting up a Standing Committee on the evaluation and implementation of Schengen (14),

the committee established by Regulation (EU) No 1289/2013 of the European Parliament and of the Council of 11 December 2013 amending Council Regulation (EC) No 539/2001 of 15 March 2001 listing the third countries whose nationals must be in possession of visas when crossing the external borders and those whose nationals are exempt from that requirement (15),

the committee established by Regulation (EU) No 514/2014 of the European Parliament and of the Council of 16 April 2014 laying down general provisions on the Asylum, Migration and Integration Fund and on the instrument for financial support for police cooperation, preventing and combating crime, and crisis management (16) insofar as it deals with matters necessary for the implementation of Regulation (EU) No 515/2014 of the European Parliament and of the Council of 16 April 2014 establishing, as part of the Internal Security fund, the instrument for financial support for external borders and visa and repealing Decision No 574/2007/EC (17).

On 20 November 2014, the European Commission received notification of a proposed concentration pursuant to Article 4 of Council Regulation (EC) No 139/2004 (1) by which the undertakings ANF Immobilier (‘ANF’), controlled by Eurazeo (France), and Predica, controlled by Groupe Crédit Agricole (‘GCA’, France), acquire within the meaning of Article 3(1)(b) of the Merger Regulation joint control of the Lafayette asset and the Stratège asset (France), through the medium of SCI (2) Lafayette (France) and SCI Stratège (France), by way of purchase of shares.

2.

The business activities of the undertakings concerned are as follows:

ANF is active in the real estate sector. Eurazeo is an investment company active in many sectors, such as management of care homes for elderly dependent people and of convalescent and rehabilitation care homes, real estate services, board game publishing, manufacture of electrical chargers, design and manufacture of optical components, clothing distribution, lease-maintenance of linens and sanitary equipment, car park management, vehicle rental services, design and manufacture of medical devices, hair salons, catering, and design and manufacture of cartons,

Predica is a company specialised in life insurance. GCA is mainly active in the banking sector,

SCI Lafayette and Stratège have two office buildings in Lyon Part-Dieu (France) as assets and are currently under the exclusive control of ANF.

3.

On preliminary examination, the Commission finds that the notified transaction could fall within the scope of the Merger Regulation. However, the final decision on this point is reserved. Pursuant to the Commission Notice on a simplified procedure for treatment of certain concentrations under Council Regulation (EC) No 139/2004 (3), it should be noted that this case is a candidate for treatment under the procedure set out in the Notice.

4.

The Commission invites interested third parties to submit to it their observations on the proposed operation.

On 19 November 2014, the Commission received a notification of a proposed concentration pursuant to Article 4 of Council Regulation (EC) No 139/2004 (1) by which Naspers Limited (‘Naspers’, South Africa) and SnT Classifieds ANS (‘SnT,’ Norway), a joint venture between Schibsted ASA (‘Schibsted’, Norway) and Telenor ASA (‘Telenor’, Norway), acquire within the meaning of Article 3(1)(b) of the Merger Regulation joint control of Bomnegocio Ativades Ltda (‘Brazilian JV’), by way of purchase of shares and contribution of assets.

2.

The business activities of the undertakings concerned are:

—   for Telenor: mobile and fixed telecommunications services;

—   for Schibsted: print online media services and online classified services;

—   for SnT: online classified services;

—   for Naspers: internet services, including e-commerce services, such as online retail, online marketplaces, online comparison shopping, payments and other online services; pay television services and print media;

—   for Brazilian JV: provision of online marketplace services.

3.

On preliminary examination, the Commission finds that the notified transaction could fall within the scope of the Merger Regulation. However, the final decision on this point is reserved. Pursuant to the Commission Notice on a simplified procedure for treatment of certain concentrations under the Council Regulation (EC) No 139/2004 (2) it should be noted that this case is a candidate for treatment under the procedure set out in this Notice.

On 19 November 2014, the Commission received a notification of a proposed concentration pursuant to Article 4 of Council Regulation (EC) No 139/2004 (1) by which the undertakings Schibsted ASA (‘Schibsted’, Norway), Singapore Press Holdings Ltd (‘SPH’, Singapore), and Telenor ASA (‘Telenor’, Norway) acquire within the meaning of Article 3(1)(b) of the Merger Regulation joint control of the online classifieds businesses in Malaysia, Thailand and Vietnam of Naspers Limited (‘Naspers’, South Africa), by way of purchase of assets. The acquisition of Naspers businesses in Malaysia and Vietnam takes place through 701 Search Pte Ltd (‘701’, Singapore), a joint venture between Schibsted, SPH and Telenor.

2.

The business activities of the undertakings concerned are:

—   for Telenor: mobile and fixed telecommunications services;

—   for Schibsted: print online media services and online classified services;

—   for Singapore Press Holdings: publication of newspapers, including the provision of online news content, online classifieds, radio broadcasting, event organisation, out of home advertising and property management;

—   for 701: online classified services;

—   for Naspers: internet services, including e-commerce services, such as online retail, online marketplaces, online comparison shopping, payments and other online services; pay television services and print media.

On preliminary examination, the Commission finds that the notified transaction could fall within the scope of the Merger Regulation. However, the final decision on this point is reserved. —   for SnT: online classified services;
