Explanatory Notes to the Combined Nomenclature of the European Union

Pursuant to Article 9(1)(a), second indent, of Council Regulation (EEC) No 2658/87 of 23 July 1987 on the tariff and statistical nomenclature and on the Common Customs Tariff (1), the Explanatory Notes to the Combined Nomenclature of the European Union (2) are amended as follows:

Between ‘8529 90 65 Electronic assemblies’ and ‘8531 Electric sound or visual signalling apparatus (for example, bells, sirens, indicator panels, burglar or fire alarms), other than those of heading 8512 or 8530’ the following text is inserted:

8529 90 92   For television cameras of subheadings 8525 80 11 and 8525 80 19 and apparatus of headings 8527 and 8528

This subheading includes so-called “LCD modules” consisting of a thin film transistor (TFT) liquid crystal layer sandwiched between two sheets or plates of glass or plastic, not combined with touch screen facilities, used in the manufacture of monitors and/or reception apparatus for television of heading 8528.

The modules are equipped with one or more printed or integrated circuits, with control electronics for pixel addressing only. They are not equipped with electronics (such as a video converter or a scaler) for video processing.

The modules can be equipped with a backlight unit and/or inverters.

This subheading does not include liquid crystal devices consisting of a liquid crystal layer sandwiched between two sheets or plates of glass or plastics, whether or not fitted with electrical connections (i.e. for the supply of power), presented in the piece or cut to special shapes (subheading 9013 80 20).’

Date, entry into force and nature of the decision

On 12 July 2010, the Malta Financial Services Authority (‘the MFSA’) revoked the authorisation of European Insurance Group Ltd. The insurance company has appealed from the decision of the Authority.

The MFSA, with effect from 6 August 2010, appointed Deloitte, Certified Public Accountants, of Deloitte Place Mriehel Bypass Mriehel BKR 3000 Malta, to take charge of the assets of the company and to assume control of its business. The MFSA has, with effect from 29 September 2011, appointed a liquidator for the purpose of winding-up the affairs of the company.

Prior notification of a concentration

(Case COMP/M.6321 — Buitenfood/Ad van Geloven Holding/JV)

On 16 November 2011 the Commission received a notification of a proposed concentration pursuant to Article 4 of Council Regulation (EC) No 139/2004 (1) by which the undertakings NPM Capital N.V. (‘NPM’, the Netherlands), a subsidiary of SHV Holdings N.V. (‘SHV’, the Netherlands) and Lion Capital LLP (‘Lion’, United Kingdom) acquire within the meaning of Article 3(1)(b) of the Merger Regulation joint control of a newly created joint venture (‘the JV’, the Netherlands) controlling Buitenfood B.V. (‘Buitenfood’, the Netherlands), previously owned by NPM, and Ad van Geloven Holding B.V. (‘AvG’, the Netherlands), previously owned by Lion, by way of purchase of shares.

The business activities of the undertakings concerned are:

for NPM: private equity investment in various industry sectors,

for SHV: trade and distribution of liquefied petroleum gas, trade in food and non-food consumer articles, provision of private equity, exploration and production of oil and gas, heavy lifting and renewable energy,

for Lion: private equity investment, mainly in companies that are engaged in the production and/or sale of consumer branded goods,

for Buitenfood: production and sale of frozen snacks for the retail market and out-of-home market; production of private label frozen snack products for retailers and wholesalers on the out-of-home market,

for AvG: production and sale of frozen snacks for the retail market and out-of-home market; production of private label frozen snack products for retailers and wholesalers on the out-of-home market,

for the JV: production and sale of frozen snacks mainly in the Netherlands and Belgium.

On preliminary examination, the Commission finds that the notified transaction could fall within the scope the EC Merger Regulation. However, the final decision on this point is reserved.

The Commission invites interested third parties to submit their possible observations on the proposed operation to the Commission.
