The Commission has decided to close the formal investigation procedure under Article 108(2) of the TFEU, initiated on 29 June 2011 (1) in respect of the measure referred to above, recording that Finland has withdrawn its notification on 30 August 2011 and will not pursue this aid project further.

Prior notification of a concentration

Candidate case for simplified procedure

1.

On 28 October 2011, the Commission received a notification of a proposed concentration pursuant to Article 4 of Council Regulation (EC) No 139/2004 (1) by which Honeywell International Inc. (‘Honeywell’, USA) and Sinochem Lantian Company Ltd. (‘Sinochem Lantian’, China) part of Sinochem Group (China) acquire within the meaning of Article 3(1)(b) of the Merger Regulation joint control of a newly created company constituting a joint venture (‘JV’, China) by way of purchase of shares.

The business activities of the undertakings concerned are:

—

for Honeywell: active in aerospace products and services, automation and control solutions, speciality materials and transportation and power systems,

—

for Sinochem Lantian: active in R&D and production of chemicals, pharmaceutical distribution, engineering design, production of pesticides and real estate development. Sinochem Lantian is part of Sinochem Group, which has activities in various sectors, including chemicals, energy, financial and real estate,

—

for JV: manufacture of HFC-245fa, a blowing agent which will be mainly sold for closed-cell polyurethane foam insulation purposes. The JV will be exclusively active in Asia.

On preliminary examination, the Commission finds that the notified transaction could fall within the scope of the EC Merger Regulation. However, the final decision on this point is reserved. Pursuant to the Commission Notice on a simplified procedure for treatment of certain concentrations under the EC Merger Regulation (2) it should be noted that this case is a candidate for treatment under the procedure set out in the Notice.

The Commission invites interested third parties to submit their possible observations on the proposed operation to the Commission.

Observations must reach the Commission not later than 10 days following the date of this publication.
