Non-opposition to a notified concentration

On 29 August 2011, the Commission decided not to oppose the above notified concentration and to declare it compatible with the common market. This decision is based on Article 6(1)(b) of Council Regulation (EC) No 139/2004. The full text of the decision is available only in English and will be made public after it is cleared of any business secrets it may contain. It will be available:

COUNCIL DECISION

adopting the Council position on the draft budget of the European Union for the financial year 2012

THE COUNCIL OF THE EUROPEAN UNION,

Having regard to the Treaty on the Functioning of the European Union, and in particular Article 314(3) thereof, in conjunction with the Treaty establishing the European Atomic and Energy Community, and in particular Article 106a thereof,

Whereas:

(1)

On 26 May 2011, the Commission submitted a proposal containing the draft budget for the financial year 2012 (1).

(2)

The Council examined the Commission proposal with a view to defining a position consistent, on the revenue side, with Council Decision 2007/436/EC, Euratom of 7 June 2007 on the system of the European Communities' own resources (2), and on the expenditure side, with Part I of Interinstitutional Agreement of 17 May 2006 between the European Parliament, the Council and the Commission on budgetary discipline and sound financial management (3), which, in the absence of any multiannual financial framework established pursuant to Article 312 of the Treaty on the Functioning of the European Union, constitutes the currently applicable instrument of budgetary discipline,

HAS DECIDED AS FOLLOWS:

The Council's position on the draft general budget of the European Union for the financial year 2012 was adopted by the Council on 25 July 2011.

Notice for the attention of the persons and entities to which restrictive measures provided for in Council Decision 2011/273/CFSP, as amended by Council Decision 2011/522/CFSP, and in Council Regulation (EU) No 442/2011, as amended by Council Regulation (EU) No 878/2011 concerning restrictive measures against Syria apply

THE COUNCIL OF THE EUROPEAN UNION,

The following information is brought to the attention of the persons and entities that appear in the Annex to Council Decision 2011/273/CFSP, as amended by Council Decision 2011/522/CFSP (1), and in Annex II to Council Regulation (EU) No 442/2011, as amended by Council Regulation (EU) No 878/2011 (2) concerning restrictive measures against Syria.

The Council of the European Union has decided that the persons and entities that appear in the above-mentioned Annexes should be included in the list of persons and entities subject to restrictive measures provided for in Council Decision 2011/273/CFSP and in Council Regulation (EU) No 442/2011 concerning restrictive measures against Syria. The grounds for designations of those persons and entities appear in the relevant entries in those Annexes.

The attention of the persons and entities concerned is drawn to the possibility of making an application to the competent authorities of the relevant Member State(s) as indicated in the web-sites in Annex III to Council Regulation (EU) No 442/2011, in order to obtain an authorisation to use frozen funds for basic needs or specific payments (cf. Article 6 of the Regulation).

The persons and entities concerned may submit a request to the Council, together with supporting documentation, that the decision to include them on the above-mentioned list should be reconsidered, to the following address:

On 25 August 2011, the Commission received a notification of a proposed concentration pursuant to Article 4 of Council Regulation (EC) No 139/2004 (1) by which the undertaking Teva Pharmaceutical Industries Ltd (Israel) acquires within the meaning of Article 3(1)(b) of the Merger Regulation control of the whole of the undertaking Cephalon Inc. (USA) by way of purchase of shares.

The business activities of the undertakings concerned are:

for Teva: Manufacture of Pharmaceutical Preparations,

for Cephalon: Manufacture of Pharmaceutical Preparations.

On preliminary examination, the Commission finds that the notified transaction could fall within the scope the EC Merger Regulation. However, the final decision on this point is reserved.

On 26 August 2011, the Commission received a notification of a proposed concentration pursuant to Article 4 of Council Regulation (EC) No 139/2004 (1) by which the undertaking Triton (‘Triton’, Jersey) acquires within the meaning of Article 3(1)(b) of the Merger Regulation control of the whole of the undertakings Europart (‘Europart’, Germany) by way of purchase of shares.

The business activities of the undertakings concerned are:

for Triton: a private equity investment firm that provides management advice to, and manages investments in behalf of investment funds in European-based businesses in differing market sectors,

for Europart: active in the distribution of spares and wearing parts mainly in the commercial vehicle aftermarket.

3.

On preliminary examination, the Commission finds that the notified transaction could fall within the scope the EC Merger Regulation. However, the final decision on this point is reserved.

The Commission invites interested third parties to submit their possible observations on the proposed operation to the Commission.

On 26 August 2011, the Commission received a notification of a proposed concentration pursuant to Article 4 of Council Regulation (EC) No 139/2004 (1) by which Cheung Kong (Holdings) Limited (‘CKH’, Hong Kong) acquires within the meaning of Article 3(1)(b) of the Merger Regulation sole control of Northumbrian Water Group plc (‘NWG’, England and Wales) by way of public bid.

2.

The business activities of the undertakings concerned are:

for CKH: investment holding, property development and investment, hotel and serviced suite operation, property and project management and investment in securities,

for NWG: provision of water and waste water services in the North East of England and in parts of the South East of England, waste management, consultancy laboratory testing services.

3.

On preliminary examination, the Commission finds that the notified transaction could fall within the scope of the EC Merger Regulation. However, the final decision on this point is reserved. Pursuant to the Commission Notice on a simplified procedure for treatment of certain concentrations under the EC Merger Regulation (2) it should be noted that this case is a candidate for treatment under the procedure set out in the Notice.

4.

The Commission invites interested third parties to submit their possible observations on the proposed operation to the Commission.

On 26 August 2011, the Commission received a notification of a proposed concentration pursuant to Article 4 of Council Regulation (EC) No 139/2004 (1) by which the undertakings ECE Projektmanagement G.m.b.H. & Co. KG (‘ECE’, Germany), ultimately controlled by Mr. Alexander Otto, and METRO Group Asset Management Services (‘MAMS’, Germany), fully owned subsidiary of METRO AG (‘Metro’, Germany), acquire within the meaning of Article 3(1)(b) of the Merger Regulation joint control of the undertaking MEC Metro-ECE Centermanagement GmbH&Co.KG (‘MEC’, Germany) by way of purchase of shares in a newly created company constituting a joint venture.

2.

The business activities of the undertakings concerned are:

for ECE: acquisition, development, planning and construction of commercial buildings and other real estate property and the rental, management and disposal of such property,

for MAMS: leasing, development and management of the portfolio of investment properties of Metro Group real estate activities. It is fully owned by Metro AG, active in wholesale, food retail, non-food specialty stores such as for consumer electronic stores, and department stores,

for MEC: property management services for shopping-centers.

On preliminary examination, the Commission finds that the notified transaction could fall within the scope of the EC Merger Regulation. However, the final decision on this point is reserved. Pursuant to the Commission Notice on a simplified procedure for treatment of certain concentrations under the EC Merger Regulation (2) it should be noted that this case is a candidate for treatment under the procedure set out in the Notice.

4.

The Commission invites interested third parties to submit their possible observations on the proposed operation to the Commission.
