Prior notification of a concentration

On 12 October 2009, the Commission received a notification of a proposed concentration pursuant to Article 4 of Council Regulation (EC) No 139/2004 (1) by which Clayton, Dubilier & Rice Fund VIII, L.P. (‘CD & R Fund VIII’, U.S.A.) and Commercial Markets Holdco., Inc. (‘CMH’, U.S.A.) acquire within the meaning of Article 3(1)(b) of the Regulation joint control of JohnsonDiversey Holdings, Inc. (‘JDHI’, U.S.A.) by way of purchase of shares.

The business activities of the undertakings concerned are:

CD & R Fund VIII is a private equity fund that belongs to the Clayton, Dubilier & Rice private equity investment group based in the U.S.A. Clayton, Dubilier & Rice make its investments through a number of different funds that hold a portfolio of companies active in a variety of different economic sectors,

CMH is a family controlled holding company with no business other than holding shares in JDHI,

JDHI is the owner of essentially all of the shares of the operating company JohnsonDiversey, Inc. (Wisconsin, U.S.A.), a worldwide supplier of cleaning, hygiene and sanitizing products, equipment and related services to the institutional and industrial cleaning and sanitation markets.

On preliminary examination, the Commission finds that the notified transaction could fall within the scope of Regulation (EC) No 139/2004. However, the final decision on this point is reserved. Pursuant to the Commission Notice on a simplified procedure for treatment of certain concentrations under Council Regulation (EC) No 139/2004 (2) it should be noted that this case is a candidate for treatment under the procedure set out in the Notice.

The Commission invites interested third parties to submit their possible observations on the proposed operation to the Commission.

On 27 March 2009, Thermopyle SAS, a company with its registered office at 50 rue du Midi, 94300 Vincennes, FRANCE, applied for a five-year licence, designated the ‘Recouvrance Licence’, to prospect for liquid and gaseous hydrocarbons in an area of approximately 98 km2 covering part of the departments of Belfort and Haut-Rhin.

The perimeter of the area covered by this licence is made up of the meridian and parallel arcs successively joining the points defined below by their geographical coordinates in grads (NTF (Nouvelle Triangulation de la France), Paris meridian):

The decisions on the initial application and the competing applications will be based on the criteria governing the award of mining rights, as set out in Article 6 of the abovementioned Decree, and will be taken by 31 March 2011 at the latest.

On 14 October 2009, the Commission received a notification of a proposed concentration pursuant to Article 4 of Council Regulation (EC) No 139/2004 (1) by which the undertakings Brookfield Asset Management Inc. (‘Brookfield’, Canada) and Babcock & Brown Infrastructure (comprising Babcock & Brown Infrastructure Limited and Babcock & Brown Infrastructure Trust) (‘BBI’, Australia) acquire within the meaning of Article 3(1)(b) of the Regulation joint control of the undertaking Dalrymple Bay Coal Terminal (‘DBCT’, Australia) by way of purchase of shares.

2.

The business activities of the undertakings concerned are:

Brookfield is a global asset manager investing in property, power and other infrastructure assets,

BBI is an infrastructure fund which manages an international portfolio of infrastructure assets, principally in the transport sector and the energy distribution and transmission sector,

DBCT is an Australian port facility, which exports metallurgical and thermal coal mined in the Bowen Basin region of Queensland, Australia.

On preliminary examination, the Commission finds that the notified transaction could fall within the scope of Regulation (EC) No 139/2004. However, the final decision on this point is reserved. Pursuant to the Commission Notice on a simplified procedure for treatment of certain concentrations under Council Regulation (EC) No 139/2004 (2) it should be noted that this case is a candidate for treatment under the procedure set out in the Notice.

4.

The Commission invites interested third parties to submit their possible observations on the proposed operation to the Commission.

Notice of the impending expiry of certain anti-dumping measures

2009/C 252/09

1.   The Commission gives notice that, unless a review is initiated in accordance with the following procedure, the anti-dumping measures mentioned below will expire on the date mentioned in the table below, as provided in Article 2 of Council Regulation (EC) No 261/2008 of 17 March 2008 imposing a definitive anti-dumping duty on imports of certain compressors originating in the People's Republic of China (1).

2.   Procedure

Community producers may lodge a written request for a review. This request must contain sufficient evidence that the expiry of the measures would be likely to result in a continuation or recurrence of dumping and injury.

Should the Commission decide to review the measures concerned, importers, exporters, representatives of the exporting country and Community producers will then be provided with the opportunity to amplify, rebut or comment on the matters set out in the review request.

3.   Time limit

Community producers may submit a written request for a review on the above basis, to reach the European Commission, Directorate-General for Trade (Unit H-1), N-105 04/92, B-1049 Brussels (2) at any time from the date of the publication of the present notice but no later than three months before the date mentioned in the table below.

4.   This notice is published in accordance with Article 11(2) of Council Regulation (EC) No 384/96 (3).
