COUNCIL RESOLUTION

of 15 November 2007

on the new skills for new jobs

(2007/C 290/01)

THE COUNCIL OF THE EUROPEAN UNION,

RECALLING in particular:

(1)

The Lisbon European Council in March 2000 which launched a strategy aimed at sustainable economic growth with more and better jobs and greater social cohesion, with long term employment targets.

(2)

The Integrated Guidelines for growth and jobs (2005-2008) (1), in particular those addressing the need to improve matching of labour market needs, to expand and improve investment in human capital, to adapt education and training systems in response to new competence requirements, and to ensure adequate human resources for Research & Development (R&D) and innovation.

(3)

The Conclusions of the Council and of the Representatives of the Member States meeting within the Council of 14-15 November 2005 on the role of the development of skills and competences in taking forward the Lisbon goals (2).

(4)

The Recommendation of the European Parliament and of the Council of 18 December 2006 on key competences for lifelong learning (2006/962/EC) (3).

(5)

The proposed Recommendation establishing the European Qualifications Framework for lifelong learning which is close to being adopted by the European Parliament and the Council.

(6)

The Commission Communication ‘E-Skills for the 21st century: fostering competitiveness, growth and jobs’ of 7 September 2007 (4).

AWARE that:

(1)

Education and training, in the context of a lifelong learning perspective, are an indispensable means for promoting adaptability and employability, active citizenship, personal and professional fulfilment. They facilitate free mobility for European citizens and contribute to the achievement of the goals and aspirations of the European Union, as it seeks to respond to the challenges posed by globalisation and an ageing population. They should enable all citizens to acquire the necessary knowledge to take an active part in the knowledge society and the labour market.

(2)

The objectives of full employment, job quality, labour productivity and social cohesion can better be reached if they are reflected in clear priorities: to attract and retain more people in employment, to increase labour supply; to improve the adaptability of workers and enterprises; and to increase investment in human capital through better education, and the development of skills and competences.

STRESSES the need:

(1)

To provide all European citizens with new opportunities to improve their knowledge, skills and competence levels, to adapt to new requirements and to move to new and better jobs, by combining the instruments which already exist at European and national level.

(2)

To anticipate the skills needs — and also the skills gaps — which are emerging in the European labour markets.

(3)

To improve the matching of knowledge, skills and competences with the needs of society and the economy as a means to increased competitiveness and growth, as well as to greater social cohesion, in Europe.

THEREFORE INVITES THE MEMBER STATES AND THE COMMISSION TO:

(1)

Equip people for new jobs within the knowledge society, in particular through:

(a)

the raising of overall skills levels, giving priority to the education and training of those with low skills and other people most at risk of economic and social exclusion including early school leavers and young people with low levels of educational attainment, older workers, long term unemployed, women trying to return to the labour market, migrants and people with disabilities;

(b)

providing and encouraging initial and continuing education and training for skills and competences of the highest quality, even excellence, in order to maintain and strengthen their capacity for innovation and utilisation of research, which is required for greater competitiveness, growth and employment;

(c)

the promotion of excellence as regards skills in R&D and innovation, through inter alia the development of innovation clusters, involving enterprises as well as education and training and research institutions, and the Euroskills 2008 initiative;

(d)

the implementation of measures which aim at matching identified skills needs and filling potential gaps;

(e)

supporting jobseekers by providing them with vocational guidance and a personal training plan, which should identify the competence modules required to move to new jobs where there are skills gaps;

(f)

disseminating information on the skills and competences needed for new jobs through EURES, the national employment services and the European and national networks on guidance.

(2)

Continue work on the validation of learning outcomes and the transparency of qualifications, in particular by:

(a)

developing the validation of learning outcomes acquired through formal, non-formal and informal learning at the national level in line with the Council conclusions of May 2004 (5), the implementation of the European Qualifications Framework (EQF) and the existing or future European systems for credit transfer and accumulation in higher education and vocational education and training;

(b)

further developing Europass as an instrument for the implementation of the EQF and taking into account progress made in the setting up of national systems for the validation of non-formal and informal learning.

(3)

Address funding and quality issues through:

(a)

the use of structural funds in support of this initiative, as well the Lifelong Learning Programme, the Competitiveness and Innovation Framework Programme and the Seventh Framework Programme for Research and Technological Development;

(b)

the improvement of the quality and relevance of vocational education and training at all levels through the implementation of the quality assurance principles set out in European reference tools and the involvement of social partners.

THEREFORE INVITES THE COMMISSION TO:

(1)

Analyse, in the context of the Copenhagen process and cooperation in higher education, the need for added-value advisory mechanisms to strengthen the identification of new types of jobs and skill needs at the European level, making use of existing sectoral skills activities and projects under lifelong learning, entreprise and social dialogue policies. These mechanisms should aim to develop regular foresight of medium-term skills needs and identify short term skills gaps, defined in terms of occupational functions, reference levels (EQF) and key competences.

The mechanisms should build on:

expertise from inter alia enterprises, education and training institutions, employment services and researchers, and

existing labour market forecasts and the results of sectoral skills strategies at regional, national and European level, as well as of major studies launched on future skills needs at the national and European level;

(2)

Strengthen the European network for the early identification and forecast of skills needs (Cedefop's Skillsnet) and the European forecasting system on employment trends.

(3)

Report on the follow-up to this Resolution at the European and national levels in the framework of the Education and Training Work Programme, taking into account Member States' biennial national reports.

Initiation of proceedings

(Case COMP/M.4854 — TomTom/Tele Atlas)

On 28 November 2007, the Commission decided to initiate proceedings in the above-mentioned case after finding that the notified concentration raises serious doubts as to its compatibility with the common market. The initiation of proceedings opens a second phase investigation with regard to the notified concentration, and is without prejudice to the final decision on the case. The decision is based on Article 6(1)(c) of Council Regulation (EC) No 139/2004.

The Commission invites interested third parties to submit their observations on the proposed concentration to the Commission.

In order to be fully taken into account in the procedure, observations should reach the Commission not later than 15 days following the date of this publication. 1.

The Advisory Committee agrees with the Commission that the notified operation constitutes a concentration within the meaning of Article 3 of the Merger Regulation.

2.

The Advisory Committee agrees with the Commission that the notified operation has a Community dimension as defined in Article 1 of the Merger Regulation.

3.

The Advisory Committee agrees with the Commission's definition of the relevant product markets contained in the Draft Decision.

4.

The Advisory Committee agrees with the Commission's definition of the relevant geographic markets contained in the Draft Decision.

5.

The Advisory Committee shares the Commission's view that the proposed concentration will not significantly impede effective competition in the common market or in a substantial part of it.

6.

The Advisory Committee agrees with the Commission that the operation should be declared compatible with the common market and the functioning of the EEA Agreement in accordance with Articles 2(2) and 8(1) of the Merger Regulation and Article 57 of the EEA Agreement.

Final report of the Hearing Officer in Case COMP/M.3975 — Cargill/Degussa

On 21 October 2005, the parties notified the transaction to Commission pursuant to Article 4 of Council Regulation (EC) No 139/2004 (the ‘Merger Regulation’), by which the undertaking Cargill would acquire the food ingredients business of the German company Degussa AG.

On 23 November 2005, the parties submitted a remedies proposal, thus extending the deadline for the end of the first phase investigation to 14 December 2005.

Upon examination of the evidence submitted by the parties to the proposed concentration and after conducting a market investigation, the Commission concluded that the concentration raised serious doubts as to its compatibility with the common market and decided to initiate proceedings under Article 6(1)(c) of the Merger Regulation on 14 December 2005.

Key documents were provided for review by the parties in accordance with the best practices on the conduct of EC Merger control proceedings on 19 December 2005 and 17 January 2006.

Following an in-depth investigation, the Commission services concluded that the potential competition concerns identified in the Article 6(1)(c) decision for the relevant markets were removed. Accordingly, no statement of objections was sent to the parties.

The case does not call for any particular comments as regards the right to be heard.

Opinion of the Advisory Committee on concentrations given at its 152nd meeting on 2 July 2007 concerning a draft decision relating to Case COMP/M.4504 — SFR/Télé 2 France

1.

The Advisory Committee agrees with the Commission that the notified operation constitutes a concentration within the meaning of Article 3(1)(b) of the Merger Regulation (EC) No 139/2004.

2.

The Advisory Committee agrees with the Commission that the notified operation has a Community dimension pursuant to Article 1(2) of that Regulation.

3.

The Advisory Committee agrees with the Commission that for the purposes of assessing the present operation, the relevant product markets are:

(a)

the upstream market for the acquisition of broadcasting rights, and in particular of Video on Demand broadcasting rights for recent films;

(b)

the intermediate market for the wholesale distribution of pay television channels; and

(c)

the downstream market for the retail distribution of pay television services.

4.

The Advisory Committee agrees with the Commission that the geographic market is mainland France.

5.

The Advisory Committee agrees with the Commission that the proposed concentration will significantly impede effective competition in the common market or in a substantial part of it in relation to the French market for the retail distribution of pay television services resulting from Vivendi's strong position in the upstream market for the acquisition of broadcasting rights and in the intermediate market for the wholesale distribution of pay television channels, and from the change in its incentives vis-à-vis DSL operators active in the downstream market for the retail distribution of pay television services.

6.

The Advisory Committee agrees with the Commission that the commitments concerning:

(a)

channel access;

(b)

access to channel packages and pay per view services; and

(c)

broadcasting rights for Video on Demand,

are sufficient to remove the significant impediments to effective competition identified in Question 5.

7.

The Advisory Committee agrees with the Commission that, subject to full compliance with the commitments offered by the parties, and considered all commitments together, the notified concentration must be declared compatible with the common market and the functioning of the EEA Agreement pursuant to Articles 2(2), 8(2) and 10(2) of the EC Merger Regulation and Article 57 of the EEA Agreement.

Final report of the Hearing Officer in Case COMP/M.4504 — SFR/Télé 2 France

On 28 November 2006, the Commission received notification of a proposed concentration by which SFR SA (‘SFR’), an undertaking jointly controlled by Vivendi SA (‘Vivendi’) and Vodafone Group plc (‘Vodafone’), would acquire, within the meaning of Article 3(1)(b) of the Merger Regulation, sole control of the Internet access and fixed telephony business of the undertaking Télé 2 France (‘Télé 2’, a subsidiary of the Télé 2 group) by way of a purchase of shares.

By Commission decision of 11 December 2006, the notification was declared incomplete. On 29 January 2007, SFR provided additional information. By letter dated 5 February 2007, the Commission informed SFR that the notification could be considered to be complete as of that date. In acordance with Article 5(2) of Commission Regulation (EC) No 802/2004, notification of the transaction became effective on 29 January 2007.

After a preliminary examination of the notification, the Commission concluded that the transaction as notified fell under the Merger Regulation and expressed serious doubts as to its compatibility with the common market. Consequently, it decided on 19 March 2007 to initiate proceedings pursuant to Article 6(1)(c) of the Merger Regulation.

SFR was given access to the key documents in the file, in accordance with the Best Practices rules for merger cases, in the form of non-confidential versions of third parties' replies to the phase-one requests for information; these were provided to SFR on 30 March 2007.

Following an in-depth market investigation, the Commission took the view that the notified transaction could result in a significant weakening of competitive pressure on all the pay-TV markets in France.

In order to address the risks to competition, SFR and Vivendi submitted an initial set of commitment proposals on 26 February 2007. Having been informed that the Commission deemed this first set of proposals insufficient, they submitted further proposals on 14 March and 26 April 2007. In the light of the findings of a market survey carried out by the Commission, they then submitted the final version of the commitments on 13 June 2007.

Provided that SFR and Vivendi fully adhere to the commitments submitted on 13 June 2007, the Commission has concluded that the proposed transaction will not significantly impede effective competition in the common market or in a substantial part thereof, in particular by creating or strengthening a dominant position. Accordingly, no statement of objections was sent to the parties.

No queries or submissions have been made to me by the parties or any third party. The case does not call for any particular comments as regards the right to be heard.

F-Aurillac: operation of scheduled air services

Operation of scheduled air services between Aurillac and Paris (Orly)

Notice of a competitive public tender issued by France pursuant to Article 4(1)(d) of Council Regulation (EEC) No 2408/92 for the delegation of a public service

1.   Introduction: Pursuant to Article 4(1)(a) of Regulation (EEC) No 2408/92 of 23.7.1992 on access for Community air carriers to intra-Community air routes, France has imposed a public service obligation on scheduled air services between Aurillac and Paris (Orly). The standards required by this public service obligation were published in Official Journal of the European Union C 289 of 1.12.2007.

If on 1.5.2008 no air carrier has commenced or is about to commence operating these scheduled air services in accordance with the public service obligation imposed and without requesting financial compensation, France has decided, in accordance with the procedure laid down in Article 4(1)(d) of the above-mentioned Regulation, to limit access to the route to only 1 carrier and to offer the right to operate such services from 1.6.2008 by invitation to tender.

3.   Subject of the consultation: To provide, from 1.6.2008, scheduled air services in accordance with the public service obligation specified in paragraph 1.

4.   Main features of the contract: This is a public service delegation contract concluded between the carrier, the Chamber of Trade and Industry of Cantal and the State, in accordance with Article 8 of Decree No 2005-473 of 16.5.2005 relating ‘inter alia’ to the rules governing the allocation of financial compensation by the State.

The delegatee will receive the revenue. The Chamber of Trade and Industry of Cantal and the State will pay it a contribution corresponding to the difference between the actual expenditure, excluding taxes (VAT, and aviation taxes), on operating the service and the commercial revenue excluding taxes (VAT, and aviation taxes) received by it, within the limit of the maximum compensation to which it has committed itself, after deduction, where appropriate, of the penalties specified in Section 9-4 of this notice.

5.   Duration of the contract: The duration of the contract (public service delegation agreement) is 3 years from 1.6.2008.

6.   Participation in the consultation: Participation is open to all air carriers holding a valid operating licence issued in accordance with Council Regulation (EEC) No 2407/92 of 23.7.1992 on licensing of air carriers.

7.   Award procedure and criteria for selecting applications: This invitation to tender is subject to Articles 4(1)(d), (e), (f), (g), (h) and (i) of Regulation (EEC) No 2408/92, Chapter IV, Section 1 of Law No 93-122 of 29.1.1993 on the prevention of corruption and on transparency in public life and government procedures and the texts implementing it (in particular Decree No 97-638 of 31.5.1997 implementing Law No 97-210 of 11.3.1997 on strengthening the fight against illegal employment), and Decree No 2005-473 of 16.5.2005 relating ‘inter alia’ to the rules governing the allocation of financial compensation by the State and the 3 Orders of 16.5.2005 implementing it.

7-1.   Application file: The application file must be drawn up in French. Where necessary, tenderers must have documents issued by public authorities in an official language of the European Union translated into French. Along with the French version, tenderers may enclose a version drafted in another official language of the European Union; this version will not be authentic.

The application file must contain the following:

an application letter, signed by the manager or his or her representative, together with documents giving the power to sign;

a memorandum presenting the undertaking and vouching for the applicant's professional capability and financial standing in the field of air transport, together with any relevant references. This memorandum must make it possible to assess the applicant's ability to ensure the continuity of the public service and guarantee equality of treatment for users; if they so wish, the applicants may base their application on the model form DC5 used in connection with the award of public contracts;

the overall turnover and the turnover relating to the supply of relevant services over the last 3 years or, if the applicant so wishes, the balance sheets and outturn accounts for the last 3 years. If it cannot provide this information, the applicant must explain the reasons;

a methodology note explaining how the applicant proposes to respond to the consultation file if it is allowed by the Chamber of Trade and Industry of Cantal to submit a tender, setting out, in particular:

the technical and human resources which the applicant will assign to the operation of the route,

the number, qualifications and assignment of personnel and any recruitments that the applicant proposes to make,

the types of aircraft used and, where appropriate, their registration,

a copy of the tenderer's air carrier operating licence,

if the operating licence was issued by a European Union Member State other than France, the tenderer must also provide the following information:

the country in which the pilots' licences were issued,

the law applicable to the employment contracts,

details of membership of social insurance bodies,

the steps taken to comply with Articles L. 342-1 to L. 342-6 and Articles D. 341-5 ‘et seq.’ of the Labour Code relating to the temporary secondment of wage-earners for the purpose of supplying services on the national territory;

certificates or statements issued on honour, as provided for in Article 8 of Decree No 97-638 of 31.5.1997 and the Order of 31.1.2003 implementing Article 8 of the aforementioned Decree, vouching that the applicant has discharged its obligations with regard to taxation and social insurance, in particular covering:

corporation tax,

value added tax,

contributions in respect of social insurance, work accidents, occupational illnesses and family allowances,

civil aviation tax,

airport tax,

tax on noise pollution from aircraft,

solidarity levy;

In the case of applications from a European Union Member State other than France, equivalent certificates or statements must be drawn up by the administrations and bodies of the country of origin;

a statement issued on honour relating to the absence of conviction recorded in bulletin No 2 for offences referred to in Articles L. 324-9, L. 324-10, L. 341-6, L. 125-1 and L. 125-3 of the Labour Code;

a statement issued on honour and/or proof of compliance with the obligation to employ handicapped workers provided for in Article L. 323-1 of the Labour Code;

extract ‘K bis’ of the entry in the Companies Register, or an equivalent document;

pursuant to Article 7 of Regulation (EEC) No 2407/92 of 23.7.1992, an insurance certificate less than 3 months old covering civil liability in the event of accidents, in particular in respect of passengers, baggage, cargo, mail and third parties and conforming to Regulation (EC) No 785/2004 of 21.4.2004, and in particular Article 4 thereof;

in the event of a safeguard or collective procedure measure, a copy of any judgment to this effect (if the judgment is not drawn up in French, it must be accompanied by a certified translation).

7-2.   Procedures for the examination of applications: Applications will be selected with reference to the following criteria:

the professional and financial guarantees offered by the applicants,

their ability to ensure the continuity of the public service and guarantee equality of treatment for users with regard to that service,

their compliance with the obligation to employ handicapped workers laid down in Article L. 323-1 of the Labour Code.

8.   Criteria for the award of the contract: The carriers whose applications are accepted will subsequently be invited to submit their tenders in accordance with the procedures laid down in the specific rules for the invitation to tender which will then be supplied to them.

Tenders submitted in this way will be negotiated freely by the authority responsible in the Chamber of Trade and Industry of Cantal.

In accordance with Article 4(1)(f) of Regulation (EEC) No 2408/92, selection among the tenders will be made taking into consideration the adequacy of the service, including the prices and conditions which can be quoted to users, and the cost of the compensation required.

9.   Essential additional information:

9-1.   Financial compensation: The tenders submitted by the carriers whose applications are accepted must specify the maximum amount required by way of compensation for operating the route for 3 years from 1.6.2008, with an annual breakdown. The exact amount of compensation finally granted will be determined annually ‘ex post’ on the basis of the costs and revenue actually generated by the service, within the limits of the amount stated in the tender. This maximum limit may be revised only in the event of unforeseen changes in the operating conditions.

The annual payments will be made in the form of advance payments and an adjustment balance. The balance will be paid only after approval of the carrier's accounts for the route in question and verification that the service has been operated in accordance with the conditions laid down in Section 9-2 below.

In the event of termination of the contract before its normal expiry date, Section 9-2 will be applied as soon as possible to allow payment to the carrier of the balance due, the maximum amount referred to in the first subparagraph being reduced in proportion to the actual duration of the service.

9-2.   Verification of the performance of the service and of the carrier's accounts: The performance of the service and the carrier's cost accounting for the route in question will be examined at least once a year in cooperation with the carrier.

9-3.   Amendment and termination of the contract: Where the carrier believes that unforeseen changes in the operating conditions justify revision of the maximum amount of financial compensation, it must present a reasoned request to the other signatory parties, which must reach a decision within 2 months. The contract may then be amended by means of an additional agreement.

The contract may be terminated by either of the signatory parties before the normal end of the validity of the contract provided that a 6-month period of notice is observed. In the event of serious breaches of its contractual obligations, the carrier will be deemed to have terminated the contract without notice if it does not resume the service in accordance with the public service obligation within 1 month of the serving of formal notice.

9-4.   Penalties or other deductions provided for in the contract: Failure by the carrier to observe the period of notice referred to in Section 9-3 will be subject either to an administrative fine pursuant to Article R.330-20 of the Civil Aviation Code, or to a penalty calculated on the basis of the number of months of default and the actual operating loss of the service during the year in question, but not exceeding the maximum financial compensation provided for in Section 9-1.

In the event of minor breaches of the public service obligation, the maximum financial compensation provided for in Section 9-1 will be reduced, without prejudice to the application of Article R.330-20 of the Civil Aviation Code.

Such reductions will take account, as appropriate, of the number of flights cancelled for reasons directly attributable to the carrier, the number of flights made with less than the required capacity, and the number of flights not complying with the public service obligation in terms of stopovers and fares charged.

10.   Submission of applications: Application files must be enclosed in a sealed envelope marked: ‘Réponse à l'appel de candidatures Ligne aérienne Aurillac/Paris (Orly) - À n'ouvrir que par le destinataire’. They must be sent by registered letter with acknowledgement of receipt (the date on the latter serving as proof of the date of receipt) or delivered by hand (in which case a receipt must be obtained) to reach the following address by no later than 16.1.2008 (12:00), local time on:

11.   Subsequent procedure: Not later than 21.1.2008, the Chamber of Trade and Industry of Cantal will send the selected applicants a tender file including the tender rules and a draft contract.

The applicants selected must submit their tenders by not later than Monday 18.2.2008 (12:00), local time.

The bid will be binding on the tenderer for a period of 280 days from its submission.

12.   Validity of the invitation to tender: The validity of this invitation to tender is subject to the condition that no Community carrier presents by 1.5.2008 a programme for operating the route in question from 1.6.2008 in accordance with the public service obligation imposed and without receiving any financial compensation.
