On 31 July 2006, the Commission received a notification of a proposed concentration pursuant to Article 4 of Council Regulation (EC) No 139/2004 (1) by which the undertaking Toshiba Corporation (‘Toshiba’, Japan) acquires within the meaning of Article 3(1)(b) of the Council Regulation control of the undertakings Westinghouse Electric Limited (UK) and BNFL USA Group Inc. (USA, together ‘Westinghouse’) by way of purchase of shares.

The business activities of the undertakings concerned are:

—	Toshiba: electronic devices and components, information and communication systems, digital consumer products as well as power systems, including for commercial nuclear power plants;

—	Westinghouse: provider of nuclear fuel, development of nuclear power plants as well as goods and services for such plants.

3.	On preliminary examination, the Commission finds that the notified transaction could fall within the scope of Regulation (EC) No 139/2004. However, the final decision on this point is reserved.

The Commission invites interested third parties to submit their possible observations on the proposed operation to the Commission.

On 31 July 2006, the Commission received a notification of a proposed concentration pursuant to Article 4 of Council Regulation (EC) No 139/2004 (1) by which the undertaking BC Funds (‘BC Funds’, Guernsey) managed by CIE Management II Limited (CIEM), a company ultimately controlled by BC Partners Holdings Limited acquires within the meaning of Article 3(1)(b) of the Council Regulation control of the whole of the undertaking Brenntag Investor Holding Gmbh (‘Brenntag’, Germany) by way of purchase of shares.

The business activities of the undertakings concerned are:

—	for CIEM: general manager of BC Funds,

—	for BC Funds: private equity funds,

—	for Brenntag: worldwide processing, storage, trading and distribution of chemical substances.

On preliminary examination, the Commission finds that the notified transaction could fall within the scope of Regulation (EC) No 139/2004. However, the final decision on this point is reserved. Pursuant to the Commission Notice on a simplified procedure for treatment of certain concentrations under Council Regulation (EC) No 139/2004 (2) it should be noted that this case is a candidate for treatment under the procedure set out in the Notice.

The Commission invites interested third parties to submit their possible observations on the proposed operation to the Commission.

Modification by the United Kingdom of public service obligations in respect of scheduled air services between Glasgow-Campbeltown, Glasgow-Tiree and Glasgow-Barra

(Glasgow Airport means Glasgow International Airport)

The United Kingdom has decided to modify the public service obligations in respect of the scheduled air services between Glasgow-Campbeltown, Glasgow-Tiree and Glasgow-Barra as set out in the Notices published in the Official Journal of the European Communities No C 387/06 and No C 387/07 of 21 December 1996, as modified in the Official Journal of the European Communities/Union No C 355/03 and No C 355/04 of 8 December 1999, No C 310/07 and No C 310/08 of 13 December 2002, No C 278/05 and No C 278/06 of 19 November 2003, No C 321/06 and No C 321/05 of 16 December 2005, pursuant to Article 4(1)(a) of Council Regulation (EEC) No 2408/92 of 23 July 1992 on access for Community air carriers to intra-Community air routes.

The modified public service obligations are as follows:

— Minimum frequencies

—	Two return trips per day except Saturday and Sunday between Glasgow and Campbeltown;

—	One return trip per day except Sunday between Glasgow and Tiree; and

—	One return trip per day except Sunday between Glasgow and Barra.

— Capacity

—	The capacity of the aircraft used on the Glasgow-Campbeltown route on Monday to Friday should be not less than 14 seats Glasgow to Campbeltown and 16 seats Campbeltown to Glasgow;

—	The capacity of the aircraft used on the Glasgow-Tiree route on Monday to Saturday should be not less than 13 seats Glasgow to Tiree and 16 seats Tiree to Glasgow;

—	The capacity of the aircraft used on the Glasgow-Barra route on Monday to Friday should be not less than 13 seats Glasgow to Barra and 15 seats Barra to Glasgow; and

—	The capacity of the aircraft used on the Glasgow-Barra route on Saturday should be not less than 12 seats Glasgow to Barra and 15 seats Barra to Glasgow.

(Provision is currently made by the present operator for one seat for the post office on all outbound Glasgow to Tiree services. This is, however, subject to separate contract arrangements.)

— Aircraft types

The aircraft used for the Barra route should be suitable for landing on Barra airstrip which is located on Traigh Mhor beach.

— Fares

—	The price of a single ticket for travel on the Glasgow to Campbeltown route must not exceed GBP 50 (including the passenger service charge and security charge but excluding air passenger duty);

—	The price of a single ticket for travel on the Glasgow to Tiree route must not exceed GBP 62 (including passenger service charge and security charge but excluding air passenger duty); and

—	The price of a single ticket for travel on the Glasgow to Barra route must not exceed GBP 71 (including passenger service charge and security charge but excluding air passenger duty).

The maximum fare on the routes may be increased once every year with the prior written consent of the Scottish Ministers in line with the United Kingdom's Retail Price Index (all items) or any successor index to this.

No other changes may be made to the fare levels without the prior written consent of the Scottish Ministers.

The new maximum fare on each route must be notified to the Civil Aviation Authority and will not enter into force prior to their notification to the European Commission which may publish them in the Official Journal of the European Union.

The business activities of the undertakings concerned are:

—	for undertaking Edison: generation, transmission and supply of electricity, production, transportation, distribution and supply of hydro-carbons mainly in Italy;

—	for undertaking EEI: supply of electricity to eligible customers in Italy.

The Commission invites interested third parties to submit their possible observations on the proposed operation to the Commission.
