1.

On 23 May 2005, the Commission received a notification of a proposed concentration pursuant to Article 4 of Council Regulation (EC) No 139/2004 (1) by which the undertakings Oranje-Nassau Group B.V. (‘ONG’, the Netherlands) and SHV Holdings (‘SHV’, the Netherlands) acquire within the meaning of Article 3(1)(b) of the Council Regulation joint control of the undertaking Edinburgh Oil & Gas plc (‘Edinburgh’, UK) through a newly created vehicle company Dyon UK Limited, by way of purchase of shares.

2.

The business activities of the undertakings concerned are:

for ONG: investment and management of interests in energy,

for SHV: supply and distribution of liquefied petroleum gas, supply of food and non-food consumer goods, production and supply of raw materials, exploration and production of oil and gas,

for Edinburgh: exploration and production of oil and gas.

3.

On preliminary examination, the Commission finds that the notified transaction could fall within the scope of Regulation (EC) No 139/2004. However, the final decision on this point is reserved. Pursuant to the Commission Notice on a simplified procedure for treatment of certain concentrations under Council Regulation (EC) No 139/2004 (2) it should be noted that this case is a candidate for treatment under the procedure set out in the Notice.

4.

The Commission invites interested third parties to submit their possible observations on the proposed operation to the Commission.

Observations must reach the Commission not later than 10 days following the date of this publication. On 19 May 2005 the Commission received a notification of a proposed concentration pursuant to Article 4 of Council Regulation (EC) No 139/2004 (1) by which the Dutch undertakings PCM Holding BV (PCM) and Koninklijke Wegener NV (Wegener) acquire within the meaning of Article 3(1)(b) of the Council Regulation joint control of a newly created company constituting a joint venture (JV) by way of transfer of assets.

2.

The business activities of the undertakings concerned are:

for PCM: publishing of newspapers, free sheets, books, electronic information and professional information in the Netherlands,

for Wegener: publishing of regional newspapers, free sheets and special interest magazines, developing and selling of Internet products and the offering of graphical products and services in the Netherlands,

for the JV: publishing of a new national newspaper.

3.

On preliminary examination, the Commission finds that the notified transaction could fall within the scope of Regulation (EC) No 139/2004. However, the final decision on this point is reserved.

NEW NATIONAL SIDE OF EURO CIRCULATION COINS

Image

Euro circulation coins have legal tender status throughout the euro area. The Commission publishes all new euro coin designs (1) with a view to informing anyone required to handle coins in the course of their work and the public at large. In accordance with the Council conclusions of 8 December 2003 (2), Member States and countries that have concluded a Monetary Agreement with the Community providing for the issuance of euro circulation coins are allowed to issue certain quantities of commemorative euro circulation coins on condition that not more than one new coin design is issued per country per year and that only the 2 EUR denomination is used. These coins have the technical features of normal euro circulation coins, but bear a commemorative design on the obverse national side.

Issuing State: Spain

Subject of commemoration: 4th centenary of the first edition of ‘The ingenious nobleman Don Quixote of La Mancha’

Factual description of the design: The inner part of the coin depicts an image of ‘El Ingenioso Hidalgo Don Quijote de la Mancha’, who appears holding a lance, and windmills in the background. To the left, there is a marked sector in which the word ‘ESPAÑA’ appears incused, and underneath this sector the MINT mark ‘M’. On the outer ring of the coin, the twelve stars of the European Union are depicted, with, on the right, four of them (corresponding to the positions 1, 2, 3 and 4 on a clock) incused within an arc. The year of mintage appears at the bottom among three stars.
