On 8 October 2004, the Commission received a notification of a proposed concentration pursuant to Article 4 of Council Regulation (EC) No 139/2004 (1) by which the undertakings Kesko Food Ltd. (‘Kesko’, Finland), belonging to the Kesko Group (Finland), and ICA Baltic AB (‘ICA’, Sweden), belonging to ICA Group (Sweden), acquire within the meaning of Article 3(1)(b) of the Council Regulation joint control of a newly created company constituting a joint venture (‘the JV’), by way of transfer of shares. |

The business activities of the undertakings concerned are:

On preliminary examination, the Commission finds that the notified transaction could fall within the scope of Regulation (EC) No 139/2004. However, the final decision on this point is reserved. |

4. |
The Commission invites interested third parties to submit their possible observations on the proposed operation to the Commission. Observations must reach the Commission not later than 10 days following the date of this publication. On 11 October 2004, the Commission received a notification of a proposed concentration pursuant to Article 4 of Council Regulation (EC) No 139/2004 (1) by which the undertaking FIAT Netherlands Holding N.V. (‘FNH’), belonging to the FIAT Group (Italy), acquires within the meaning of Article 3(1)(b) of the Council Regulation sole control of the whole of the undertaking Magneti Marelli Sistemi Elettronici S.p.A. (MMSE, Italy) by way of purchase of shares. |

COMMISSION OPINION
of 22 June 2004
concerning the plan for the disposal of radioactive waste resulting from the modification of authorisations for discharges of liquid radioactive effluent from the Cattenom nuclear power station in France, in accordance with Article 37 of the Euratom Treaty

On 6 January 2004, the European Commission received from the French Government, in accordance with Article 37 of the Euratom Treaty, general data relating to the plan for the disposal of radioactive waste resulting from the modification of authorisations for discharges of liquid radioactive effluent from the Cattenom nuclear power station.
On the basis of these data and the memo addressed to the European Commission by the Permanent Representation of France on 5 April 2004, and following consultation with the group of experts, the Commission has drawn up the following opinion:

(a) |
the distance from the installation to the nearest town on the territory of another Member State is 11 km to Burmerange in the Grand Duchy of Luxembourg: Perl in Germany is 14 km away; |
|
(b) |
the planned modification will lead to a general decrease of the gaseous and liquid discharge limits except for liquid tritium for which an increase is foreseen; |
|
(c) |
during normal operation, the planned modification will not cause an exposure of the population in another Member State that is significant from the point of view of health; |
|
(d) |
in the event of unplanned releases of radioactive effluents resulting from an accident of the type and magnitude considered in the initial general data, the planned modification will not give rise to any significant effect from the point of view of health on the population of another Member State. |
In conclusion, the Commission is of the opinion that the implementation of the plan for the disposal of radioactive waste in whatever form resulting from the modification of authorisations of discharges of liquid radioactive effluents from the Cattenom nuclear power station, located in France, both in normal operation and in the event of an accident of the type and magnitude considered in the general data, is not liable to result in the radioactive contamination, significant from the point of view of health, of the water, soil or airspace of another Member State.

OPINION OF THE EUROPEAN CENTRAL BANK
of 6 October 2004
at the request of the Council of the European Union on a recommendation by the Commission of the European Communities for a Council decision on the opening of negotiations concerning an agreement on monetary relations with the Principality of Andorra (COM(2004) 548 final)

The Council of the European Union requested on 8 September 2004 an opinion from the European Central Bank (ECB) on a recommendation by the Commission of the European Communities for a Council decision on the opening of negotiations regarding an agreement on monetary relations with the Principality of Andorra (COM(2004) 548 final) (hereinafter the recommendation). |

The ECB's competence to deliver an opinion on the recommendation is based on Article 111(3) of the Treaty establishing the European Community. In accordance with the first sentence of Article 17.5 of the Rules of Procedure of the European Central Bank, the Governing Council has adopted this opinion. |

The recommendation proposes a draft Council decision establishing that since the necessary conditions laid down in Council Decision 2004/548/EC of 11 May 2004 (1) for the opening of the negotiations between the Community and the Principality of Andorra (hereinafter Andorra) on a monetary agreement (hereinafter the Agreement) have been fulfilled, these negotiations may be opened. |

In its Opinion CON/2004/12 of 1 April 2004 on Decision 2004/548/EC (2), the ECB acknowledged, inter alia, that it would be in the Community's interest to open negotiations on the Agreement. |
|

The recommendation considers that the necessary conditions in Decision 2004/548/EC have been fulfilled since the Community and Andorra have initialised the agreement on the taxation of income from savings and Andorra has undertaken to ratify it before 30 April 2005. On this basis, the ECB sees no reasons that would militate against adopting a Council decision to open negotiations with Andorra on the Agreement. |

The ECB notes that negotiations on the Agreeement will be suspended if Andorra does not ratify the agreement on the taxation of income from savings before 30 April 2005. |

7. |
In accordance with Article 7 of Decision 2004/548/EC, the Commission will conduct the negotiations with Andorra on behalf of the Community, with Spain and France being fully associated with the negotiations and the ECB being fully associated with those negotiations falling within its field of competence. |
