Prior notification of a concentration

(Case M.7858 — INEOS/parts of Celanese)

On 1 April 2016, the Commission received a notification of a proposed concentration pursuant to Article 4 and following a referral pursuant to Article 4(5) of Council Regulation (EC) No 139/2004 (1) by which INEOS Europe AG (‘INEOS’, Switzerland) acquires within the meaning of Article 3(1)(b) of the Merger Regulation control of parts of Celanese Sales Germany GmbH (‘Celanese’, Germany), namely Celanese’s European n-butyl acetate Business (‘CBB’, Germany) by way of purchase of assets.


The business activities of the undertakings concerned are:

—   for INEOS: a manufacturer of petrochemicals, specialty chemicals and oil products globally,

—   for Celanese: active in the manufacture and supply of a variety of chemical products such as intermediate chemistry (e.g. n-butyl acetate, acetic acid), emulsion polymers (e.g. vinyl acetate copolymers), food ingredients (e.g. acesulfame potassium) and engineered materials (e.g. thermoplastic polyesters), commercialised in the EEA, the Middle East, North Africa and Russia,

—   for CBB: comprises the existing n-butyl acetate commercial contracts with customers in the EEA, with the exclusion of manufacturing assets.


On preliminary examination, the Commission finds that the notified transaction could fall within the scope of the Merger Regulation. However, the final decision on this point is reserved.


The Commission invites interested third parties to submit their possible observations on the proposed operation to the Commission.
