Prior notification of a concentration
(Case M.8010 — Irish Life/Aviva Health/GloHealth)

On 28 April 2016, the Commission received a notification of a proposed concentration pursuant to Article 4 of Council Regulation (EC) No 139/2004 (1) by which the undertaking Irish Life Group Limited (‘Irish Life’, Ireland), a wholly owned indirect subsidiary of Great-West Lifeco Inc. (‘Great-West Lifeco’, Canada), acquires within the meaning of Article 3(1)(b) of the Merger Regulation sole control of the whole of the undertakings GloHealth Financial Services Limited (‘GloHealth’, Ireland) and Aviva Health Insurance Ireland Limited (‘Aviva Health’, Ireland) by way of purchase of shares. |

The business activities of the undertakings concerned are: — Great-West Lifeco: international financial services holding company with interests in life insurance, health insurance, retirement and investment services, asset management, and reinsurance businesses in Canada, the United States, Europe and Asia, — Irish Life: provision of life insurance, pensions, retirement savings and asset management services in Ireland, — GloHealth: provision of health insurance products to both consumer and business customers in Ireland, — Aviva Health: provision of health insurance products to both consumer and business customers in Ireland. |

On preliminary examination, the Commission finds that the notified transaction could fall within the scope of the Merger Regulation. However, the final decision on this point is reserved. |

The Commission invites interested third parties to submit their possible observations on the proposed operation to the Commission. Observations must reach the Commission not later than 10 days following the date of this publication.
