Prior notification of a concentration

(Case M.7784 — CF Industries Holdings/OCI Business)

1.

On 30 October 2015, the Commission received a notification of a proposed concentration pursuant to Article 4 of Council Regulation (EC) No 139/2004 (1) by which the undertaking CF Industries Holdings, Inc. (‘CF’, United States) acquires within the meaning of Article 3(1)(b) of the Merger Regulation control of parts of OCI N.V. (‘OCI Business’), by way of purchase of shares.

The business activities of the undertakings concerned are:

—   CF: manufacturing and distribution of nitrogen fertilizers and other nitrogen products. It operates nitrogen manufacturing complexes in the United States, Canada and the United Kingdom, and distributes plant nutrients through terminals, warehouses, and associated transportation equipment located primarily in the United States,

—   OCI Business: manufacturing and supply of nitrogen fertilizers, melamine and methanol and trading and distribution of nitrogen fertilizers. It has manufacturing facilities in the United States and the Netherlands, and a global distribution network.

On preliminary examination, the Commission finds that the notified transaction could fall within the scope of the Merger Regulation. However, the final decision on this point is reserved.

The Commission invites interested third parties to submit their possible observations on the proposed operation to the Commission.
