1.

On 2 June 2014, the Commission received a notification of a proposed concentration pursuant to Article 4 of Council Regulation (EC) No 139/2004 (1) by which the undertakings Advent International Corporation (‘Advent International’, the United States) and Bain Capital Investors L.L.C (‘Bain Capital’, the United States) acquire within the meaning of Article 3(1)(b) of the Merger Regulation joint control of the undertaking Nets Holding A/S (‘Nets’, Denmark) by way of purchase of shares.

The business activities of the undertakings concerned are:

—   for Advent International: private equity investment in various sectors including information technology, communications, industrial, retail, healthcare, pharmaceuticals, internet and media, globally,

—   for Bain Capital: private equity investment in various sectors including information technology, communications, industrial/manufacturing, retail, consumer products, healthcare and financial, globally,

—   for Nets: development, operation and supply of systems and services for payment cards, payment services and payment systems including, merchant acquiring, payment processing, direct debit schemes, credit transfers, clearing and e-security solutions, in Denmark, Sweden, Finland, Norway and Estonia.

On preliminary examination, the Commission finds that the notified transaction could fall within the scope of the Merger Regulation. However, the final decision on this point is reserved.

The Commission invites interested third parties to submit their possible observations on the proposed operation to the Commission.
