1.

On 2 May 2014, the European Commission received notification of a proposed concentration pursuant to Article 4 of Council Regulation (EC) No 139/2004 (1) by which the undertaking SPC Sunflower Plastic Compound GmbH (‘SPC’, Germany) controlled by U.S. Ukraine Support GmbH and Ulrich und Elke Meyer Invest GmbH (both of Germany), and Cargill GmbH (‘Cargill’, Germany) controlled by the Cargill Incorporated Group (USA) acquire within the meaning of Article 3(1)(b) of the Merger Regulation joint control of the undertaking Golden Compound GmbH (‘GC’, Germany) by way of purchase of shares in a newly created company constituting a joint venture.

The business activities of the undertakings concerned are:

—   SPC: Development, marketing and utilisation of processes and technologies for the production of biomaterials,

—   Cargill: Provision of products and services to the food, agricultural, financial and industrial sectors,

—   GC: Production of compounds made from plastic granules and sunflower seed husks, and research into improving the production process.

On preliminary examination, the Commission finds that the notified transaction could fall within the scope of the Merger Regulation. However, the final decision on this point is reserved. Pursuant to the Commission Notice on a simplified procedure for treatment of certain concentrations under the Merger Regulation (2), it should be noted that this case is a candidate for treatment under the procedure set out in the Notice.

The Commission invites interested third parties to submit to it their observations on the proposed operation.
