Prior notification of a concentration

(Case COMP/M.7058 — EQT VI/Terveystalo Healthcare)

1.

On 28 October 2013, the Commission received a notification of a proposed concentration pursuant to Article 4 of Council Regulation (EC) No 139/2004 (1) by which the undertaking EQT VI Limited (‘EQT VI’, Guernsey, the UK) controlled by the EQT group of private equity funds (‘EQT’, Guernsey, the UK), acquires within the meaning of Article 3(1)(b) of the Merger Regulation control of the whole of Terveystalo Healthcare Holding Oy (‘Terveystalo’, Finland) by way of purchase of shares.

The business activities of the undertakings concerned are:

EQT VI is an investment fund primarily active in Northern Europe and belonging to EQT, a group of private equity funds with activities in various industries, amongst others medical supplies. These supplies include medical products and medical devices (for instance BSN Medical for wound care, compression therapy and orthopaedics products, Atos Medical for ear, nose and throat products, and HTL-Strefa for blood micro-sampling devices),

Terveystalo is a Finnish healthcare service company belonging to the Terveystalo group of companies. It provides healthcare services almost exclusively in Finland to various customers including private companies, organizations, insurance companies and the public sector.

On preliminary examination, the Commission finds that the notified transaction could fall within the scope the EC Merger Regulation. However, the final decision on this point is reserved.

The Commission invites interested third parties to submit their possible observations on the proposed operation to the Commission.
