Prior notification of a concentration

(Case COMP/M.5512 — Electrabel/E.ON)

1.

On 11 September 2009, the Commission received a notification of a proposed concentration pursuant to Article 4 of Council Regulation (EC) No 139/2004 (1) by which Electrabel S.A./N.V. (‘Electrabel’, Belgium) belonging to GDF Suez Group (‘GDF Suez’, France) acquires within the meaning of Article 3(1)(b) of the Regulation sole control of certain power plants and drawing rights of electricity capacities in Germany from E.ON AG (‘E.ON’, Germany).

The business activities of the undertakings concerned are:

Electrabel: generation and supply of electricity, natural gas, district heat, energy-related services; electricity, gas and emission allowances trading,

—

GDF SUEZ SA is an international industrial and services group, which is active in electricity, natural gas, energy services, water and waste management, inter alia,

—

E.ON: generation and supply of electricity and natural gas.

On preliminary examination, the Commission finds that the notified transaction could fall within the scope of Regulation (EC) No 139/2004. However, the final decision on this point is reserved.

The Commission invites interested third parties to submit their possible observations on the proposed operation to the Commission.
