Prior notification of a concentration

(Case COMP/M.5564 — Raiffeisen Leasing/SAG/Advisory House/The Mobility House JV)

Candidate case for simplified procedure

1.

On 20 July 2009, the Commission received a notification of a proposed concentration consisting of two interrelated transactions, pursuant to Article 4 of Council Regulation (EC) No 139/2004 (1) by which the undertakings Raiffeisen Leasing GmbH (‘Raiffeisen Leasing’, Austria) belonging to the group Raiffeisen Zentralbank Österreich AG, Salzburg AG für Energie, Verkehr und Telekommunikation (‘SAG’, Austria) and The Advisory House GmbH (‘Advisory House’, Switzerland) acquire within the meaning of Article 3(1)(b) of the Council Regulation joint control of the undertaking Mobility House GmbH (‘Mobility House’, Austria) by way of purchase of shares in the newly created company constituting a joint venture within the meaning of Art. 3(4) of the Council Regulation and acquire within the meaning of Article 3(1)(b) of the Council Regulation joint control of the undertaking ElectroDrive Salzburg GmbH (‘ElectroDrive’, Austria) by way of purchase of shares.

The business activities of the undertakings concerned are:

—

for Raiffeisen Leasing: leasing business,

—

for SAG: public utility company supplying energy, gas, water, district heating, transport, telecommunication, cable-tv, internet, telephony,

—

for Advisory House: independent consultancy, mainly active in the energy sector,

—

for Mobility House: ‘Green Mobility’: leasing of electric vehicles and additional mobility services.

On preliminary examination, the Commission finds that the notified transaction could fall within the scope of Regulation (EC) No 139/2004. However, the final decision on this point is reserved. Pursuant to the Commission Notice on a simplified procedure for treatment of certain concentrations under Council Regulation (EC) No 139/2004 (2) it should be noted that this case is a candidate for treatment under the procedure set out in the Notice.

The Commission invites interested third parties to submit their possible observations on the proposed operation to the Commission.
