Prior notification of a concentration

(Case COMP/M.5230 — CapMan/Litorina/Cederroth)

1.

On 24 June 2008, the Commission received a notification of a proposed concentration pursuant to Article 4 of Council Regulation (EC) No 139/2004 (1) by which the undertaking CapMan (Sweden) and Litorina Kapital III LP (‘Litorina’, Sweden) acquire within the meaning of Article 3(1)(b) of the Council Regulation joint control of Cederroth International AB (‘Cederroth’, Sweden) by way of purchase of shares.

The business activities of the undertakings concerned are:

—

for CapMan: private equity investment, inter alia via Lumene and Farmos present in the cosmetics sector,

—

for Litorina: private equity investment,

—

for Cederroth: manufacturing and distribution of personal care products (cosmetics and toiletries), home care products, health care products, wound care and first aid products.

On preliminary examination, the Commission finds that the notified transaction could fall within the scope of Regulation (EC) No 139/2004. However, the final decision on this point is reserved.

The Commission invites interested third parties to submit their possible observations on the proposed operation to the Commission.
