Prior notification of a concentration

(Case COMP/M.4332 — MEAS/DSPL/SADOPORT)

Candidate case for simplified procedure

1.

On 29 August 2006, the Commission received a notification of a proposed concentration pursuant to Article 4 of Council Regulation (EC) No 139/2004 (1) by which the undertakings Mota-Engil-Ambiente e Serviços, SGPS, S.A. (‘MEAS’, Portugal), belonging to the Monta-Engil group (Portugal), and Dragrados Servicios Portuarios y Logísticos, S.L. (‘DSPL’, Spain), belonging to the ACS group (Spain), acquire within the meaning of Article 3(1)(b) of the Council Regulation joint control of the undertaking Sadoport — Terminal Marítimo do Sado S.A. (‘SADOPORT’, Portugal), currently controlled by MEAS, by way of purchase of shares in the intermediate company Serviços Logísticos de Portos Portugueses, S.A. (‘SLPP’, Portugal).

The business activities of the undertakings concerned are:

for undertaking MEAS: holding company active port services, solid waste, wastewater disposal and water concessions, building maintenance, recycling and gardens and green areas;

for undertaking DSPL: construction, industrial services, port terminal operations including logistics;

for undertaking SADOPORT: port terminal operations in the port of Setúbal;

for undertaking SLPP: intermediate company currently holding MEAS's shares in SADOPORT.

On preliminary examination, the Commission finds that the notified transaction could fall within the scope of Regulation (EC) No 139/2004. However, the final decision on this point is reserved. Pursuant to the Commission Notice on a simplified procedure for treatment of certain concentrations under Council Regulation (EC) No 139/2004 (2) it should be noted that this case is a candidate for treatment under the procedure set out in the Notice.

The Commission invites interested third parties to submit their possible observations on the proposed operation to the Commission.
