Prior notification of a concentration
(Case M.10759 – GIP / MERIDIAM / VEOLIA (HAZARDOUS WASTE BUSINESS))

1.
On 23 September 2022, the European Commission received notification of a proposed concentration, pursuant to Article 4 of Council Regulation (EC) No 139/2004 (1).This notification concerns the following undertakings:

Global Infrastructure Management LLC (‘GIP’, US), |

— |
Meridiam S.A.S., (‘Meridiam’, France), |
|
— |
Suez S.A. (‘Suez’, France), joint undertaking between GIP and Meridiam, |
|
— |
Veolia Hazardous Waste Business, France. |
Through Suez, GIP and Meridiam will acquire joint control over the whole of the Hazardous Waste Business, within the meaning of Article 3(1)(b) of the Merger Regulation.
The concentration is accomplished by way of purchase the shares constituting the Hazardous Waste Business, a package of assets and interests in the special industrial waste sector which are subject to the obligation of separation vis-à-vis Veolia, set out in the divestiture commitments established in the Decision M.9969 of 14 December 2021 – Veolia/Suez.

The business activities of the undertakings concerned are the following:|

GIP: an independent infrastructure fund manager investing in the transport, energy, waste and water sectors, |

— |
Meridiam: global operator specialised in the development, financing and long-term management of infrastructure, in particular in the sectors of (i) mobility, (ii) energy transition and (iii) environmental and social infrastructure, |

— |
Suez: active in the management sector for water, non-hazardous waste, regulated waste and street cleaning, |
|
— |
Veolia Hazardous Waste Business: active in the markets for burial, burning and physical-chemical treatment of hazardous waste. |

On preliminary examination and without prejudice to its final decision on this point, the Commission finds that the notified transaction could fall within the scope of the Merger Regulation.

The Commission invites interested third parties to submit any comments they might have on this proposed concentration.These comments must reach the Commission no later than ten days following the date of this publication. The following reference should always be included:
