Prior notification of a concentration

(Case M.9929 – EDP/Viesgo)

1.   

On 23 September 2020, the Commission received notification of a proposed concentration pursuant to Article 4 of Council Regulation (EC) No 139/2004 (1).

This notification concerns the following undertakings:

Energias de Portugal S.A. (‘EDP’, Portugal),

Viesgo Infraestructuras Energéticas, S.L. (‘Viesgo’, Spain).

EDP acquires within the meaning of Article 3(1)(b) of the Merger Regulation indirect sole control of the whole of Viesgo.The concentration is accomplished by way of purchase of shares.

2.   

The business activities of the undertakings concerned are:

for EDP: EDP is a vertically integrated utility company and the largest generator, distributor and supplier of electricity in Portugal, with significant operations in the electricity sector in Spain. EDP has a worldwide presence, mostly in Portugal, Spain, Brazil and US, being present in 19 countries in 4 continents. EDP is present throughout the electricity value chain and in the gas markets,

for Viesgo: Viesgo’s main activities are the production of electricity from renewable sources in Spain and Portugal and the distribution of electricity in Spain. Viesgo is currently ultimately controlled by Macquarie Infrastructure and Real Assets Europe Ltd. (“MIRAEL”, United Kingdom).

On preliminary examination, the Commission finds that the notified transaction could fall within the scope of the Merger Regulation. However, the final decision on this point is reserved.

The Commission invites interested third parties to submit their possible observations on the proposed operation to the Commission.

Observations must reach the Commission not later than 10 days following the date of this publication. The following reference should always be specified:
