Prior notification of a concentration

(Case M.9421 —Triton/Corendon)

1.   

On 21 October 2019, the Commission received notification of a proposed concentration pursuant to Article 4 of Council Regulation (EC) No 139/2004 (1).

This notification concerns the following undertakings:

Triton Group (‘Triton’, Luxembourg),

Corendon Holding B.V. (‘Corendon’, the Netherlands).

Triton acquires within the meaning of Article 3(1)(b) of the Merger Regulation sole control of the whole of Corendon.

The concentration is accomplished by way of purchase of shares.

The business activities of the undertakings concerned are:

for Triton: is an investment firm that invests primarily in medium-sized businesses headquartered in Northern Europe, with particular focus on businesses in three core sectors: Business Services, Industrials and Consumer/Health. Triton owns Sunweb, a European online tour operator based in the Netherlands that provides packaged holidays primarily to sunshine destinations across Europe and the Mediterranean,

for Corendon: is a leisure services provider based in the Netherlands that operates as a leisure tour operator via its own website, its telephone contact centre and through third party channels (high street travel agencies and online). Corendon also operates a small airline.

On preliminary examination, the Commission finds that the notified transaction could fall within the scope of the Merger Regulation. However, the final decision on this point is reserved.

The Commission invites interested third parties to submit their possible observations on the proposed operation to the Commission.

Observations must reach the Commission not later than 10 days following the date of this publication. The following reference should always be specified:
