Prior notification of a concentration

1.
On 6 May 2022, the Commission received notification of a proposed concentration pursuant to Article 4 of Council Regulation (EC) No 139/2004 (1).This notification concerns the following undertakings:

Traton SE (‘Traton’, Germany), controlled by Volkswagen AG, |
|
— |
Aktiebolaget Volvo PUBL (‘Volvo’, Sweden), |
|
— |
Daimler Truck AG (‘Daimler Truck’, Germany), |
|
— |
Joint Venture (‘Target’, Netherlands). |
Traton, Volvo and Daimler Truck will acquire within the meaning of Article 3(1)(b) and 3(4) of the Merger Regulation joint control of the Target.
The concentration is accomplished by way of purchase of shares in a newly created company constituting a joint venture.

The business activities of the undertakings concerned:|

Traton, solely controlled by Volkswagen AG, is the truck and bus business of the Volkswagen group of companies. It primarily operates through its operating units MAN, Scania, Navistar and Volkswagen Caminhões e Ônibus, |

Volvo is globally active in the manufacture and sale of on- and off-highway trucks, buses, construction equipment and engines. In the EEA, it primarily operates through the brands Volvo and Renault Trucks, |
|
— |
Daimler Truck focuses on the manufacturing and sale of trucks and buses under the brand names Mercedes-Benz and Setra among others, |
|
— |
The Target is a joint venture for the building and operation of a publicly accessible high performance charging network for battery electric heavy duty trucks and coaches, along and close to major highways and logistical points of interest in selected countries in Europe. |

On preliminary examination, the Commission finds that the notified transaction could fall within the scope of the Merger Regulation. However, the final decision on this point is reserved.

The Commission invites interested third parties to submit their possible observations on the proposed operation to the Commission.Observations must reach the Commission not later than 10 days following the date of this publication. The following reference should always be specified:
