On the 23 December 2004, the Commission received notification of a proposed concentration pursuant to Article 4 of Council Regulation (EC) No 139/2004 by which the Spanish undertaking Repsol Butano, S.A., part of Repsol Group (‘Repsol’), acquires within the meaning of Article 3(1)(b) of the Council Regulation sole control of the Portuguese undertaking Shell Gas (LPG) S.A. (‘Shell Gas’) by way of purchase of shares.

This notification has been declared incomplete on 6 January 2005. The undertakings concerned have now provided the further information required. The notification became complete within the meaning of Article 10(1) of Council Regulation (EC) No 139/2004 on 13 January 2005. Accordingly, the notification became effective on 13 January 2005.

On preliminary examination, the Commission finds that the notified transaction could fall within the scope of Regulation (EC) No 139/2004. However, the final decision on this point is reserved.

The Commission invites interested third parties to submit their possible observations on the proposed operation to the Commission.
