Prior notification of a concentration

(Case M.10624 – ENEL / INTESA / JV)

1.   

On 10 May 2022, the Commission received notification of a proposed concentration pursuant to Article 4 of Council Regulation (EC) No 139/2004 (1).

This notification concerns the following undertakings:

—

Enel X S.r.l. (Italy), controlled by Enel S.p.A.,

—

Intesa Sanpaolo S.p.A. (Italy),

—

Mooney Group S.p.A. (Italy),

—

PayTipper S.p.A., CityPoste Payment S.p.A., Enel X Financial Services S.r.l. and Junia Insurance S.r.l. (Italy).

Enel X S.r.l. and Intesa Sanpaolo S.p.A. will acquire within the meaning of Article 3(1)(b) and 3(4) of the Merger Regulation joint control of Mooney Group S.p.A., PayTipper S.p.A., CityPoste Payment S.p.A., Enel X Financial Services S.r.l. and Junia Insurance S.r.l..

The concentration is accomplished by way of purchase of shares.

The business activities of the undertakings concerned are the following:

Enel S.p.A. is an energy group active in generation, trading, distribution and supply of electricity and natural gas,

—

Intesa Sanpaolo S.p.A. is a banking group active in the retail and corporate banking and in wealth management. The group offers services to 13.5 million customers through a network of over 3,700 branches in Italy and 1,000 branches and 7.1 million customers wordwide,

—

Mooney Group S.p.A. renders payment services through retail outlets and its own digital platforms in Italy,

—

PayTipper S.p.A., CityPoste Payment S.p.A., Enel X Financial Services S.r.l. and Junia Insurance S.r.l. render services for the payment of taxes and utility bills.

On preliminary examination, the Commission finds that the notified transaction could fall within the scope of the Merger Regulation. However, the final decision on this point is reserved.

4.   

The Commission invites interested third parties to submit their possible observations on the proposed operation to the Commission.

Observations must reach the Commission not later than 10 days following the date of this publication. The following reference should always be specified:
