Prior notification of a concentration

(Case M.10369 — APG/Stockholms Stadshus/Stockholm Exergi Holding)

Candidate case for simplified procedure

1.   

On 19 July 2021, the Commission received notification of a proposed concentration pursuant to Article 4 of Council Regulation (EC) No 139/2004 (1).

This notification concerns the following undertakings:

APG Asset Management N.V., (‘APG’, Netherlands), ultimately controlled by Stichting Pensioenfonds ABP (Netherlands),

Stockholms Stadshus AB (‘Stockholms Stadshus’, Sweden), owned by the Municipality of Stockholm (Sweden),

Stockholm Exergi Holding AB (publ) (‘Stockholm Exergi Holding’, Sweden), currently controlled by Stockholms Stadshus and Fortum Oyj (Finland).

APG and Stockholms Stadshus acquire within the meaning of Article 3(1)(b) and 3(4) of the Merger Regulation joint control of Stockholm Exergi Holding.

The concentration is accomplished by way of purchase of shares in a newly created company constituting a joint venture.

The business activities of the undertakings concerned are:

for APG: a pension provider, active in the provision of executive consultancy, asset management (including assets within energy and utilities, telecommunications, and transport infrastructure), pension administration, pension communication and employer services,

for Stockholms Stadshus: active in rental housing, school properties, care homes, exhibition properties and sports/entertainment arenas, water supply and waste services, port facilities, district heating and fiber networks, life insurance and non-life insurance,

for Stockholm Exergi Holding: active in the production and supply of district heating and district cooling for corporate and residential customers across seven municipalities within Stockholm County, production and sale of electricity, waste handling and sorting and the procurement of fuel.

On preliminary examination, the Commission finds that the notified transaction could fall within the scope of the Merger Regulation. However, the final decision on this point is reserved.

Pursuant to the Commission Notice on a simplified procedure for treatment of certain concentrations under the Council Regulation (EC) No 139/2004 (2) it should be noted that this case is a candidate for treatment under the procedure set out in the Notice.

The Commission invites interested third parties to submit their possible observations on the proposed operation to the Commission.

Observations must reach the Commission not later than 10 days following the date of this publication. The following reference should always be specified:
