Prior notification of a concentration

(Case M.9017 — SK Capital Partners/Schenectady International Group)

1.   

On 6 September 2018, the Commission received notification of a proposed concentration pursuant to Article 4 of Council Regulation (EC) No 139/2004 (1).

This notification concerns the following undertakings:

SK Capital Partners, LP (‘SK Capital’) (United States),

Addivant USA Holdings Corp. (‘Addivant’) (United States), controlled by SK Capital,

Schenectady International Group, Inc. (‘SI Group’) (United States)

SK Capital, through Addivant, acquires within the meaning of Article 3(1)(b) of the Merger Regulation sole control of SI Group.

The concentration is accomplished by way of purchase of shares.

The business activities of the undertakings concerned are:

—   SK Capital: a private investment firm focused on the specialty materials, chemicals and pharmaceuticals sectors,

—   Addivant: a global supplier of specialty additives including antioxidants and intermediates used to improve the production and performance properties of plastics and rubbers,

—   SI Group: a privately owned manufacturer and supplier of performance additives and chemical intermediates, active globally.

On preliminary examination, the Commission finds that the notified transaction could fall within the scope of the Merger Regulation. However, the final decision on this point is reserved.

The Commission invites interested third parties to submit their possible observations on the proposed operation to the Commission.

Observations must reach the Commission not later than 10 days following the date of this publication. The following reference should always be specified:
