1.
On 2 May 2025, the Commission received notification of a proposed concentration pursuant to Article 4 of Council Regulation (EC) No 139/2004 (1).This notification concerns the following undertakings:

Mapfre Asistencia, Compañia Internacional de Seguros y Reaseguros S.A. (‘MAPFRE’, Spain), controlled by Fundación MAPFRE (Spain), |
|
— |
Vittoria Assicurazioni S.p.A. (‘VAS’, Italy), controlled by Yafa S.p.A. (Italy), which is in turn subject to the ultimate direct control of a natural person. |
MAPFRE and VAS will acquire within the meaning of Articles 3(1)(b) and 3(4) of the Merger Regulation joint control of MAWDY Services S.p.A (‘MAWDY Services’) and Vittoria Servizi Legali S.r.l. (‘VSL’) (together, the ‘JVs’).
The concentration is accomplished by way of purchase of shares in the JVs.

The business activities of the undertakings concerned are the following:|

MAPFRE is a Spanish company active in the insurance and reinsurance sectors worldwide. It is ultimately controlled by Fundación MAPFRE, which carries out non-profit activities of general interest in areas such as culture, health promotion, prevention, road safety, insurance, and social protection, |

— |
VAS is an Italian company active in the insurance and reinsurance sectors. |

The business activities of the JVs are the following:|

MAWDY Services is an Italian company currently controlled by MAPFRE, and is mainly active in insurance distribution and as a provider of assistance services in various sectors. MAWDY Services also provides outsourced management solutions for the automotive and insurance sectors, |

VSL is an Italian company currently indirectly controlled by VAS. VSL is also active in the provision of digital services, including in the healthcare sector (through ComeStai S.p.A) and in the legal sector (through EasyLegal S.r.l.). |

On preliminary examination, the Commission finds that the notified transaction could fall within the scope of the Merger Regulation. However, the final decision on this point is reserved.Pursuant to the Commission Notice on a simplified treatment for certain concentrations under Council Regulation (EC) No 139/2004 on the control of concentrations between undertakings (2) it should be noted that this case is a candidate for treatment under the procedure set out in the Notice.
5.
The Commission invites interested third parties to submit their possible observations on the proposed concentration to the Commission.Observations must reach the Commission not later than 10 days following the date of this publication. The following reference should always be specified:
