Prior notification of a concentration

(Case M.7854 — AGRAVIS/Wilmar International/H Bögel)

1.

On 2 June 2016, the Commission received a notification of a proposed concentration pursuant to Article 4 of Council Regulation (EC) No 139/2004 (1) by which the undertakings Agrarrohstoff Beteiligungs GmbH (‘Agrarrohstoff’, Germany) belonging to the group AGRAVIS Raiffeisen AG (‘AGRAVIS’, Germany) and WIL Holdings GmbH (‘WIL’, Germany) belonging to the group Wilmar International Ltd (‘Wilmar’, Singapore) acquire within the meaning of Article 3(1)(b) and 3(4) of the Merger Regulation joint control of H. Bögel GmbH & Co. KG (‘Bögel’, Germany) and of H. Bögel Beteiligungsgesellschaft mbH (‘Bögel GmbH’), currenly solely controlled by WIL, by way of purchase of shares.

The business activities of the undertakings concerned are:

AGRAVIS is active in cooperatively organised land trade, essentially in the German Federal States of North-Rhine Westphalia, Bremen, Lower-Saxony, Saxony-Anhalt, Berlin, Brandenburg, Schleswig-Holstein, Mecklenburg-Vorpommern, Saxony und Hamburg, including the production and sale of compound animal feed,

Wilmar’s main activities are the production of palm oil, the crushing of oilseeds, the refinement of edible oils, the grinding and refinement of sugar, the production of special greases, oleochemical products, biodiesel and fertilisers as well as the processing of grains,

Bögel is active in the international wholesale of animal feed ingredients, especially palm kernel expeller, rapeseed meals, soybean meals and dried sugar beet pulp,

Bögel GmbH as the personally liable parent company (‘Komplementärin’) of Bögel is a pure holding company.

On preliminary examination, the Commission finds that the notified transaction could fall within the scope of the Merger Regulation. However, the final decision on this point is reserved.

The Commission invites interested third parties to submit their possible observations on the proposed operation to the Commission.
