Prior notification of a concentration

(Case M.7778 — Vattenfall/ENGIE/GASAG)

1.

On 3 November 2015, the European Commission received notification of a proposed concentration pursuant to Article 4 of Council Regulation (EC) No 139/2004 (1) by which the undertaking Vattenfall GmbH controlled by the Vattenfall AB (‘Vattenfall’, Sweden) and the undertaking GDF Suez Beteiligungs GmbH controlled by ENGIE SA (‘ENGIE’, France) acquire within the meaning of Article 3(1)(b) and Article 3(4) of the Merger Regulation joint control of the undertaking GASAG Berliner Gaswerke AG (‘GASAG’, Germany) by way of contract of management.

The business activities of the undertakings concerned are:

Vattenfall operates predominantly in Germany, the Netherlands, Sweden and the United Kingdom in the field of energy supply. In Germany, Vattenfall operates mainly in open-cast lignite mining, electricity production, trading, distribution and supply, and in Berlin and Hamburg in the district heating sector.

ENGIE operates internationally in the field of gas, electricity and energy services throughout the entire energy value-added chain. In Germany, ENGIE operates in the district heating sector in Gera, Wuppertal and Saarbrücken.

GASAG operates only in Germany. The focus of its activity is the sale and distribution of gas in the Berlin, Brandenburg, Saxony-Anhalt and Saxony areas.

On preliminary examination, the Commission finds that the notified transaction could fall within the scope of the Merger Regulation. However, the final decision on this point is reserved.

The Commission invites interested third parties to submit to it their observations on the proposed operation.

Observations must reach the Commission no later than 10 days following the date on which this notification is published.
