Candidate case for simplified procedure

On 15 June 2022, the Commission received notification of a proposed concentration pursuant to Article 4 of Council Regulation (EC) No 139/2004 (1).

This notification concerns the following undertakings:

Wacker Neuson SE (‘Wacker Neuson’, Germany), belonging to the Wacker Neuson Group,

PORR Equipment Services GmbH (‘PORR’, Austria), belonging to the PORR Group,

Umdasch Group Ventures GmbH (‘Umdasch’, Austria), belonging to the Umdasch Group,

SEQUELLO GmbH (‘SEQUELLO’ or the joint venture, Austria), currently jointly controlled by PORR and Umdasch.

Wacker Neuson, PORR and Umdasch will acquire within the meaning of Article 3(1)(b) and 3(4) of the Merger Regulation joint control of SEQUELLO.

The concentration is accomplished by way of purchase of shares.


The business activities of the undertakings concerned are:

for Wacker Neuson: the manufacture of construction machinery and equipment as well as of agricultural machinery, maintenance and repair, sales of used machinery and rental of machinery, consultancy services in the area of concrete compaction and the provision of telematics services for fleet management,

for PORR: the PORR Group carries out activities in the construction industry and covers all areas of that industry from project development, through building construction, civil engineering and road construction, to energy and environmental engineering,

for Umdasch: the development and implementation of innovative solutions along the entire value chain of buildings (construction) and of consumer sales processes (retail). Via its subsidiary Doka, the Umdasch Group also provides and manufactures formwork and scaffolding,

for SEQUELLO: a joint venture which will provide a construction logistics platform that aims to digitise and optimise the ordering, delivery and financial reporting process in the construction industry.


On preliminary examination, the Commission finds that the notified transaction could fall within the scope of the Merger Regulation. However, the final decision on this point is reserved.

Pursuant to the Commission Notice on a simplified procedure for treatment of certain concentrations under Council Regulation (EC) No 139/2004 (2) it should be noted that this case is a candidate for treatment under the procedure set out in the Notice.


The Commission invites interested third parties to submit their possible observations on the proposed operation to the Commission.
