    Prior notification of a concentration

    (Case M.8855 — Otary/Eneco/Electrabel/JV)

    1.   

    On 1 June 2018, the Commission received notification of a proposed concentration pursuant to Article 4 of Council Regulation (EC) No 139/2004 (1).

    This notification concerns the following undertakings:

    Otary RS NV (‘Otary’, Belgium), controlled by Dredging Environmental & Marine Engineering NV, Green Offshore NV, Elicio NV, SRIWE Environnement SA, Z-Kracht NV, Aspiravi Offshore II NV, Socofe SA and Power@Sea NV,

    Eneco Wind Belgium NV, belonging to the Eneco Groep (‘Eneco’, Netherland),

    Electrabel NV, belonging to the Engie group (‘Engie’, France),

    SeaMade NV (‘SeaMade’, Belgium).

    Otary, Eneco, and Engie acquire within the meaning of Article 3(1)(b) and 3(4) of the Merger Regulation joint control of SeaMade.

    The concentration is accomplished by way of contribution of assets and purchase of shares in a company constituting a joint venture.

    The business activities of the undertakings concerned are:

    —   for Otary: development, construction and operation of three Belgian offshore wind projects,

    —   for Eneco: production of electricity from sustainable resources, including the development, construction and operation of wind farm projects, as well as the supply of electricity and gas to private and business customers,

    —   for Engie: all stages of the electricity and natural gas value chain, including the generation of supply of electricity in the Benelux region through Electrabel, as well as energy services,

    —   for SeaMade: generation and wholesale supply of electricity from the Seastar and Mermaid offshore wind farms under development in Belgium.

    3.   

    On preliminary examination, the Commission finds that the notified transaction could fall within the scope of the Merger Regulation. However, the final decision on this point is reserved.

    4.   

    The Commission invites interested third parties to submit their possible observations on the proposed operation to the Commission.

    Observations must reach the Commission not later than 10 days following the date of this publication. The following reference should always be specified:
