    Prior notification of a concentration

    (Case M.10850 – ASMENT DE TEMARA / VEOM / JV)

    Candidate case for simplified procedure

    1.   

    On 16 August 2022, the Commission received notification of a proposed concentration pursuant to Article 4 of Council Regulation (EC) No 139/2004 (1).

    This notification concerns the following undertakings:

    Asment de Temara (hereinafter ‘AdT’, Morocco), controlled by Votorantim S.A. (hereinafter ‘Votorantim’, Brazil),

    Veolia Services à l’Environnement Maroc (hereinafter ‘VEOM’, Morocco), controlled by Veolia Environnement S.A. (hereinafter ‘Veolia’, France),

    a newly established joint venture set up for the purposes of the concentration (hereinafter ‘the JV’, Morocco).

    AdT and VEOM will acquire within the meaning of Article 3(1)(b) and 3(4) of the Merger Regulation joint control of the JV. The concentration is accomplished by way of purchase of shares in a newly created company constituting the JV.

    The business activities of the undertakings concerned:

    AdT is active in the production of cement, concrete and aggregates in Morocco,

    VEOM is a holding company that groups together the Moroccan subsidiaries of the Veolia group, which is active in the provision of energy services, water-related services (collection, distribution, drinking water treatment, wastewater collection and treatment, etc.) and waste management services (collection and processing of ordinary, hazardous and regulated waste),

    the JV will develop and operate a pre-processing plant for non-hazardous and hazardous waste in Morocco.

    On preliminary examination, the Commission finds that the notified transaction could fall within the scope of the Merger Regulation. However, the final decision on this point is reserved.

    Pursuant to the Commission Notice on a simplified procedure for treatment of certain concentrations under Council Regulation (EC) No 139/2004l (2), it should be noted that this case is a candidate for treatment under the procedure set out in the Notice.

    The Commission invites interested third parties to submit their possible observations on the proposed operation to the Commission.

    Observations must reach the Commission no later than 10 days following the date on which this notification is published. The following reference should always be specified:
