1.
On 4 August 2022, the Commission received notification of a proposed concentration pursuant to Article 4 of Council Regulation (EC) No 139/2004 (1).This notification concerns the following undertakings:

Knorr-Bremse AG (‘KB AG’, Germany), |
— |
Knorr-Bremse Systeme für Nutzfahrzeuge GmbH (‘KB SfN’, Germany), currently jointly controlled by KB AG and Robert Bosch GmbH (‘Bosch’, Germany), |
— |
Knorr-Bremse Commercial Vehicle Systems Japan Ltd. (‘KBJ’, Japan), currently jointly controlled by KB AG and Bosch. |
KB AG will acquire within the meaning of Article 3(1)(b) of the Merger Regulation sole control of KB SfN and KBJ.
The concentration is accomplished by way of purchase of shares.

The business activities of the undertakings concerned are the following:

KB AG is a global supplier of braking and other systems for rail and commercial vehicles, |
— |
KB SfN supplies pneumatic braking solutions for medium and heavy commercial vehicles, as well as other products including transmission management solutions (clutch actuation units and gear control units), dampers, and steering systems, |
— |
KBJ comprises the largest part of KB AG’s Commercial Vehicles Systems business in Japan and supplies a range of products and systems for trucks, buses, trailers and agricultural machinery, in particular pneumatic braking systems and steering systems, driver assistance systems, automated driving and electronic levelling control. |

On preliminary examination, the Commission finds that the notified transaction could fall within the scope of the Merger Regulation. However, the final decision on this point is reserved.Pursuant to the Commission Notice on a simplified procedure for treatment of certain concentrations under Council Regulation (EC) No 139/2004 (2) it should be noted that this case is a candidate for treatment under the procedure set out in the Notice.

The Commission invites interested third parties to submit their possible observations on the proposed operation to the Commission.Observations must reach the Commission not later than 10 days following the date of this publication. The following reference should always be specified:
