Prior notification of a concentration

(Case M.12214 – DALKIA / EIFFAGE / RATP SOLUTIONS VILLE / VILLE DE PARIS / SEMOP)

1.   

On 13 February 2026, the Commission received notification of a proposed concentration pursuant to Article 4 and following a referral pursuant to Article 4(5) of Council Regulation (EC) No 139/2004 (1).

This notification concerns the following undertakings:

Dalkia S.A. (‘Dalkia’, France), belonging to the EDF group (France),

Eiffage S.A. (‘Eiffage’, France),

RATP Solutions Ville S.A.S. (‘RSV’, France), belonging to the RATP group (France),

Ville de Paris, municipality (France),

Assets of Compagnie Parisienne de Chauffage Urbain (‘CPCU’, France).

Dalkia, Eiffage, RSV and Ville de Paris will acquire within the meaning of Article 3(1)(b) and Article 3(4) of the Merger Regulation joint control of all of the assets of CPCU.

The concentration is accomplished by way of purchase of shares in a newly created company constituting a joint venture and by way of the transfer of assets.

The business activities of the undertakings concerned are the following:

Dalkia is mainly active in France in the energy services sector, principally in the delegated management of district heating and cooling systems, multi-technical building maintenance and management services and energy optimisation solutions. EDF is active in the energy sector in France and abroad,

Eiffage is a French construction and concessions group operating mainly in construction, infrastructure, concessions and energy systems,

RSV is active in urban services for municipalities and other local authorities, in property, telecommunications, urban mobility, logistics and energy. The RATP group is active in passenger transport, principally in France,

The Ville de Paris municipality has controlling stakes in a number of undertakings, in particular in the energy, property, transport and tourism sectors,

The assets of CPCU include its personnel, its heat generation and distribution facilities and its contracts with subscribers connected to the Paris heating network.

On preliminary examination, the Commission finds that the notified transaction could fall within the scope of the Merger Regulation. However, the final decision on this point is reserved.

The Commission invites interested third parties to submit their possible observations on the proposed operation to the Commission.

Observations must reach the Commission no later than ten days following the date on which this notification is published. The following reference should always be specified:
