1.
On 25 September 2025, the Commission received notification of a proposed concentration pursuant to Article 4 of Council Regulation (EC) No 139/2004 (1).This notification concerns the following undertakings:

ERGO Versicherung AG (‘ERGO’, Germany), controlled by Münchener Rückversicherungs Gesellschaft AG in München (Germany), |
|
— |
ADAC Service GmbH (‘ASG’, Germany), controlled by ADAC e.V. (Germany), |
|
— |
Bayerischer Versicherungsverband Versicherungsaktiengesellschaft (‘BVV’, Germany), controlled by Versicherungskammer Bayern Versicherungsanstalt des öffentlichen Rechts (Germany), |
|
— |
SPN Service Partner Netzwerk GmbH (‘SPN’, Germany), controlled by ASG and BVV. |
ERGO will acquire within the meaning of Articles 3(1)(b) and 3(4) of the Merger Regulation joint control of SPN alongside the existing shareholders BVV and ASG.
The concentration is accomplished by way of purchase of shares.

The business activities of the undertakings concerned are the following:|

ERGO is a German insurance company and part of the ERGO Group AG, one of the major insurance groups in Germany and a wholly owned subsidiary of Munich RE. Munich RE is an international insurance company, |

ASG’s business activities include arranging, organizing, and providing all kinds of assistance, especially for drivers and travellers, as well as all related services. ASG is a subsidiary of ADAC. ADAC offers mobility-oriented services and products in Germany, |

— |
BVV operates all branches of property and casualty insurance as well as technical and transport insurance. It is a wholly owned subsidiary of VKB, a primary insurer that covers risks for municipalities and public bodies in Germany, |

— |
SPN is a platform operator that organizes and provides services in connection with the repair of motor vehicles, such as the placement of repair orders with independent workshops through its workshop network in Germany, typically (but not limited to services) for insurance companies and insurance brokers. |

On preliminary examination, the Commission finds that the notified transaction could fall within the scope of the Merger Regulation. However, the final decision on this point is reserved.Pursuant to the Commission Notice on a simplified treatment for certain concentrations under Council Regulation (EC) No 139/2004 on the control of concentrations between undertakings (2) it should be noted that this case is a candidate for treatment under the procedure set out in the Notice.

The Commission invites interested third parties to submit their possible observations on the proposed concentration to the Commission.Observations must reach the Commission not later than 10 days following the date of this publication. The following reference should always be specified:
