1.
On 19 August 2025, the Commission received notification of a proposed concentration pursuant to Article 4 of Council Regulation (EC) No 139/2004 (1).This notification concerns the following undertakings:

Egis Airport Operation (‘Egis’, France), controlled by Tikehau Capital SCA (‘Tikehau’, France), |
|
— |
the Caisse des Dépôts et Consignations (‘CDC’, France), |
|
— |
the Chambre de Commerce et d’Industrie de Guyane (‘CCIG’, France), |
|
— |
Alyse Guyane (France), controlled by the Collectivité Territoriale de Guyane (‘CTG’, France), |
|
— |
Cayenne-Félix Eboué airport (the ‘Airport’, France), currently controlled by the CCIG. |
Egis, the CDC, the CCIG and Alyse Guyane CDC will acquire within the meaning of Article 3(1)(b) and 3(4) of the Merger Regulation control of the whole of the Airport.
The concentration is accomplished by way of contract or any other means.

The business activities of the undertakings concerned are the following:|

Egis manages and operates airports, mainly in Europe and Africa. Its parent company, Tikehau, is an international asset manager and investor (Europe, Asia, North America), |

The CDC is a French public institution with special legal status. The CDC and its subsidiaries perform tasks of general interest in support of public policies conducted by the State and local authorities and carry out activities open to competition in the environmental, energy, real estate, investment and private equity, and services sectors, |
|
— |
The CCIG is an economic public administrative body under the supervision of the State and administered by managers of undertakings elected by their peers. |
|
— |
Alyse Guyane is an investment company with the goal of supporting the French Guiana economy through equity investments in micro, small and medium-sized enterprises. |

The business activities of the Airport are the following: an international airport located in the French department of Guiana.

On preliminary examination, the Commission finds that the notified transaction could fall within the scope of the Merger Regulation. However, the final decision on this point is reserved.Pursuant to the Commission Notice on a simplified treatment for certain concentrations under Council Regulation (EC) No 139/2004 on the control of concentrations between undertakings (2), it should be noted that this case is a candidate for treatment under the procedure set out in the Notice.

The Commission invites interested third parties to submit their possible observations on the proposed operation to the Commission.Observations must reach the Commission no later than ten days following the date on which this notification is published. The following reference should always be specified:
