Prior notification of a concentration

1.
On 10 March 2025, the Commission received notification of a proposed concentration pursuant to Article 4 of Council Regulation (EC) No 139/2004 (1).This notification concerns the following undertakings:

A-Ware Dairy & Cream B.V. (‘A-Ware Dairy & Cream’, the Netherlands), controlled by Koninklijke A-ware Food Group B.V. (‘A-Ware’, the Netherlands) |
— |
The Dairy Food Group (‘DFG’, Belgium) |
A-Ware will acquire within the meaning of Article 3(1)(b) of the Merger Regulation sole control of the whole of DFG.
The concentration is accomplished by way of purchase of shares.

The business activities of the undertakings concerned are the following:

A-Ware is a vertically integrated dairy group whose main activities include cheese production and packaging, procurement of raw milk, production and sale of milk, yoghurt, butter, dairy drinks, dairy desserts, milk powder, cream, tapas and other food products. |
— |
DFG is a vertically integrated dairy group focussing on the production of fresh and long-life dairy products such as spray cream, milk and flavoured drinks, custards, desserts and milk powder. |

On preliminary examination, the Commission finds that the notified transaction could fall within the scope of the Merger Regulation. However, the final decision on this point is reserved.

The Commission invites interested third parties to submit their possible observations on the proposed concentration to the Commission.Observations must reach the Commission not later than 10 days following the date of this publication. The following reference should always be specified:
