Prior notification of a concentration

1.   

On 4 March 2025, the Commission received notification of a proposed concentration pursuant to Article 4 of Council Regulation (EC) No 139/2004 (1).

This notification concerns the following undertakings:

DSV A/S (‘DSV’, Denmark),

Schenker Aktiengesellschaft (‘Schenker’, Germany), currently a wholly owned subsidiary of Deutsche Bahn Aktiengesellschaft (‘DB’, Germnay).

DSV will acquire, within the meaning of Article 3(1)(b) of the Merger Regulation, sole control of the whole of Schenker.

The concentration is accomplished by way of purchase of shares.

The business activities of the undertakings concerned are the following:

DSV: The provision of freight forwarding, covering land, air and sea freight, and contract logistics services. The service portfolio is organised into three lines of business: (i) DSV Air & Sea, (ii) DSV Road and (iii) DSV Solutions (contract logistics services). DSV is active in Europe, the Americas, Asia-Pacific, the Middle East and Africa,

Schenker: The provision of freight forwarding services, covering land, air and sea freight, and contract logistics services. Schenker is active in Europe, the Americas, Asia-Pacific, the Middle East and Africa. DB acquired Schenker in 2002 and has since held 100 % of the shares in Schenker.

On preliminary examination, the Commission finds that the notified transaction could fall within the scope of the Merger Regulation. However, the final decision on this point is reserved.

The Commission invites interested third parties to submit their possible observations on the proposed operation to the Commission.

Observations must reach the Commission not later than 10 days following the date of this publication. The following reference should always be specified:
