Prior notification of a concentration

On 2 August 2024, the Commission received notification of a proposed concentration pursuant to Article 4 of Council Regulation (EC) No 139/2004 (1).

This notification concerns the following undertakings:

ADNOC Drilling Company P.J.S.C. (‘ADRILL’, United Arab Emirates) belonging to the Abu Dhabi National Oil Company Group (‘ADNOC Group’, United Arab Emirates),

Alpha Dhabi Holding P.J.S.C. (‘ADH’, United Arab Emirates),

Gordon Technologies, L.L.C. (‘Gordon’, United States of America).

ADRILL and ADH will acquire within the meaning of Article 3(1)(b) of the Merger Regulation joint control of the whole of Gordon.

The concentration is accomplished by way of purchase of shares.

The business activities of the undertakings concerned are the following:

ADRILL is an onshore and offshore drilling and oilfield service operator, forming part of the ADNOC integrated network of businesses operating across the value chain and provides drilling services (onshore & offshore) and oil field services to ADNOC Group companies,

ADH is an investment company based in Abu Dhabi, with holding companies operating in healthcare, renewable energy, petrochemicals, and various other industries, including real estate, construction, and hospitality,

Gordon is a provider of the Measurement While Drilling and at a much smaller scale some of the Logging While Drilling technologies to the oil and gas industry.

On preliminary examination, the Commission finds that the notified transaction could fall within the scope of the Merger Regulation. However, the final decision on this point is reserved.

Pursuant to the Commission Notice on a simplified treatment for certain concentrations under Council Regulation (EC) No 139/2004 on the control of concentrations between undertakings (2) it should be noted that this case is a candidate for treatment under the procedure set out in the Notice.

The Commission invites interested third parties to submit their possible observations on the proposed operation to the Commission.

Observations must reach the Commission not later than 10 days following the date of this publication. The following reference should always be specified:
