    Prior notification of a concentration

    (Case M.11513 – MSC / ESSERS / MACHIELS / PORT OF LIMBURG)

    1.   

    On 27 June 2024, the Commission received notification of a proposed concentration pursuant to Article 4 of Council Regulation (EC) No 139/2004 (1).

    This notification concerns the following undertakings:

    Medlog S.A. (‘Medlog’, Switzerland), belonging to the MSC Group (Switzerland),

    Henri Essers En Zonen Internationaal Transport NV (‘Essers’, Belgium),

    J.M. Recycling NV (‘Machiels’, Belgium).

    Medlog, Essers and Machiels will acquire within the meaning of Article 3(1)(b) and 3(4) of the Merger Regulation joint control over Port of Limburg NV (‘POLIM’, Belgium).

    The concentration is accomplished by way of purchase of shares.

    The business activities of the undertakings concerned are the following:

    Medlog is active in the provision of multimodal transportation solutions and inland storage solutions for customers of all industries across more than 80 countries. MSC Group is active in the transport and logistics sector, primarily in ocean liner shipping business, as well as in container terminal services in the EEA,

    Essers provides transport and logistics solutions across 18 countries in Western and Eastern Europe,

    Machiels is a global provider of renewable energy, environmental services, and a real estate developer.

    The business activities of POLIM are the following: POLIM was established for the purpose of developing and operating an inland container terminal along the Albert Canal in Genk, Belgium and is set to be operational by the first Quarter of 2025.

    On preliminary examination, the Commission finds that the notified transaction could fall within the scope of the Merger Regulation. However, the final decision on this point is reserved.

    Pursuant to the Commission Notice on a simplified treatment for certain concentrations under Council Regulation (EC) No 139/2004 on the control of concentrations between undertakings (2) it should be noted that this case is a candidate for treatment under the procedure set out in the Notice.

    5.   

    The Commission invites interested third parties to submit their possible observations on the proposed operation to the Commission.

    Observations must reach the Commission not later than 10 days following the date of this publication. The following reference should always be specified:
