Prior notification of a concentration

1.
On 3 October 2023, the Commission received notification of a proposed concentration pursuant to Article 4 of Council Regulation (EC) No 139/2004 (1).This notification concerns the following undertakings:

Framatome (France) controlled by EDF (France), |
|
— |
Naval Group (‘Naval Group’, France) jointly controlled by the French Government and Thales (France), |
|
— |
Jeumont Electric (France), controlled by Altawest (France). |
Framatome and Naval Group will acquire within the meaning of Article 3(1)(b) of the Merger Regulation joint control of Jeumont’s defense activities.
Framatome will acquire within the meaning of Article 3(1)(b) of the Merger Regulation sole control of the remainder of Jeumont’s business activities.
The concentration is accomplished by way of purchase of shares.

The business activities of the undertakings concerned are the following:|

Framatome designs, supplies, builds, maintains and upgrades nuclear boilers, provides related services (maintenance and IT security) and designs and manufactures nuclear fuel. Framatome also supplies components for the French Navy's nuclear propulsion system in the naval nuclear sector, |

Naval Group designs, builds, maintains and upgrades submarines (including nuclear submaries) and surface ships for several navies worldwide, |
|
— |
Jeumont Electric specialises in the design and manufacture of converters, electric motors and alternators for several industrial sectors, including for example nuclear energy and naval defense. In particular, Jeumont Electric supplies steam turbines and primary pumps for nuclear boilers used in nuclear submarines. |

On preliminary examination, the Commission finds that the notified transaction could fall within the scope of the Merger Regulation. However, the final decision on this point is reserved.

The Commission invites interested third parties to submit their possible observations on the proposed operation to the Commission.Observations must reach the Commission not later than 10 days following the date of this publication. The following reference should always be specified:
