appointing two Dutch members of the European Economic and Social Committee

THE COUNCIL OF THE EUROPEAN UNION,
Having regard to the Treaty establishing the European Community, and in particular Article 259 thereof,
Having regard to the Treaty establishing the European Atomic Energy Community, and in particular Article 167 thereof,
Having regard to Council Decision 2006/651/EC, Euratom of 15 September 2006 appointing Belgian, Greek, Irish, Cypriot, Dutch, Polish, Portuguese, Finnish, Swedish and British members and two Italian members of the European Economic and Social Committee (1) for the period from 21 September 2006 to 20 September 2010,
Having regard to the nominations submitted by the Netherlands Government,
Having regard to the opinion of the European Commission,
Whereas two Dutch members' seats on the European Economic and Social Committee have fallen vacant following the resignations of Mr SLOOTWEG and Mr ETTY,
HAS DECIDED AS FOLLOWS:
Article 1
Mr MEIJER and Ms VAN WEZEL are hereby appointed members of the European Economic and Social Committee in place of Mr SLOOTWEG and Mr ETTY for the remainder of their term of office, which runs until 20 September 2010.
Article 2
This Decision shall be published in the Official Journal of the European Union.
It shall take effect on the date of its adoption.

Report from the Commission on food irradiation for the year 2005

SUMMARY
Under Article 7(3) of Directive 1999/2/EC of the European Parliament and of the Council of 22 February 1999 on the approximation of the laws of the Member States concerning foods and food ingredients treated with ionising radiation (1), the Member States have to forward to the Commission every year:

the results of checks carried out in irradiation facilities, in particular regarding the categories and quantities of products treated and the dose administered, and |
— |
the results of checks carried out at the product marketing stage and the methods used to detect irradiated foods. |
In 2005, irradiation facilities had approval in 10 Member States. Eight Member States provided the information requested with respect to food categories treated, quantities or doses. As a consequence, the precise amount of foods irradiated in the EU during 2005 is not known.
Seventeen Member States reported checks on foods placed on the market. In total, 7 011 food samples were checked in 2005. About 4 % of products on the market were found to be illegally irradiated and/or not labelled. Products from Asia accounted for most of the non-compliant samples. Only six of the 287 samples found to be irradiated complied with the Regulation.
Differences between Member States regarding the results of controls can partly be explained by the choice of samples and the performance of the analytical methods used.
1. LEGAL BASIS AND BACKGROUND
Under Article 7(3) of Directive 1999/2/EC, the Member States are required to forward to the Commission every year:

the results of checks carried out in irradiation facilities, in particular regarding the categories and quantities of products treated and the dose administered, and |
— |
the results of checks carried out at the product marketing stage and the methods used to detect irradiated foods. |
The Commission publishes the results in annual reports in the Official Journal of the European Union.
This report covers the period from 1 January 2005 to 31 December 2005.
Information on general aspects of food irradiation is available on the website of the European Commission's Directorate-General for Health and Consumer Protection (2).
1.1. Irradiation facilities
Under Article 3(2) of Directive 1999/2/EC, food may be irradiated only in approved irradiation facilities. For facilities in the EU, approval is given by the competent authorities of the Member States (2). The Member States have to inform the Commission of their approved irradiation facilities (Article 7(1)).
The list of authorised facilities in the Member States has been published by the Commission (3).
1.2. Irradiated foods
The irradiation of dried aromatic herbs, spices and vegetable seasonings is authorised in the EU (Directive 1999/3/EC of the European Parliament and of the Council of 22 February 1999 on the establishment of a Community list of food and food ingredients treated with ionising radiation (4)). In addition, 6 Member States have notified that they maintain national authorisations for certain foods in accordance with Article 4(4) of Directive 1999/2/EC. The list of national authorisations has been published by the Commission (5).
Under Article 6 of Directive 1999/2/EC, any irradiated food or any irradiated food ingredient of a compound food must be labelled with the words ‘irradiated ’or ‘treated with ionising radiation’.
To enforce correct labelling or to detect non-authorised products, several analytical methods have been standardised by the European Committee for Standardisation (CEN), following a mandate given by the European Commission.
2. RESULTS OF CHECKS CARRIED OUT IN IRRADIATION FACILITIES

The Member States submitted the following information:
2.1. Belgium
Inspections by the competent authorities in 2005 confirmed the compliance of the irradiation facility IBA Mediris S.A. with the requirements of Directive 1999/2/EC. The Company was however requested to establish a procedure to guarantee and prove that foodstuffs not authorised for irradiation in Belgium are exported.

2.3. Germany
During the reporting period, there were four approved irradiation facilities in Germany:

2.10. The United Kingdom
In the United Kingdom, there is one facility approved for the irradiation of foods.
The facility did not irradiate any food under the terms of its licence in 2005 and it was not inspected during 2005.
2.11. Summary for the EU
10 Member States have facilities approved in accordance with Article 7(2) of Directive 1999/2/EC.
Eight Member States forwarded to the Commission the results of checks carried out in irradiation facilities.
The exact amount of foodstuffs irradiated in the Union can therefore not be determined.
3. RESULTS OF CHECKS CARRIED OUT AT THE PRODUCT MARKETING STAGE AND THE METHODS USED TO DETECT IRRADIATED FOODS

115 samples were checked for ionising radiation treatment. None were found to be irradiated.

3.5. Germany
3 945 food samples were examined. 141 of these, i.e. 3.6 %, were non-compliant: 93 samples were incorrectly labelled and 48 were found to have been illegally irradiated.
Two samples were legally irradiated and correctly labelled.
The infringements are distributed very unevenly over product categories. In the group ‘Asian noodle snacks, party snacks, pizza, TV snacks’, 42 of 113 samples (37 %) had been illegally irradiated and/or were not correctly labelled. The same was true for 32 % of soups and sauces.
It should be noted that products from Asia accounted for most of the non-compliant samples.

3.10. Finland
In total 274 samples were analysed. A total of 246 samples of dried spices and herbs were analysed. 6 samples were found to contain irradiated material. 21 food supplements were analyzed and 7 tested positive for irradiation.
None of the positive samples were adequately labelled and the irradiation facilities had no EU approval.

3.24. Slovenia
During the year 2005, ten samples, herbs and spices were analysed, none of them tested positive for being irradiated.
3.25. The United Kingdom
The Food Standards Agency is aware of 657 products that were sampled by UK local enforcement authorities in 2005 and analysed using standardised detection tests for irradiated food. Of these 657 samples, 42 (six percent) were found to be irradiated. The 101 samples reported as ‘inconclusive ’were identified as intermediate using CEN method EN13751:2002 and were not analysed further; or were samples of ‘low sensitivity ’such that the mineral grain fraction of the samples was insufficient to carry out accurate analysis.

4. CONCLUSIONS
4.1. Results of checks carried out in irradiation facilities
Directive 1999/2/EC requires the Member States to inform the Commission about the results of checks in irradiation facilities, the categories and quantities of foods irradiated and the average doses applied.
In 2005, irradiation facilities had approval in 10 Member States.
Eight of the 10 Member States provided the information requested with respect to the food categories treated.
Due to this incomplete reporting, the precise amount of foods irradiated in the EU during 2005 is not known.
4.2. Results of checks carried out at the product marketing stage
In 2005, 16 Member States performed analytical checks and submitted the requested data. Four Member States informed the Commission that they did not perform analytical checks during the period covered by the present report.
The information submitted shows that during 2005, 4 % of samples were illegally irradiated and/or not correctly labelled. Of the 287 samples proven to be irradiated, only 6 were legally irradiated and correctly labelled.
The infringements are unevenly distributed over product categories. Products imported from Asia, especially Asian-type noodles and food supplements are particularly concerned. It should be noted that in 2005, there were no facilities in Asia approved by the European Community.
The Commission expects that the member States continue to focus controls on these products and that Member States will take the appropriate measures.
Differences between Member States regarding the results of controls could partly be explained by the choice of the samples and the performance of the analytical methods used.
4.3. Deadline for the submission of the results of checks for the 2006 report
The deadline for submitting to the Commission the results of checks performed in 2006, as required under Article 7(3) of Directive 1999/2/EC, is 30 April 2007.

SUMMARY
I. PROCEDURE

On 23 February 2006, the Italian authorities notified the Commission a rescue aid to Ottana Energia Srl (Ottana) which was put into effect in 2005. In July 2006, the Italian authorities notified the Commission additional information on a restructuring project of the firm. The Commission's questions on the restructuring aid have so far only been answered in parts. |

On 6 December 2006, the Commission with decision C(2006)5829 indicated that it had no objections against the rescue aid but cannot accept an extension of the rescue aid beyond the six months period in view of the poor quality a restructuring plan. The guarantee was supposed to the terminated in January 2007. Italy did however not terminate the rescue aid. |
II. FACTS

Ottana Energia Srl is a local energy provider in Sardinia. At the end of 2005 it obtained a guarantee for a loan of EUR 5 million, which constitutes rescue aid. (1) |

The restructuring project of the company foresees technical and employment restructuring. The technical restructuring essentially envisages a change from using BTZ fuel to bio-fuel. Costs are estimated around EUR 50 million, whereas no additional state aid shall be provided other than a prolongation of the repayment of the rescue aid over 12 years. |
III. ASSESSMENT

The Commission notes that the rescue aid has not been terminated as required by the decision C(2006)5829. The Commission is therefore obliged to open proceedings under point 27 of the Guidelines on aid for rescue and restructuring of firms in difficulty (2). |
6. |
The Commission does also not see yet how the illegal prolongation of the rescue aid could be compatible restructuring aid as the restructuring plan lacks until today essential elements indicating how the company would restore long term viability. Moreover, it is questionable whether a prolongation of the rescue aid for 12 years is necessary. |
7. |
Furthermore, no precise information has been submitted clarifying the restructuring strategy, indicating credible forecasts for the future performance of the company and supporting the existence of a significant own contribution and compensatory measures. To this end the Commission is enjoining Italy to answer its previously raised questions. |
TEXT OF LETTER
‘La Commissione intende informare l'Italia che, dopo aver esaminato le informazioni fornite dalle autorità italiane in merito all'aiuto in oggetto, ha deciso di avviare il procedimento di cui all'articolo 88, paragrafo 2, del trattato CE.
I. PROCEDIMENTO

Il 23 febbraio 2006 le autorità italiane hanno notificato alla Commissione un aiuto al salvataggio a favore di Ottana Energia Srl (Ottana) registrato con il numero NN 14/06, cui era stata data esecuzione il 29 dicembre 2005, ossia prima della notifica. |

Con notificazione del 14 luglio 2006, registrata il 17 luglio con il numero N 476/06, le autorità italiane hanno notificato alla Commissione ulteriori informazioni sulla misura, incluso un piano di ristrutturazione. |
(3) |
Con lettera del 31 agosto 2006 la Commissione ha chiesto all'Italia ulteriori informazioni sul piano di ristrutturazione del caso N 476/06, senza tuttavia ricevere alcuna risposta entro il termine prestabilito. |

Il 6 dicembre 2006 la Commissione, nella sua decisione C(2006) 5829 (in prosieguo “la decisione di salvataggio”) ha indicato che non formulava obiezioni all'aiuto al salvataggio. Nella decisione si legge: “la Commissione conclude che l'aiuto in esame soddisfa i criteri ai fini della compatibilità con il trattato CE e pertanto non solleva alcuna obiezione nei confronti dell'aiuto stesso. La Commissione non può tuttavia concedere una proroga dell'aiuto per il salvataggio oltre ai sei mesi previsti a seguito della presentazione di un piano di ristrutturazione, in quanto tale piano non giustifica la suddetta proroga. La Commissione chiede quindi alle autorità italiane di revocare la garanzia a beneficio di Ottana Energia Srl entro 15 giorni dalla data di ricevimento della presente lettera”. |

In una riunione svoltasi il 18 dicembre 2006 la Commissione ha posto ulteriori domande alle quali le autorità italiane finora non hanno risposto. Tuttavia l'Italia, con posta elettronica del 20 dicembre 2006 ha risposto alle domande formulate il 31 agosto 2006. Il 19 gennaio la Commissione ha ricevuto i verbali di un accordo concluso il 9 gennaio tra Ottana e le autorità italiane concernente la futura ristrutturazione dell'impresa. |

Con lettera del 20 febbraio 2006 le autorità italiane sono state invitate a confermare la mancata revoca della garanzia che avevano indicato nella riunione del 18 dicembre. Nella lettera si sottolineava che, in tal caso, la Commissione sarebbe stata costretta ad avviare il procedimento di cui all'articolo 88, paragrafo 2, del trattato. Con lettera dell'8 marzo 2006 l'Italia ha confermato che la garanzia per il prestito non era stata revocata. |
II. DESCRIZIONE DETTAGLIATA DELL'AIUTO
1. Il beneficiario

Ottana è una società di servizi pubblici locali situata nella provincia di Nuoro in Sardegna. L'impresa produce energia elettrica e fornisce pressione di vapore d'acqua, acqua, nitrogeno e aria compressa. Ottana detiene il 2 % del mercato sardo dell'elettricità. |

Ottana conta circa 115 dipendenti e nella decisione di salvataggio si era stabilito che può essere considerata una PMI (3). Tuttavia, dato che ha più di 50 dipendenti, Ottana non può essere considerata una piccola impresa. |
(9) |
La centrale elettrica di Ottana, che è stata costruita nel 1970, è stata rilevata da una controllata della società energetica internazionale AES Inc. nel 2001, ma nonostante un vasto programma d'investimento, non ha ottenuto i risultati previsti, in quanto un suo cliente fondamentale, Montefibre Spa, ha chiuso nel 2003. Nel 2005 la società è stata ceduta da AES alla holding SAE srl che ne ha acquistato le azioni. |

La centrale, dal 1970, non è stata sottoposta a nessun importante processo di ammodernamento. La centrale comprende essenzialmente due caldaie identiche per la produzione di pressione di vapore d'acqua e due turbine per la produzione di energia elettrica e vapore a due diversi livelli di pressione. |

La società sostiene che il sistema di controllo della centrale è in buone condizioni, ma è alquanto arcaico per cui necessita di un numero molto elevato di addetti onde assicurarne il funzionamento e la manutenzione in maniera adeguata. Inoltre è stato affermato che varie iniziative di manutenzione sono state rinviate per mancanza di fondi. |

Attualmente la centrale è alimentata ad olio combustibile a basso tenore di zolfo (indicato come BTZ) che rappresenta l'85 % dei costi della società. Pertanto Ottana si trova esposta a cambiamenti del prezzo del petrolio. Infatti, a causa dell'aumento di detti prezzi nel 2005 e nel 2006, la società non è più in grado di recuperare i costi. Dato che il sito è abbastanza remoto, il combustibile è trasportato per autocisterne. |

Le autorità italiane sostengono che la liquidazione della società avrebbe gravi ricadute sul funzionamento di altre imprese localizzate nella zona industriale di Ottana, in quanto cesserebbero di essere erogati loro elettricità e vapore. Il fallimento della società comporterebbe il collasso dell'intero sito industriale di Ottana. Ciò equivarrebbe alla perdita di circa 800 posti di lavoro esistenti nel sito e di circa 200 nell'indotto. |
2. L'aiuto al salvataggio

La misura di salvataggio prevedeva la concessione, da parte del ministero per lo Sviluppo economico, di una garanzia su un prestito di 5 milioni di EUR (4). La garanzia doveva cessare 15 giorni lavorativi dopo la notifica della decisione di salvataggio, ossia al più tardi l'8 gennaio 2007. |
3. Il piano di ristrutturazione

Il piano di ristrutturazione dell'impresa si prefigge di mantenere le attuali risorse umane e le infrastrutture esistenti. Esso individua come principale motivo del fallimento la dipendenza della società dall'olio combustibile e la sua incapacità di trasferire gli incrementi di prezzo dell'olio combustibile sul prezzo dell'elettricità. La riserva sarda di energia elettrica è infatti costituita da centrali a carbone che registrano costi minori. Pertanto Ottana mira a ridurre i costi diretti, in particolare quelli connessi con il combustibile e con il trasporto. La società ha preparato un piano di conversione per la centrale elettrica. |

Le autorità italiane hanno infatti trasmesso alla Commissione un quadro dello sviluppo futuro dell'impresa che indica tre potenziali fasi di ristrutturazione. La fase uno consisterebbe nel ripotenziamento di una caldaia della centrale in modo che possa utilizzare carbone fluido, mentre l'altra continua a funzionare con olio combustibile. Tuttavia, questo progetto, nel frattempo, sarebbe stato abbandonato in quanto nell'ultimo piano non figurano altri fondi all'uopo destinati. |

La fase due consisterebbe nella conversione del secondo generatore dall'olio combustibile all'olio vegetale. In tal modo si prevede una riduzione delle emissioni che può essere utilizzata per acquistare e vendere “certificati verdi”. Ciò sembra indispensabile per garantire il successo del piano in modo da compensare i prezzi più elevati dei biocombustibili rispetto a quelli dei combustibili fossili che, almeno per il momento, non possono essere portati allo stesso livello mediante una riduzione dell'accisa, in quanto a questo proposito non è stata ottenuta alcuna autorizzazione. La ristrutturazione tecnica prevede l'installazione di un nuovo impianto nella centrale elettrica in modo da consentire la produzione di energia elettrica mediante l'impiego di oli vegetali. I costi d'investimento sono stimati pari a 49 milioni di EUR. |

La fase tre consisterebbe nell'utilizzazione, in futuro, del gas naturale mediante il cosiddetto gasdotto GALSI che collegherà l'Algeria all'Italia attraverso la Sardegna (il cui completamento non è previsto prima del 2009). Dato che non sono stati decisi i tempi della costruzione, questa fase è ipotetica e in ogni caso sarà attuata soltanto dopo che la realizzazione della fase due dovesse non risultare economicamente redditizia. |

In seguito alla presentazione, per approvazione, del suo piano alla Regione Sardegna e ai sindacati, la società ha concluso un accordo con la Regione, il quale prevede il rilascio imminente da parte della Regione delle necessarie autorizzazioni per “la fase due”. |

Inoltre, il piano prevede una diminuzione dei costi fissi attraverso una ristrutturazione dell'organico, destinata a ridurre 45 posti di lavoro. Si prevede di ricorrere ad un piano di prepensionamento. Tuttavia non sono stati forniti chiarimenti al riguardo. |

Il piano di ristrutturazione individua un fabbisogno finanziario di 44,6 milioni di EUR che sarà probabilmente finanziato mediante prestiti post-financing a lungo termine (32 milioni di EUR) nonché prestiti a breve (6 milioni) ed equity (6,6 milioni di EUR). Il capitale proprio, apparentemente, sarà finanziato da contributi del socio di maggioranza e dell'ingresso di nuovi soci. La struttura finanziaria avrà un rapporto debito/capitale proprio pari a 85/15. Il piano non fornisce altri chiarimenti al riguardo. |

Inoltre, il piano indica che l'unico aiuto accordato dovrebbe consistere in una proroga dell'aiuto al salvataggio di 5 milioni di EUR, il cui rimborso sarà effettuato mediante i flussi di cassa generati dalla nuova iniziativa nell'arco di 12 anni dall'avviamento del nuovo impianto. Non è stato fornito alcun ragguaglio su altre misure di aiuto fornite dallo Stato. Come si è già detto, l'accordo con la Regione prevede unicamente che quest'ultima rilasci le necessarie autorizzazioni. |

Non sono state fornite informazioni sullo sviluppo futuro dei mercati in cui opererà l'impresa. Le proiezioni finanziarie non forniscono nessun quadro di ipotesi ottimistiche/pessimistiche. Tuttavia, secondo le proiezioni finanziarie, la società registrerà un utile al netto delle tasse di circa 5 milioni di EUR a partire dal 2008 (fino al 2020) e le vendite dovrebbero ammontare a quasi 15 milioni di EUR per l'elettricità e a 27,5 milioni di EUR per i certificati verdi. Non sono state fornite informazioni dettagliate sulle vendite di certificati verdi, eccetto che si baseranno su 176 000 tonnellate di emissioni di CO2 evitate all'anno. |

Non vi sono indicazioni che l'Italia abbia approvato il piano di ristrutturazione di Ottana. |
III. VALUTAZIONE
1. Attuazione abusiva dell'aiuto
(26) |
La valutazione deve essere effettuata in base ai punti 25-27 degli orientamenti comunitari sugli aiuti di Stato per il salvataggio e la ristrutturazione di imprese in difficoltà (5) (in prosieguo “gli orientamenti”) per le seguenti ragioni. |
(27) |
Secondo la decisione di salvataggio, il periodo di sei mesi stabilito al punto 25, lettera a), degli orientamenti per l'aiuto al salvataggio è scaduto. Benché l'Italia abbia effettivamente presentato un piano di ristrutturazione, che potenzialmente avrebbe potuto consentire di prorogare l'aiuto al salvataggio conformemente al punto 26 degli orientamenti, la Commissione ha posto fine alla potenziale proroga mediante la succitata decisione di salvataggio del 6 dicembre 2006 (6). |
(28) |
Malgrado la decisione suddetta, l'Italia non vi si è conformata né ha revocato la garanzia nonostante dovesse cessare 15 giorni lavorativi dopo la notifica, ossia entro l'8 gennaio 2007. |

Di conseguenza si deve avviare il procedimento di cui al punto 27 degli orientamenti. Il punto 27 prevede l'avvio di un procedimento formale in quanto stabilisce che la Commissione “avvia il procedimento ”se all'aiuto al salvataggio non è posta fine entro il termine stabilito. |
2. Compatibilità a titolo di aiuto alla ristrutturazione

In caso di attuazione in modo abusivo dell'aiuto, la Commissione deve anche valutarne la compatibilità in base a tutti gli altri eventuali criteri. Il punto 20 degli orientamenti limita i criteri a quelli stabiliti negli orientamenti sugli aiuti di Stato per il salvataggio e la ristrutturazione. L'aiuto al salvataggio potrebbe quindi essere autorizzato a titolo di aiuto alla ristrutturazione. |
(31) |
La Commissione riconosce, nella decisione di salvataggio, che Ottana può essere ammessa a beneficiare di aiuti alla ristrutturazione. Ciò implica che l'impresa, conformemente al punto 33 degli orientamenti, sia un'impresa in difficoltà. Tale caso si verifica quando un'impresa “non è in grado, con le proprie risorse o con le risorse che può ottenere dai proprietari/azionisti o dai creditori, di contenere perdite che, in assenza di un intervento esterno delle autorità pubbliche, la condurrebbero certamente al collasso economico, nel breve o nel medio periodo ”(punto 9 degli orientamenti). Considerato il fatto affermato al punto 22 indicante che l'impresa apparentemente ora è in grado di ottenere prestiti per finanziare la sua ristrutturazione, la Commissione si chiede se Ottana continui ad essere un'impresa in difficoltà ai sensi degli orientamenti. |
(32) |
Inoltre, la Commissione dubita che il piano di ristrutturazione sia compatibile con gli orientamenti, ossia che il piano permetta di ripristinare la redditività a lungo termine dell'impresa (punti 34-37), che l'aiuto di Stato sia limitato al minimo, incluso un contributo reale e significativo dell'impresa beneficiaria (punti 43-45), nonché della prevenzione di indebita distorsione della concorrenza indotta dall'aiuto (punti 38-42). |

In particolare, non è chiaro in che modo il piano di ristrutturazione permetterà alla società di ripristinare la redditività nel lungo periodo, dato che non contiene una strategia coerente per il futuro. Invece di compiere un'analisi economica dei mercati e delle opportunità future, il piano si limita ad elencare una serie di soluzioni alternative, alcune delle quali sembrano mettere già in discussione le misure previste nel piano. Un piano così vago rende estremamente difficile qualsiasi valutazione del ripristino della redditività nel lungo periodo. |
(34) |
In secondo luogo, il piano non individua misure interne precise atte a riorientare l'attività dell'impresa. Ad esempio, non è chiaro se interverrà una ristrutturazione dell'organico. Benché prevista nel piano originario, l'accordo tra l'impresa e le autorità italiane del 9 gennaio 2007 sembra ora indicare che Ottana nel frattempo ha abbandonato la ristrutturazione dell'organico. Infatti, fintantoché il sistema arcaico di controllo della centrale continuerà ad operare sembra effettivamente che richieda un numero alquanto elevato di addetti. D'altro canto ciò conferma il fatto che i miglioramenti qualitativi della produzione possono difficilmente essere conseguiti senza ammodernamento del sistema di controllo della centrale che, apparentemente, non è previsto. Quantomeno non sono state comunicate alla Commissione informazioni in proposito. |
(35) |
In terzo luogo, non sono state fornite proiezioni attendibili indicanti il ripristino della redditività. Ad esempio, non sono stati forniti altri chiarimenti a sostegno dell'aspettativa che la vendita di certificati verdi per 27,5 milioni di EUR nel 2008, quale indicata nel piano, sia realistica. Inoltre, non è chiaro in che modo Ottana sarà già redditizia nel 2008. Secondo la Commissione, questi dati di solito sono corroborati da una serie esauriente di ipotesi ottimistiche/pessimistiche. Del pari, la struttura finanziaria del progetto non sembra sostenibile con un rapporto debito/capitale proprio di 85/15. |
(36) |
Infine, non è chiaro se l'Italia abbia approvato il piano di ristrutturazione, conformemente al punto 59 degli orientamenti. |
(37) |
In aggiunta, il piano mette in discussione il fatto che l'aiuto si limiti al minimo necessario. Se la società, secondo le sue proprie previsioni, a prescindere dal fatto che possano essere piuttosto ottimistiche, sarà redditizia nel 2008, la Commissione non vede per quale motivo la garanzia dovrebbe essere rimborsata nell'arco di 12 anni. |
(38) |
Inoltre, la Commissione dubita che il beneficiario abbia effettivamente apportato un suo proprio contributo significativo. Il piano e le spiegazioni fornite dall'Italia indicano semplicemente che la società contribuirà alla ristrutturazione con i suoi mezzi propri, senza specificare dettagliatamente in che modo tali fondi siano generati. Quanto al conferimento di capitale da parte dell'azionista di maggioranza, non vi è indicato alcun impegno né in termini di tempo né di importo. Altrettanto dicasi per eventuali contributi di nuovi azionisti o per altri finanziamenti esterni. In altri termini, la Commissione ai fini della sua valutazione del contributo proprio in generale e per rispettare in particolare la soglia indicata al punto 44 degli orientamenti, richiede informazioni più concrete su finanziamenti esterni, di qualsiasi tipo, al piano ristrutturazione. |
(39) |
Alla Commissione non è neppure chiaro in che modo il piano fornisca adeguate misure compensative, conformemente al punto 38 in combinato disposto con il punto 41 degli orientamenti, dato che nel piano non sono indicate misure a tal fine. |
(40) |
Concludendo, la Commissione continua a dubitare della compatibilità del piano di ristrutturazione con gli orientamenti (7). |
3. Altri motivi di compatibilità
(41) |
Se una misura non può essere autorizzata in virtù delle deroghe di cui all'articolo 87, paragrafo 2, e dell'articolo 87, paragrafo 3, del trattato CE, può comunque essere compatibile con il trattato CE ai sensi dell'articolo 86, paragrafo 2, del trattato CE qualora sia necessaria per l'adempimento di un servizio d'interesse economico generale. Apparentemente Ottana svolge una funzione essenziale giacché fornisce vapore ad altre società situate nel sito industriale di Ottana. Tuttavia la Commissione attualmente non dispone di informazioni che le consentano di affermare che i criteri stabiliti nella giurisprudenza e Altmark siano soddisfatti (8). |
IV. CONCLUSIONE
(42) |
La presente decisione è da considerarsi come una decisione di avvio del procedimento formale di indagine ai sensi dell'articolo 88, paragrafo 2, del trattato CE e del regolamento (CE) n. 59/1999 del Consiglio. La Commissione, nell'ambito del procedimento di cui all'articolo 88, paragrafo 2, del trattato CE, invita l'Italia a inviare le sue osservazioni e a fornire qualsiasi informazione utile ai fini della valutazione dell'aiuto, entro il termine di un mese dalla data di ricezione della presente. Considerate le scarse risposte fornite alle precedenti richieste di informazioni della Commissione, la Commissione ingiunge l'Italia di fornire le seguenti informazioni: |
Per il ripristino della redditività a lungo termine
(a) |
un'analisi dettagliata dei mercati potenziali; |
(b) |
una decisione chiara su una strategia di ristrutturazione che discuta i vantaggi e gli svantaggi della soluzione prevista; |
(c) |
una descrizione più dettagliata della ristrutturazione (ad esempio: sono rinnovati anche i sistemi di controllo della centrale?); |
(d) |
la conferma che il gasdotto GALSI sarà costruito nonché informazioni sulla tempistica della costruzione; |
(e) |
una descrizione più dettagliata dei costi di ristrutturazione (i costi di ristrutturazione non corrispondono al finanziamento indicato); |
(f) |
previsioni esatte dei costi di produzione dell'energia elettrica qualora sia attuata la fase due (i calcoli dovrebbero precisare le misure di aiuto di Stato applicabili in Italia per i combustibili alternativi); |
(g) |
una spiegazione più approfondita dei ricavi generati dai certificati verdi e in particolare qualsiasi elemento di prova a sostegno delle ipotesi formulate; |
(h) |
dati finanziari concreti che comprendano le differenti ipotesi di situazione futura dell'impresa in modo da comprovare il ripristino della redditività nel lungo periodo; in assenza di siffatte previsioni concrete, comprendenti informazioni dettagliate sul calcolo dei ricavi delle vendite (indicazione del prezzo dell'elettricità e dei certificati verdi), la Commissione deve supporre che il piano non consenta all'impresa di ripristinare la propria redditività; |
(i) |
una spiegazione della ristrutturazione dell'organico nonché del relativo finanziamento. |
Per l'aiuto limitato al minimo
(j) |
l'indicazione precisa e concreta delle fonti di finanziamento e di qualsiasi misura di aiuto prevista; in assenza di siffatte spiegazioni, alla Commissione non è chiaro che il beneficiario abbia fornito un contributo proprio significativo; |
(k) |
la spiegazione tanto dei motivi per i quali sia necessaria la proroga di 12 anni dell'aiuto al salvataggio quanto dei motivi per cui l'aiuto non possa essere rimborsato prima, tenuto conto degli utili previsti; in mancanza di un'informazione plausibile, la Commissione deve supporre che l'aiuto alla ristrutturazione vada oltre il minimo necessario. |
Per ridurre al minimo gli effetti distorsivi della concorrenza
(l) |
informazioni sull'esistenza di misure compensative. |
Per l'esistenza di un servizio di interesse economico generale
(m) |
altre informazioni ed elementi di prova a sostegno della tesi secondo cui Ottana fornisce un servizio di interesse economico generale conformemente alla normativa esistente; in assenza di siffatta informazione la Commissione deve supporre che tale non sia il caso. |
(43) |
La Commissione invita l'Italia a trasmettere immediatamente copia della presente a Ottana Energia. |
(44) |
La Commissione fa presente all'Italia che l'articolo 88, paragrafo 3, del trattato CE ha effetto sospensivo e richiama l'attenzione del governo italiano sull'articolo 14 del regolamento (CE) n. 659/1999 del Consiglio il quale dispone il recupero di qualsiasi aiuto illegale presso il beneficiario. |
(45) |
La Commissione avverte l'Italia che informerà gli interessati mediante pubblicazione della presente lettera e di una sintesi della medesima nella Gazzetta ufficiale dell'Unione europea. Inoltre informerà gli interessati nei paesi EFTA firmatari dell'accordo SEE mediante pubblicazione di una comunicazione nel supplemento SEE della Gazzetta ufficiale dell'Unione europea nonché l'autorità di vigilanza EFTA mediante invio di copia della presente. Tutti gli interessati suddetti saranno invitati a presentare osservazioni entro un mese dalla data di siffatta pubblicazione.’ |

By request of 31 October 2006, Thermopyles SAS, a company with registered offices at 190 rue de Fontenay, F-94300 Vincennes, applied for an exclusive five-year licence, designated the ‘Sancerre licence’, to prospect for oil or gas in an area of approximately 545 km2 covering part of the departments of Cher and Nièvre.
The perimeter of the area covered by this licence consists of the meridian and parallel arcs connecting in turn the points defined below by their geographical coordinates, the original meridian being that of Paris.

Submission of applications
The initial applicant and competing applicants must prove that they meet the requirements for obtaining the licence, specified in Articles 4, 5 and 6 of Decree No 2006-648 of 2 June 2006 concerning mining rights and underground storage rights (Journal officiel de la République française of 3 June 2006).
Interested companies may, within ninety days of the publication of this notice, submit a competing application in accordance with the procedure summarised in the ‘Notice regarding the granting of mining rights for hydrocarbons in France ’published in Official Journal of the European Communities C 374 of 30.12.1994, p. 11, and established by Decree No 2006-648 of 2 June 2006 concerning mining rights and underground storage rights. Competing applications must be sent to the Minister responsible for mines at the address below. Decisions on the initial application and competing applications will be taken within two years of the date on which the French authorities received the initial application, i.e. by 7 November 2008 at the latest.
Conditions and requirements regarding performance of the activity and cessation thereof
Applicants are referred to Articles 79 and 79(1) of the Mining Code and to Decree No 2006-649 of 2 June 2006 on mining and underground storage operations and the regulations governing mining and underground storage (Journal officiel de la République française of 3 June 2006).
