New national side of euro circulation coins
(2007/C 110/06)
Euro circulation coins have legal tender status throughout the euro area. The Commission publishes all new euro coin designs (1) with a view to informing all parties required to handle coins in the course of their work and the public at large. In accordance with the Council conclusions of 8 December 2003 (2), euro-area Member States and countries that have concluded a Monetary Agreement with the Community providing for the issuance of euro circulation coins are allowed to issue certain quantities of commemorative euro circulation coins on condition that not more than one new coin design is issued per country per year and that only the 2-euro denomination is used. These coins have the technical features of normal euro circulation coins, but bear a commemorative design on the national side.
Issuing State: Portugal
Subject of commemoration: Portuguese Presidency of the Council of the European Union.
Factual description of the design: The inner part of the coin shows a cork oak (Quercus Suber). Under the branches, on the left hand side, the Portuguese coat of arms; on the right hand side, the word ‘POR TU GAL ’written on three lines. The legend ‘2007 PRESIDÊNCIA DO CONSELHO DA UE ’is inscribed in a semi-circle along the bottom of the inner part, with the artist signature (I Vilar) on the left and the mintmark (INCM) near the Coat of Arms. The outer ring of the coin depicts the twelve stars of the European flag.

Edge lettering: five coats of arms and seven castles equally spaced.

TEXT OF SUMMARY
PROCEDURE
On 17 February 2003 the Commission adopted a negative final decision in respect of the tax scheme for coordination centres. The decision required the scheme to be phased out as and when the ten-year licences granted to the various centres expired and imposed an immediate ban on the renewal of the licences.
By order dated 26 June 2003, the President of the Court suspended operation of the decision ‘in so far as it (prohibited) the Kingdom of Belgium from renewing coordination centre authorisations effective as at the date of notification of the decision’. The order also stipulated that ‘the effects of renewals made pursuant to this order shall not extend beyond the day on which judgment is given in the main action’.
By judgment of 22 June 2006, the Court annulled in part the Commission decision ‘in so far as it (does) not lay down transitional measures for those coordination centres with an application for renewal of their authorisation pending on the date on which the contested decision was notified or with an authorisation which expired at the same time as or shortly after the notification of the decision’. In paragraph 163 of the judgment, the Court spelled out that ‘the expression “shortly after ”should be understood as referring to a date so close to that on which the contested decision was notified that the coordination centres concerned did not have the time required to adjust to the change in the regime in question’.
This means that the investigation initiated on 27 February 2002 is again open in part. The Commission requested the Belgian authorities on 4 July 2006 to provide it with additional information so that it could determine the content of its new final decision, ascertain that the part of the decision which was not cancelled has been complied with and close the investigation procedure. After a number of reminders the information was provided by letter of 16 January 2007 stating that Belgium had extended the authorisations until 31 December 2005 but that it now wished to extend them until 31 December 2010. Belgium has adopted a law to this effect which it has not notified to the Commission but it has suspended its entry into force.
In order to preserve the right of the Belgian State and interested third parties to submit comments on the duration of the reasonable period for which the Commission should have made provision in its decision of 17 February 2003, the Commission has decided to extend the procedure initiated on 27 February 2002.
The purpose of extending the procedure is twofold: to set out the Commission's position concerning the interpretation of the judgment and the facts at the Commission's disposal for assessing this reasonable period, and to obtain comments from the Belgian authorities and interested third parties.
TEXT OF LETTER
‘Par la présente, la Commission a l'honneur d'informer la Belgique qu'après l'annulation partielle, le 22 juin 2006, par la Cour de justice européenne de sa décision C(2003) 564 final du 17 février 2003 (telle qu'amendée par la décision du 23 avril 2003), concernant l'aide citée en objet, elle a décidé d'étendre la procédure ouverte le 27 février 2002 conformément à l'article 88, paragraphe 2, du traité CE.
PROCÉDURE
1. |
Pour rappel, la base légale du régime des centres de coordination est l'arrêté royal no 187 du 30 décembre 1982. En 1984 et 1987, la Commission avait autorisé ce régime, considérant qu'il ne soulevait pas d'objection au regard des règles du traité applicables en matière d'aides d'État. |

En 1997, comme elle s'y était engagée dans le cadre de l'adoption par le Conseil de l'Union européenne (ci-après “le Conseil”) du Code de conduite dans le domaine de la fiscalité des entreprises (ci-après “le Code de conduite”) (1), la Commission a réexaminé ce régime, à la lumière de sa communication sur l'application des règles relatives aux aides d'État aux mesures relevant de la fiscalité directe des entreprises (2) et des règles du traité applicables en matière d'aides d'État. |

Le 11 juillet 2001, la Commission a proposé des mesures utiles visant à supprimer, pour toutes les entreprises concernées, les effets du régime des centres de coordination au plus tard pour le 31 décembre 2005. La Belgique n'a pas accepté ces mesures utiles estimant qu'elle était tenue légalement de respecter, jusqu'à leur expiration, les agréments de 10 ans dont certains prenaient fin après le 31 décembre 2005. |

Le 27 février 2002, en l'absence d'acceptation des mesures utiles, la Commission a ouvert la procédure formelle d'examen (3) prévue à l'article 88, paragraphe 2 du traité conformément à l'article 19, paragraphe 2, du règlement (CE) no 659/1999 du Conseil du 22 mars 1999 portant modalités d'application de l'article 93 du traité CE (4) (devenu 88). La Commission a, à cette occasion, invité les tiers intéressés à lui fournir leurs commentaires, notamment à propos des circonstances permettant d'établir l'existence d'une confiance légitime dans leur chef. |

Le 17 février 2003, la Commission a clôturé cette procédure formelle d'examen par une décision finale négative (5). S'agissant d'une aide existante, la Commission n'a pas demandé le recouvrement des aides accordées par le passé. Toutefois, à titre de mesures transitoires, la décision de la Commission permettait aux centres de coordination de bénéficier des avantages du régime jusqu'à l'expiration de leur agrément en cours et au plus tard jusqu'au 31 décembre 2010. L'État belge et l'association Forum187, regroupant les centres de coordination, ont introduit des recours visant à la suspension et à l'annulation de tout ou partie de ladite décision (affaires C-182/03 et T-140/03 devenue C-217/03). |

Par ordonnance du 26 juin 2003, le président de la Cour a suspendu l'exécution de la décision finale de la Commission du 17 février 2003“dans la mesure où celle-ci (interdisait) au royaume de Belgique de renouveler les agréments des centres de coordination en cours à la date de la notification de ladite décision”. Il précisait encore que “[les] effets des renouvellements éventuels intervenant sur le fondement de [cette] ordonnance ne [pourraient] pas aller au-delà du jour du prononcé de la décision au principal”. |

Le 16 juillet 2003, sur demande de l'État belge, le Conseil a décidé de considérer conformément à l'article 88, paragraphe 2, troisième alinéa, du traité “omme compatible avec le marché commun, l'aide que compte accorder la Belgique jusqu'au 31 décembre 2005 aux entreprises qui bénéficiaient au 31 décembre 2000 d'un agrément comme centre de coordination au titre de l'arrêté royal n o 187 du 30 décembre 1982 expirant entre le 17 février 2003 et le 31 décembre 2005” (6). L'aide en question consistait à maintenir les effets du régime des centres de coordination aux entreprises susmentionnées. La Commission a introduit un recours contre la décision du Conseil (affaire C-399/03). |

Par arrêt du 22 juin 2006, la Cour a annulé partiellement la décision de la Commission “en ce qu'elle ne prévoit pas de mesures transitoires en ce qui concerne les centres de coordination dont la demande de renouvellement d'agrément était pendante à la date de notification de la décision attaquée ou dont l'agrément expirait concomitamment ou à brève échéance après la notification de ladite décision”. Elle a également annulé la décision du Conseil du 16 juillet 2003. |

Par lettre du 4 juillet 2006, la Commission a demandé à la Belgique de lui fournir certaines informations afin de déterminer la suite adéquate à donner à l'arrêt de la Cour du 22 juin 2006 dans les affaires C-182/03 et C-217/03. Ces informations portaient sur la façon dont la Belgique avait mis en œuvre la décision du 17 février 2003 telle que partiellement suspendue par le président de la Cour le 26 juin 2003. Un délai de 20 jours ouvrables — soit en principe jusqu'au 2 août 2006 — a été accordé à la Belgique pour fournir les informations demandées. |

Le 23 août 2006, n'ayant pas reçu de réponse, la Commission a envoyé un rappel à la Belgique. Un nouveau délai de 10 jours ouvrables — soit en principe jusqu'au 7 septembre 2006 — a été accordé à la Belgique pour fournir les informations demandées. |

Le 13 septembre 2006, un courrier électronique informel incluant copie des deux courriers susmentionnés a été envoyé à la Représentation permanente. Par courrier daté du 14 septembre 2006, mentionnant ledit courrier électronique et les lettres y annexées, la Belgique a indiqué n'avoir jamais reçu ces courriers. Par lettre du 29 septembre 2006, la commissaire en charge de la Concurrence a invité les autorités belges à transmettre les renseignements initialement demandés le 4 juillet et à informer en détail la Commission de leurs intentions concernant les centres de coordination. Une réunion technique était également proposée. La réponse des autorités belges datée du 12 octobre 2006 n'apportant aucune des informations demandées, la Commission a, par lettre du 10 novembre 2006, rappelé encore l'importance des informations demandées et insisté auprès des autorités belges pour qu'elles apportent les réponses souhaitées pour le 22 novembre 2006 au plus tard. Un dernier courrier des autorités belges, daté du 17 novembre 2006, n'apportait toujours aucune réponse sur le fond. |

Le 16 janvier 2007, la Belgique a transmis les informations demandées par la Commission. La Belgique a apporté des précisions complémentaires par lettres des 8 et 16 février 2007. En outre, trois réunions ont eu lieu, les 5 et 15 février ainsi que le 5 mars 2007 entre les représentants de la Commission et des autorités belges. |
PORTÉE DE LA PRÉSENTE DÉCISION

Les informations fournies par la Belgique par lettres des 16 janvier et 8 février 2007 établissent:

L'annulation par la Cour d'une partie de la décision finale de la Commission laisse la procédure entamée le 27 février 2002 partiellement ouverte. Cette dernière doit donc être clôturée par une nouvelle décision finale partielle. |

Compte tenu des termes de l'arrêt de la Cour du 22 juin 2006, rappelés au point 8 ci-dessus et du souhait de la Belgique de prolonger les effets du régime au-delà du 22 juin 2006 pour tous les centres qui le demanderaient, la Commission estime toutefois utile d'étendre la procédure ouverte le 27 février 2002, dans le but de préserver le droit de la Belgique et des tiers intéressés à faire valoir leurs observations. La présente décision a donc pour but d'exposer la position préliminaire de la Commission quant aux mesures d'exécution de l'arrêt de la Cour qu'elle est tenue de prendre ainsi que les éléments dont elle dispose à ce stade et sur lesquels repose cette première position. Cette décision vise également à permettre aux autorités belges, aux entreprises concernées et aux autres parties intéressées de formuler leurs observations et, le cas échéant, de fournir d'autres éléments pertinents pour l'interprétation de l'arrêt du 22 juin 2006. C'est compte tenu des informations recueillies suite à l'extension de procédure que la Commission fixera par une nouvelle décision finale partielle quelles mesures transitoires elle aurait dû prévoir pour les centres de coordination concernés par la partie annulée de la décision du 17 février 2003. |

Il y a également lieu de considérer la présente décision d'extension de procédure comme portant de manière autonome sur la loi du 27 décembre 2006, en ce sens qu'elle prévoirait un régime d'aide nouveau non encore notifié conformément à l'article 88, paragraphe 3 du traité. |
POSITION PRÉLIMINAIRE DE LA COMMISSION
Quant à la portée de l'annulation prononcée par la Cour

Le dispositif de l'arrêt de la Cour (cf. point 8 ci-dessus) annule la décision de la Commission uniquement en ce qu'elle ne prévoit pas de mesures transitoires pour certains centres de coordination. La Cour estime en effet que l'absence de mesures transitoires pour certains centres viole les principes de confiance légitime et d'égalité de traitement. |

La validité de l'analyse de la Commission et du dispositif de la décision du 17 février 2003 a, pour le reste, été confirmée. En particulier, la Cour confirme que la Commission a démontré que le régime fiscal des centres de coordination est bien un régime d'aide incompatible. |

La Commission considère donc que la Cour n'annule pas le dispositif de la décision notamment:

Ces éléments de la décision n'ayant pas fait l'objet d'une annulation sortent donc leurs effets dès le 17 février 2003. |
Quant aux mesures transitoires adéquates
22. |
La première catégorie de centres visés au point 18 ci-dessus est susceptible de comprendre des centres dont l'agrément avait déjà expiré le 17 février 2003 mais aussi des centres dont l'agrément n'avait pas encore expiré. Dans les deux cas, une demande de renouvellement d'agrément devait être pendante à la date de la décision. Les centres dont l'agrément n'avait pas encore expiré sont toutefois également pris en compte par la définition de la seconde catégorie identifiée par la Cour. |

La seconde catégorie comprend les centres dont l'agrément a expiré le 17 février 2003 ou à brève échéance après cette date. Au considérant 163 de l'arrêt, la Cour précise que “l'expression 'à brève échéance' est à comprendre en ce sens qu'elle vise une date tellement rapprochée de celle de la notification de la décision attaquée que les centres de coordination concernés ne disposaient pas du temps nécessaire pour s'adapter au changement de régime en cause”. |

Comme en témoigne ce libellé, l'annulation partielle prononcée par la Cour produit ses effets à la date de la notification de la décision et ne concerne que les centres qui à compter de cette date ne disposaient pas du temps nécessaire pour s'adapter au changement de régime. La période transitoire que la Commission aurait dû laisser et qui fera l'objet d'une décision finale ultérieure prend donc naissance le 17 février 2003. |
25. |
Une identification plus précise des centres concernés est donc directement liée à la détermination préalable de la période transitoire raisonnable que la Commission aurait dû accorder à compter du 17 février 2003 pour que tous les centres disposent du temps nécessaire pour s'adapter au changement de régime. |
26. |
À ce stade, la Commission suggère pour sa part que la fixation de cette période transitoire raisonnable tienne compte notamment des constatations suivantes. |
27. |
Premièrement, pendant la procédure administrative ayant conduit à la décision du 17 février 2003, certains centres ont évoqué une période minimum nécessaire de 18 mois pour réorganiser leurs activités. Le recours déposé par Forum187 devant la Cour de Justice européenne mentionne une période nécessaire jusqu'à deux ans pour planifier la réorganisation du groupe en cas de démantèlement d'un centre. Il évoque un problème de transition pour les centres dont l'agrément expirait en 2003 et 2004 (7). |
28. |
Deuxièmement, il semble qu'une période allant du 17 février 2003 au 31 décembre 2005, soit 34 mois, corresponde à ce que la Belgique considérait comme une période transitoire raisonnable. C'est ce qui ressort en effet des engagements pris par la Belgique et entérinés par le Conseil dans le cadre du Code de conduite ainsi que des demandes formulées par la Belgique après la décision de la Commission et notamment de courriers adressés à la Commission (8), de la demande de la Belgique (9) et de la décision du Conseil au titre de l'article 88, paragraphe 2, troisième alinéa du traité, du recours introduit (10) auprès de la Cour de Justice européenne. |
29. |
Troisièmement, il semble que les autorités belges ont à plusieurs reprises indiqué devant le Parlement belge et dans la presse que tous les centres de coordination pourraient voir leur agrément prolongé jusqu'au 31 décembre 2005 (11). |
30. |
Quatrièmement, les agréments prolongés par la Belgique sous couvert de la suspension ordonnée par le président de la Cour l'ont généralement été jusqu'au 31 décembre 2005 (cf. point 13 ci-dessus). |
31. |
Cinquièmement, contrairement à la situation qui prévalait le 17 février 2003, la Belgique a mis en place le régime de déduction des intérêts notionnels présenté notamment comme une alternative au régime des centres de coordination. Ce régime est entré en vigueur le 1er janvier 2006 et tout centre de coordination dont l'agrément aurait pris fin le 31 décembre 2005 ou ultérieurement peut en bénéficier. |

Sixièmement, la décision prise par les gouvernements européens à l'unanimité au sein du Conseil de l'Union européenne prévoit de mettre fin à certains régimes dommageables, parmi lesquels le régime des centres de coordination, au plus tard le 31 décembre 2005 (12). Il semble que cette décision n'ait été contestée ni judiciairement, ni par d'autres voies par les entreprises concernées. De même, la décision (13) du Conseil du 16 juillet 2003 au titre de l'article 88, paragraphe 2, troisième alinéa du traité déclare compatible la prolongation des avantages du régime des centres de coordination jusqu'au 31 décembre 2005, pour tous les centres dont l'agrément viendrait à échéance avant cette date. Il semble que cette décision n'ait pas non plus fait l'objet de recours par les entreprises concernées. Enfin, il semble que la limitation au 31 décembre 2005 des agréments renouvelés par la Belgique entre le 17 février 2003 et le 31 décembre 2005 n'ait pas davantage été contestée par les centres concernés. |
Quant à l'effet de l'ordonnance du 26 juin 2003 du président de la Cour et des déclarations de la Commission du 16 juillet 2003

L'ordonnance du président de la Cour a partiellement suspendu les effets de la décision de la Commission du 17 février 2003 (cf. point 6 ci-dessus), tout en précisant que les effets des renouvellements qui seraient accordés sous couvert de cette suspension ne pourraient pas aller au-delà de l'arrêt sur le fond, intervenu le 22 juin 2006. |
34. |
Seuls quatre des agréments renouvelés entre le 17 février 2003 et le 31 décembre 2005 ont été prolongés au-delà du 31 décembre 2005, en l'occurrence jusqu'à une date indéterminée. À cet égard, la Commission estime qu'elle ne saurait exiger la récupération des aides accordées aux centres dont l'agrément a été renouvelé sous couvert de l'ordonnance précitée lorsque leurs effets ont pris fin au plus tard le 22 juin 2006 en raison notamment de ce que son communiqué de presse du 16 juillet 2003 (14) a créé dans le chef des entreprises concernées la confiance légitime que la récupération des aides accordées sous couvert de la suspension ordonnée par le président de la Cour ne serait pas exigée.. Les aides concernées par le régime ayant la forme de réductions ou d'exonérations d'impôts qui portent sur la totalité d'un exercice fiscal, il paraît en outre opportun que la non récupération concerne l'impôt normalement dû jusqu'à la fin de l'exercice fiscal en cours à la date de l'arrêt. |
Quant à la prolongation de tous les agréments jusque fin 2010
35. |
La Belgique souhaite prolonger les effets du régime des centres de coordination au-delà du 22 juin 2006 pour tous les centres qui le demanderaient, le cas échéant jusque fin 2010. Eu égard aux informations dont elle dispose, la Commission exprime ses doutes quant à la compatibilité de telles prolongations avec la lecture qu'elle fait à ce stade de l'arrêt du 22 juin 2006 et plus généralement, avec le marché commun, et ce pour les raisons suivantes.

CONCLUSION PRÉLIMINAIRE
36. |
Compte tenu des considérations qui précédent, la Commission invite la Belgique, dans le cadre de la procédure de l'article 88, paragraphe 2, du traité, à présenter ses observations et à fournir toute information complémentaire utile dans le cadre de l'interprétation de l'arrêt de la Cour pour la détermination des mesures transitoires adéquates au profit des centres de coordination visés par l'arrêt. La Commission invite en particulier la Belgique à préciser les éléments qui plaident selon elle pour une prolongation de certains centres voire de tous les centres, à leur demande et le cas échéant avec effet rétroactif, jusqu'au 31 décembre 2010, comme envisagé par la loi du 27 décembre 2006 (cf. point 13 ci-dessus). |

La Commission invite la Belgique à fournir cette information dans un délai d'un mois à compter de la date de réception de la présente. |

La Commission rappelle à la Belgique que la décision de la Commission du 17 février 2003 telle qu'amendée par la décision du 23 avril 2003 est applicable dans la mesure où elle n'a pas été annulée. De même, dans la mesure où la loi du 27 décembre 2006 rend possible la prolongation des effets du régime, pour tous les centres de coordination qui le demanderaient, au-delà de la date de l'arrêt de la Cour, la Commission attire l'attention de la Belgique sur le fait que ces prolongations sont susceptibles de constituer des aides nouvelles soumises à la procédure de notification visée à l'article 88, paragraphe 3 du traité. À défaut de notification formelle, la Commission invite la Belgique à maintenir la suspension de l'entrée en vigueur de cette loi jusqu'à la décision finale partielle clôturant la procédure étendue par la présente décision. La Commission rappelle également l'effet suspensif de l'article 88, paragraphe 3, du traité et se réfère à l'article 14 du règlement (CE) no 659/1999 qui prévoit que toute aide illégale pourra faire l'objet d'une récupération auprès de son bénéficiaire. |

Par la présente, la Commission avise la Belgique qu'elle informera les intéressés par la publication de la présente lettre et d'un résumé de celle-ci au Journal officiel de l'Union européenne. Elle informera également les intéressés dans les pays de l'AELE signataires de l'accord EEE par la publication d'une communication dans le supplément EEE du Journal officiel, ainsi que l'autorité de surveillance de l'AELE en leur envoyant une copie de la présente. Tous les intéressés susmentionnés seront invités à présenter leurs observations dans un délai d'un mois à compter de la date de cette publication.’ |
‘Met dit schrijven stelt de Commissie België ervan in kennis dat zij, na de gedeeltelijke nietigverklaring op 22 juni 2006 door het Europees Hof van Justitie van haar beschikking C(2003) 564 definitief van 17 februari 2003 (gewijzigd bij beschikking van 23 april 2003) betreffende bovenvermelde steunmaatregel, heeft besloten de procedure uit te breiden die op 27 februari 2002 op grond van artikel 88, lid 2, van het EG-Verdrag was ingeleid.
PROCEDURE

De rechtsgrondslag van de regeling inzake coördinatiecentra is koninklijk besluit nr. 187 van 30 december 1982. In 1984 en 1987 had de Commissie deze regeling goedgekeurd omdat deze geen bezwaren deed rijzen in het licht van de toepasselijke Verdragsbepalingen inzake staatssteun. |

In 1997 heeft de Commissie, omdat zij zich daartoe had verbonden in het kader van de vaststelling door de Raad van de Europese Unie (hierna „de Raad ”genoemd) van de gedragscode inzake de belastingregeling voor ondernemingen (15) (hierna „de gedragscode ”genoemd), de regeling opnieuw onderzocht in het licht van haar mededeling over de toepassing van de regels betreffende steunmaatregelen van de staten op maatregelen op het gebied van de directe belastingen op ondernemingen (16) en de Verdragsbepalingen inzake staatssteun. |

Op 11 juli 2001 heeft de Commissie dienstige maatregelen voorgesteld met als doel — voor alle betrokken ondernemingen — de effecten van de regeling inzake coördinatiecentra tegen uiterlijk 31 december 2005 in te trekken. België heeft niet met deze dienstige maatregelen ingestemd, omdat het van oordeel was dat het wettelijk verplicht was de erkenningen voor 10 jaar, waarvan sommige na 31 december 2005 afliepen, te respecteren. |

Op 27 februari 2002 heeft de Commissie, door het uitblijven van instemming met de dienstige maatregelen, de formele onderzoekprocedure van artikel 88, lid 2, van het Verdrag ingeleid (17) overeenkomstig artikel 19, lid 2, van Verordening (EG) nr. 659/1999 van de Raad van 22 maart 1999 tot vaststelling van nadere bepalingen voor de toepassing van artikel 93 van het EG-Verdrag (18) (thans artikel 88). Bij die gelegenheid heeft de Commissie belanghebbenden uitgenodigd hun opmerkingen te maken, met name wat betreft de omstandigheden aan de hand waarvan kan worden vastgesteld of er bij de begunstigden van de regeling een gewettigd vertrouwen bestaat. |

Op 17 februari 2003 heeft de Commissie de formele onderzoekprocedure beëindigd met een negatieve eindbeschikking (19). Omdat het bestaande steun betrof, heeft de Commissie niet de terugvordering van in het verleden toegekende steun gevraagd. Bij wijze van overgangsmaatregel mochten de coördinatiecentra echter uit hoofde van de beschikking van de Commissie van de voordelen van de regeling blijven profiteren tot het einde van hun erkenningsperiode en uiterlijk tot 31 december 2010. De Belgische Staat en de vereniging Forum187, waarin de coördinatiecentra zijn verenigd, hebben een beroep tot opschorting en tot gedeeltelijke of volledige nietigverklaring van genoemde beschikking ingesteld (zaak C-182/03 en zaak T-140/03 die zaak C-217/03 is geworden). |

Bij beschikking van 26 juni 2003 heeft de President van het Hof van Justitie de tenuitvoerlegging van de eindbeschikking van de Commissie van 17 februari 2003, „voor zover het Koninkrijk België daarbij [werd] verboden de op de datum van kennisgeving van die beschikking lopende erkenningen te vernieuwen”, opgeschort. Daaraan voegde hij nog toe dat „de werking van eventueel op basis van [die] beschikking toegestane vernieuwingen niet verder [mocht] gaan dan tot de dag van de uitspraak in de hoofdzaak”. |

Op 16 juli 2003 heeft de Raad, op verzoek van de Belgische Staat, op grond artikel 88, lid 2, derde alinea, van het Verdrag besloten „de steunmaatregel die België voornemens is tot en met 31 december 2005 te verlenen ten behoeve van ondernemingen die op 31 december 2000 houder waren van een erkenning als coördinatiecentrum uit hoofde van Koninklijk Besluit nr. 187 van 30 december 1982, en waarvan de erkenning tussen 17 februari 2003 en 31 december 2005 verstrijkt, als verenigbaar met de gemeenschappelijke markt ”te beschouwen (20). De betrokken steunmaatregel bestond erin de werking van de regeling inzake coördinatiecentra voor voornoemde ondernemingen te handhaven. De Commissie heeft tegen deze beschikking van de Raad beroep ingesteld (zaak C-399/03). |

Bij arrest van 22 juni 2006 heeft het Hof de beschikking van de Commissie ten dele nietig verklaard „voor zover zij niet voorziet in overgangsmaatregelen met betrekking tot de coördinatiecentra waarvan de aanvraag tot verlenging van de erkenning hangende was op de datum van kennisgeving van de bestreden beschikking of waarvan de erkenning gelijktijdig met of korte tijd na de kennisgeving van deze beschikking afliep”. Ook heeft het Hof de beschikking van de Raad van 16 juli 2003 nietig verklaard. |

Bij schrijven van 4 juli 2006 heeft de Commissie België verzocht haar bepaalde inlichtingen te verschaffen om uit te maken hoe passend gevolg te geven aan het arrest van het Hof van 22 juni 2006 in gevoegde zaken C-182/03 en C-217/03. Deze inlichtingen betroffen de wijze waarop België de beschikking van 17 februari 2003 zoals die op 26 juni 2003 door de President van het Hof ten dele was opgeschort, ten uitvoer had gelegd. België kreeg een termijn van 20 werkdagen — dus in beginsel tot 2 augustus 2006 — om de verlangde inlichtingen te verstrekken. |

De Commissie zond op 23 augustus 2006 een rappelbrief, omdat zij nog geen antwoord had ontvangen. België kreeg een nieuwe termijn van 10 werkdagen — dus in beginsel tot 7 september 2006 — om de verlangde inlichtingen te verstrekken. |

Op 13 september 2006 is de Permanente Vertegenwoordiging een informele mail gezonden, met daarbij een kopie van beide voornoemde brieven. Bij schrijven van 14 september 2006, waarin deze mail en de bijgevoegde brieven werden vermeld, heeft België aangegeven deze brieven nooit te hebben ontvangen. Bij schrijven van 29 september 2006 heeft het met het Concurrentiebeleid belaste lid van de Commissie de Belgische autoriteiten verzocht de aanvankelijk op 4 juli 2006 gevraagde inlichtingen mee te delen en de Commissie in detail te informeren over hun voornemens in verband met de coördinatiecentra. Ook werd een technische bijeenkomst voorgesteld. Omdat het antwoord van de Belgische autoriteiten van 12 oktober 2006 geen van de gevraagde inlichtingen bevatte, heeft de Commissie bij schrijven van 10 november 2006 nogmaals op het belang van de gevraagde inlichtingen gewezen en heeft zij bij de Belgische autoriteiten aangedrongen om de verlangde antwoorden uiterlijk 22 november 2006 mee te delen. Een laatste schrijven van de Belgische autoriteiten van 17 november 2006 gaf nog steeds geen antwoord ten gronde. |

Op 16 januari 2007 heeft België de door de Commissie gevraagde inlichtingen gezonden. België heeft bij brieven van 8 en 16 februari 2007 aanvullende preciseringen verschaft. Daarnaast vonden drie bijeenkomsten van de vertegenwoordigers van de Commissie en de Belgische autoriteiten plaats, op 5 en 15 februari 2007 en op 5 maart 2007. |
REIKWIJDTE VAN DIT BESLUIT

Uit de door België bij brieven van 16 januari en 8 februari 2007 verschafte inlichtingen blijkt dat:

Met de nietigverklaring door het Hof van een deel van de eindbeschikking van de Commissie staat de op 27 februari 2002 ingeleide procedure nog ten dele open. Deze procedure dient dus worden afgesloten met een nieuwe, gedeeltelijke eindbeschikking. |
15. |
Gelet op de bewoordingen van het arrest van het Hof van 22 juni 2006, zoals die in punt 9 zijn herhaald, en de wens van België om de werking van de regeling voor alle centra die daarom verzoeken, tot na juni 2006 te verlengen, is de Commissie evenwel van oordeel dat de op 27 februari 2002 ingeleide procedure, dient te worden uitgebreid om voor België en belanghebbenden het recht te vrijwaren hun opmerkingen te maken. Doel van dit besluit is dus het voorlopige standpunt van de Commissie uiteen te zetten ten aanzien van de maatregelen die zij tot uitvoering van het arrest van het Hof moet nemen, alsmede de elementen waarover zij in dit stadium beschikt en waarop dit eerste standpunt berust. Dit besluit wil ook de Belgische autoriteiten, de betrokken ondernemingen en de overige belanghebbenden in de gelegenheid stellen hun opmerkingen te maken en, in voorkomend geval, andere elementen aan te dragen die voor de uitlegging van het arrest van 22 juni 2006 relevant zijn. Aan de hand van de inlichtingen die na de uitbreiding van de procedure worden ontvangen, zal de Commissie in een nieuwe, gedeeltelijke eindbeschikking bepalen in welke overgangsmaatregelen zij had moeten voorzien voor de coördinatiecentra waarop het nietig verklaarde gedeelte van de beschikking van 17 februari 2003 ziet. |
16. |
Daarnaast geldt dit besluit tot uitbreiding van de procedure op autonome wijze ook voor de wet van 27 december 2006 omdat daarmee een nieuwe steunregeling wordt ingesteld die nog niet overeenkomstig artikel 88, lid 3, van het Verdrag is aangemeld. |
VOORLOPIG STANDPUNT VAN DE COMMISSIE
Reikwijdte van de nietigverklaring door het Hof van Justitie
17. |
Het dictum van het arrest van het Hof (cf. punt 9) vernietigt de beschikking uitsluitend waar deze niet in overgangsmaatregelen voor bepaalde coördinatiecentra voorziet. Het Hof is namelijk van oordeel dat het ontbreken van overgangsmaatregelen voor bepaalde centra het vertrouwensbeginsel en het gelijkheidsbeginsel schendt. |

De betrokken centra zijn de centra:

De geldigheid van de beoordeling van de Commissie en van het dispositief van de beschikking van 17 februari 2003 werd voor het overige bevestigd. Met name bevestigt het Hof dat de Commissie heeft aangetoond dat de belastingregeling inzake coördinatiecentra wel degelijk een onverenigbare steunregeling is. |

De Commissie is van oordeel dat het Hof dus niet het dispositief van de beschikking vernietigt, met name waar:

Aangezien deze onderdelen van de beschikking dus niet zijn nietig verklaard, sorteren zij effect vanaf 17 februari 2003. |
Passende overgangsmaatregelen
22. |
De eerste in punt 19 bedoelde categorie coördinatiecentra kan de centra omvatten waarvan de erkenning op 17 februari 2003 was afgelopen, maar ook die centra waarvan de erkenning nog niet was afgelopen. In beide gevallen diende een aanvraag tot verlenging van de erkenning nog hangende te zijn op het tijdstip van de beschikking. De coördinatiecentra waarvan de erkenning nog niet was afgelopen, worden ook in aanmerking genomen door de definitie van de tweede, door het Hof onderscheiden categorie. |

De tweede categorie omvat de centra waarvan de erkenning op 17 februari 2003 was afgelopen of korte tijd na dat tijdstip afliep. In punt 163 van het arrest verduidelijkt het Hof dat „de uitdrukking “korte tijd na” aldus [dient] te worden begrepen dat zij betrekking heeft op een datum die zó dicht bij die van de kennisgeving van de bestreden beschikking ligt dat de betrokken coördinatiecentra niet over de nodige tijd beschikten om zich aan te passen aan de wijziging van de betrokken regeling”. |

Zoals die uit deze woorden blijkt, sorteert de gedeeltelijke nietigverklaring door het Hof dus effect vanaf het tijdstip van kennisgeving van de beschikking en betreft zij alleen de centra die vanaf dat tijdstip niet over de nodige tijd beschikten om zich aan de wijziging van de regeling aan te passen. De overgangsperiode die de Commissie had moeten geven en waarop een latere beschikking zal zien, gaat dus in vanaf 17 februari 2003. |
25. |
Een preciezere identificatie van de betrokken centra houdt dus rechtstreeks verband met het vooraf bepalen van de redelijke overgangsperiode die de Commissie vanaf 17 februari 2003 had moeten toestaan, wilden alle coördinatiecentra over de nodige tijd beschikken om zich aan de wijziging van regeling te kunnen aanpassen. |
26. |
In dit stadium stelt de Commissie zelf voor om bij het bepalen van deze redelijke overgangsperiode met name de volgende vaststellingen in aanmerking te nemen. |
27. |
Allereerst hebben bepaalde coördinatiecentra tijdens de administratieve procedure die in de beschikking van 17 februari 2003 resulteerde, aangegeven dat een periode van minstens 18 maanden nodig is om hun activiteiten te reorganiseren. In het beroep dat Forum187 bij het Europees Hof van Justitie heeft ingesteld, is sprake van een noodzakelijke termijn van twee jaar om in het geval van de ontmanteling van een centrum de reorganisatie van de groep te kunnen plannen. Daarin is sprake van overgangsproblemen voor centra waarvan de erkenning in 2003 en 2004 afliep (21). |
28. |
Ten tweede lijkt een periode die van 17 december 2003 tot en met 31 december 2005 loopt — oftewel 34 maanden —, overeen te stemmen met hetgeen België als een redelijke termijn beschouwde. Dit blijkt immers uit de toezeggingen die België heeft gedaan en die door de Raad in het kader van de gedragscode zijn bekrachtigd, alsmede uit de verzoeken die België na de beschikking van de Commissie heeft gedaan, en met name de brieven die de Commissie zijn gezonden (22), het verzoek van België (23) en de beschikking van de Raad uit hoofde van artikel 88, lid 2, derde alinea, van het Verdrag, en het beroep dat bij het Europees Hof van Justitie is ingesteld (24). |
29. |
Ten derde lijken de Belgische autoriteiten bij herhaling in het Belgische Parlement en in de pers te hebben aangegeven dat alle coördinatiecentra hun erkenning tot 31 december 2005 konden laten verlengen (25). |
30. |
Ten vierde, zijn de erkenningen die België onder de door de President van het Hof gelaste schorsing heeft toegekend, over het algemeen verlengd tot 31 december 2005 (zie punt 14). |
31. |
Ten vijfde heeft België, anders dan de situatie zoals die op 17 februari 2003 bestond, de regeling van de notionele intrestaftrek ten uitvoer gelegd, die met name als een alternatief voor de regeling van de coördinatiecentra werd voorgesteld. Deze regeling is per 1 januari 2006 van kracht geworden en alle coördinatiecentra waarvan de erkenning per 31 december 2005 of nadien afliep, komen ervoor in aanmerking. |
32. |
Ten zesde voorziet de met eenparigheid van stemmen door de Europese regeringen vastgestelde beschikking erin dat bepaalde schadelijke regelingen — zoals de regeling inzake coördinatiecentra — uiterlijk op 31 december 2005 worden stopgezet (26). Deze beschikking lijkt door de betrokken ondernemingen voor de rechter noch anderszins te zijn aangevochten. Evenzo verklaart de beschikking van de Raad van 16 juli 2003 (27) op grond van artikel 88, lid 2, derde alinea, van het Verdrag de verlenging van de voordelen van de regeling inzake coördinatiecentra tot en met 31 december 2005 verenigbaar voor alle centra waarvan de erkenning vóór dat tijdstip afliep. Ook tegen deze beschikking lijkt door de betrokken ondernemingen geen beroep te zijn ingesteld. Ten slotte lijkt het feit dat de verlenging van de tussen 17 februari 2003 en 31 december 2005 verleende erkenningen tot 31 december 2005 werd beperkt, evenmin door de betrokken centra te zijn aangevochten. |
Gevolgen van de beschikking van de President van het Hof van 26 juni 2003 en van de verklaringen van de Commissie van 16 juli 2003
33. |
De beschikking van de President van het Hof heeft de werking van de beschikking van de Commissie van 17 februari 2003 (cf. punt 7) gedeeltelijk geschorst, waarbij echter wel werd toegevoegd dat het effect van de verlengingen die onder deze schorsing zouden worden toegekend, niet verder konden gaan dan het arrest ten gronde, dat op 22 juni 2006 werd geveld. |
34. |
In de periode 17 februari 2003 tot 31 december 2005 zijn slechts vier erkenningen verlengd tot na 31 december 2005, in voorkomend geval tot een onbepaalde datum. In dat verband is de Commissie van oordeel dat zij niet de terugvordering kan eisen van steun die is verleend aan centra waarvan de erkenning werd verlengd onder de schorsing van genoemde beschikking wanneer de uitwerking daarvan uiterlijk 22 juni 2006 is beëindigd, omdat zij met name door haar persbericht van 16 juli 2003 (28) bij de betrokken ondernemingen het gewettigde vertrouwen heeft gewekt dat geen terugvordering zou worden geëist van de onder de door de President van het Hof gelaste schorsing toegekende steun. Aangezien in het kader van deze regeling steun is verleend in de vorm van belastingverlagingen of belastingvrijstellingen die op het volledige belastingjaar zien, lijkt het voorts opportuun dat de niet-terugvordering op de normaliter tot het eind van het op het tijdstip van het arrest lopende belastingjaar verschuldigde belasting ziet. |
De verlenging van alle erkenningen tot eind 2010
35. |
België wil de effecten van de regeling voor coördinatiecentra tot na 22 juni 2006 verlengen voor alle centra die daarom verzoeken, in voorkomend geval tot eind 2010. Gelet op de inlichtingen waarover de Commissie beschikt, heeft zij twijfel ten aanzien van de verenigbaarheid van deze verlengingen met de wijze waarop zij — in dit stadium — het arrest van 22 juni 2006 leest en, meer algemeen, met de gemeenschappelijke markt, en wel hierom:

VOORLOPIGE CONCLUSIE
36. |
Gelet op de bovenstaande overwegingen verzoekt de Commissie België in het kader van de procedure van artikel 88, lid 2, van het Verdrag zijn opmerkingen te maken en alle verdere inlichtingen te verstrekken die dienstig zijn ten behoeve van de uitlegging van het arrest van het Hof met het oog op de vaststelling van de door het arrest bedoelde passende overgangsmaatregelen voor coördinatiecentra. De Commissie verzoekt België met name de nadere elementen aan te geven die volgens België pleiten voor een verlenging van de erkenning van bepaalde of zelfs alle centra, op hun verzoek en in voorkomend geval met terugwerkende kracht, tot 31 december 2010 — zoals de bedoeling is van de wet van 27 december 2006 (cf. punt 14). |
37. |
De Commissie verzoekt België haar deze inlichtingen binnen één maand na de datum van ontvangst van dit schrijven te verstrekken. |
38. |
Ook verzoekt zij uw autoriteiten onverwijld een afschrift van deze brief aan de potentiële begunstigden van de steunmaatregel te doen toekomen. |
39. |
De Commissie wijst België er op dat de beschikking van de Commissie van 17 februari 2003, gewijzigd bij beschikking van 23 april 2003, van kracht is voor zover deze niet is nietig verklaard. Voorts vestigt de Commissie de aandacht van België op het feit dat, voor zover de wet van 27 december 2006 voor alle coördinatiecentra die daarom verzoeken, de verlenging van de effecten van de regeling mogelijk maakt die verder gaat dan de datum van het arrest van het Hof, deze verlengingen nieuwe steun kunnen vormen waarvoor de aanmeldingsprocedure van artikel 88, lid 3, van het Verdrag geldt. Bij gebreke van een formele aanmelding verzoekt de Commissie België de opschorting van de inwerkingtreding van deze wet te handhaven tot de gedeeltelijke eindbeschikking waarmee de met dit besluit uitgebreide procedure wordt afgesloten. De Commissie wijst ook op de schorsende werking van artikel 88, lid 3, van het EG-Verdrag. Zij verwijst naar artikel 14 van Verordening (EG) nr. 659/1999, volgens hetwelk elke onrechtmatige steun van de begunstigde kan worden teruggevorderd. |

Voorts deelt de Commissie België mee dat zij de belanghebbenden door de bekendmaking van dit schrijven en van een samenvatting ervan in het Publicatieblad van de Europese Unie in kennis zal stellen. Tevens zal zij de belanghebbenden in de lidstaten van de EVA die partij zijn bij de EER-Overeenkomst, door de bekendmaking van een mededeling in het EER-Supplement van het Publicatieblad in kennis stellen, alsmede de Toezichthoudende Autoriteit van de EVA door haar een afschrift van dit schrijven toe te zenden. Alle bovengenoemde belanghebbenden zal worden verzocht hun opmerkingen te maken binnen één maand vanaf de datum van deze bekendmaking.’ |

By request of 13 March 2006, Gas2Grid Limited, a company with registered offices at Level 14, 19-31 Pitt Street, NSW 2000, Sydney (Australia) and Gippsland Offshore Petroleum Limited, a company with registered offices at Level 7, 530 Little Collins Street, VIC 3000, Melbourne (Australia), applied for an exclusive five-year licence to prospect for liquid and gaseous hydrocarbons, designated the ‘Saint Griède licence’, in an area of approximately 2 184 square kilometres covering part of the departments of Gers, Landes, Pyrénées-Atlantiques and Hautes-Pyrénées.
The perimeter of the area covered by this licence consists of the meridian and parallel arcs connecting in turn the points defined below by their geographical coordinates, the original meridian being that of Paris.

Submission of applications
The initial applicant and competing applicants must prove that they comply with the requirements for obtaining the licence, as specified in Articles 4, 5 and 6 of Decree No 2006-648 of 2 June 2006 concerning mining rights and underground storage rights. (Journal officiel de la République française of 3 June 2006).
Interested companies may, within ninety days of the publication of this notice, submit a competing application in accordance with the procedure summarised in the ‘Notice regarding the granting of mining rights for hydrocarbons in France ’published in Official Journal of the European Communities C 374 of 30 December 1994, p.11, and established by Decree No 2006-648 of 2 June 2006 concerning mining rights and underground storage rights.
Competing applications must be sent to the Minister responsible for mines at the address below. Decisions on the initial application and competing applications will be taken within two years of the date on which the French authorities received the initial application, i.e. by 13 March 2008 at the latest.
Conditions and requirements regarding performance of the activity and cessation thereof
Applicants are referred to Articles 79 and 79(1) of the Mining Code and to Decree No 2006-649 of 2 June 2006 on mining and underground storage operations and the regulations governing mines and underground storage (Journal officiel de la République française of 3 June 2006).

On 7 May 2007, the Commission received a notification of a proposed concentration pursuant to Article 4 of Council Regulation (EC) No 139/2004 (1) by which the undertaking Nestlé S.A. (‘Nestlé’, Switzerland) acquires within the meaning of Article 3(1)(b) of the Council Regulation control of the healthcare nutrition business (‘NMN’) of Novartis AG (Switzerland) by way of purchase of shares and assets. |

On preliminary examination, the Commission finds that the notified transaction could fall within the scope of Regulation (EC) No 139/2004. However, the final decision on this point is reserved. |
