Prior notification of a concentration

(Case COMP/M.5480 — Deutsche Bahn/PCC Logistics)

1.

On 5 May 2009, the Commission received a notification of a proposed concentration pursuant to Article 4 of Council Regulation (EC) No 139/2004 (1) by which the undertaking Deutsche Bahn Mobility Logistics AG (Germany) belonging to Deutsche Bahn AG (Germany) intends to acquire control within the meaning of Article 3(1)(b) of the Council Regulation of the Polish logistics operations conducted through the undertakings PCC Rail S.A., PCC Rail Rybnik S.A. and Trawipol Sp. (together PCC Logistics, Poland) all belonging to PCC SE (Germany) by way of purchase of shares.

The business activities of the undertakings concerned are:

Deutsche Bahn AG: passenger transport, freight forwarding and logistics (including freight transport) and ancillary services,

PCC Logistics: logistic services for railway transportation and freight forwarding (including freight transport) mainly in Poland.

On preliminary examination, the Commission finds that the notified transaction could fall within the scope of Regulation (EC) No 139/2004. However, the final decision on this point is reserved.

The Commission invites interested third parties to submit their possible observations on the proposed operation to the Commission.
